About the Programme Enforcement of the Companies Act, 2013 commenced in 2013 with an objective to reduce the administrative and regulatory burdens on companies; good governance, ensure the companies would move in a progressive manner; have a fair, modern and effective framework of company law which is crucial to economic development. It is a modern legislation, which has a strong and modern regulatory mechanism, which will have a substantial impact on the functioning of the directors and officers within the effective corporate governance system. The new Act also requires the board of directors of the company to discharge their corporate social responsibilities by way of statutory regulation as part of their duties. However, it was observed that there are some difficulties and large number of issues need to be addressed in Companies Act, 2013. In order to remove these difficulties the Companies (Amendment) Act, 2015 has been passed. This Act has made significant changes and removal of various practical difficulties in relation to insolvency, audit committee and RPTs in line with the principle of "ease of doing Business". These changes pose issues in relation to limit on disclosure of information to government by chartered accountants, provision in relation to meeting of the companies etc. Thus, the Government is very serious in considering the voice of the stakeholders and is ready to go for the change if the suggestions are logical. This training programme aims to discuss the major provisions of the Companies Act 2013 and rules thereunder. It also aims to critically analyze the provisions of Companies Act 2013 for the furtherance of corporate governance.
