PROPOSED SESSION PLAN
The system of rules, practices and processes by which a company is
directed and controlled, Corporate Governance involves balancing the
interests of the many stakeholders in a company - these include its
shareholders, management, customers, suppliers, financiers,
government and the community.
THEMATIC AREA OF TRAINING
About the Program:
Corporate governance practices are evolving in
response to the recent global financial crisis and a
spate of corporate frauds in the recent years. In
India, the Companies Act 2013 has put corporate
governance at the centerstage of business. In the
21st century, it is only the corporations which move
beyond compliance and adopt responsible business
practices that will sustain and succeed. Such
corporations constantly innovate upon corporate
governance codes to match regulator and
stakeholder expectations. This Programme will aid
academicians and practitioners in making an
effective transition to the new legislative era, as the
Companies Act 2013 has taken India into a new
regime of corporate governance with redefined
roles and widened accountability of the members of
the board. It will also have a multiplier effect in
spreading knowledge of corporate governance in
the country as the trained faculty will train others.

About Indian Institute of Corporate
Affairs (IICA)
The Indian Institute of Corporate Affairs (IICA),
is a think tank conceived and established by the
Ministry of Corporate Affairs (MCA),
Government of India that provides specialized
and customized training in order to build
capabilities in all the facets of corporate affairs
among faculty/trainers, corporate executives and
regulators. It serves as an action research, service
delivery and capacity building institute for all
corporate entities to deliver their best towards all
spheres of their function.
About O.P. Jindal Global University
(JGU)
The vision of JGU is to promote global courses,
global programmes, global curriculum, global
research, global collaborations, and global
interaction through a global faculty. JGU is
situated on an 80-acre state-of-the-art residential
campus in the National Capital Region of Delhi.

management expertise which is a requirement for
private as well as state owned enterprises. It covers
a wide range of issues involving organization,
raising & management of capital, operating
procedures and production resources - all brought
together for productive economic purposes
through responsible corporate governance. The
IICA, through its various schools and centers
addresses this need through several programmes
and courses.
IICA research wing strives to deliver high quality
world class research to create and nurture a rich
research ecosystem based on specific industry
needs analysis. Set up as the premier organization
for cutting edge intellectual leadership in corporate
regulation, governance and running sustainable
businesses, the IICA also aims to build capacity
through a network of schools and centres.

About School of Corporate
Governance and Public Policy, IICA
The SCGPP has been set up with a vision to
provide knowledge and expertise to meet the
challenges of inclusive and sustainable
corporate operation and growth. The School
has to its credit a National Research Workshop
which provides an opportunity for exchange
of ideas and new perspectives in the realm of
corporate governance and has initiated the first
edited volume on corporate governance. The
School assumes another significant role as a
trainer and capacity builder and has already
trained many corporate professionals covering
both public and private corporations in the
finer aspects of board functioning and the role
of directors.
The School has entered into national and
international collaborations to further its
agenda of promoting good corporate
governance in India. Its national partners
include Thomson Reuters (India), CII, Indian
School of Business & Yes Bank. Its
international partners includes Institute of
Directors (UK) & International Finance
Corporation (of the World Bank Group).
In order to facilitate improving corporate
governance standards in India, SCGPP (IICA)
has joined hands with IoD, UK for launching
of the certification “IoD International
Certificate in Company Direction:
Delivered in India exclusively with IICA”
for directors/senior executives/
entrepreneurs.
About Jindal Global Business School
(JGBS)
JGBS, established in 2010, has a vision of
imparting global business education to
uniquely equip students, managers and
professionals with necessary knowledge,
acumen and skills so as to enable them to
effectively tackle the challenges faced by
transnational businesses and industries. JGBS
offers a multidisciplinary global business
education to foster academic excellence,
industry partnerships and global

Dr Bhaskar Chatterjee
Director General, Indian Institute of Corporate Affairs
2006-08, he was associated with the complete
overhaul of the National Rehabilitation and
Resettlement Policy of India. He made significant
contributions to higher education as Member
Secretary of the Indian Council of Social Science
Research (2001-2004) and to the advancement of
Literacy as Director General of the National
Literacy Mission (1995-2000).
Dr. Bhaskar Chatter jee is
presently the Director General
of the Indian Institute of
Corporate Affairs (IICA)
established by the Ministry
of Corporate Affairs,
Government of India.
Previously he was Secretary in
the Department of Public
Enterprises and Principal
Adviser in the Planning
Commission. He was a part of the team
responsible for shaping India's response to the
global economic crisis of 2009. As Additional
Secretary, Ministry of Rural Development, in
Dr Chatterjee is a management practitioner,
theorist and teacher. He has written and lectured
over many years on issues of motivation and team
building. His book, 'Leadership India – Leading
Change, Changing Lives', was released at the
World HRD Congress in February, 2011 and has
been widely acclaimed. His latest book, published
in 2013 is titled 'Sustainable Futures: Imperatives
for Managing the Social Agenda.’
Dr C. Raj Kumar
Professor & Vice Chancellor,
O. P. Jindal Global University

corruption and governance, law
and disaster management,
comparative constitutional
law, legal education and
higher education. He has
over hundred and twenty five
publications to his credit and has
published widely in peer reviewed
journals and law reviews in
Australia, Hong Kong, India, Japan and USA.
Professor C. Raj Kumar was appointed as the
Founding Vice Chancellor of O. P. Jindal Global
University (JGU) at the age of 34 in 2009. He has
academic qualifications from the University of
Oxford, Harvard University, University of Hong
Kong, University of Delhi and Loyola College.
Professor Kumar is also a Member of the
National Legal Knowledge Council (NLKC). He
was a faculty member at the School of Law of City
University of Hong Kong, where he taught for
many years. He was a Rhodes Scholar at the
University of Oxford, UK, where he obtained his
Bachelor of Civil Law (B.C.L.) degree; a Landon
Gammon Fellow at the Harvard Law School,
USA, where he obtained his Master of Laws
(LL.M.) degree and a James Souverine Gallo
Memorial Scholar at the Harvard University. He
was awarded the Doctor of Legal Science (S.J.D.)
by the University of Hong Kong. He also obtained
a Bachelor of Laws (LL.B.) degree from the
University of Delhi, India; and a Bachelor of
Commerce (B.Com.) degree from the Loyola
College of the University of Madras, India.
Professor Kumar has held consultancy
assignments in the field of human rights and
governance. He has been a Consultant to the
United Nations University (UNU), Tokyo; United
Nations Development Programme (UNDP); UN
Office of the High Commissioner of Human
Rights, Geneva; and the International Council for
Human Rights Policy (ICHRP), Geneva. He has
advised the Commission to Investigate
Allegations of Bribery or Corruption (CIABOC)
in Sri Lanka and the National Human Rights
Commission (NHRC) in India on issues relating
to corruption and good governance. Professor
Kumar is an Attorney at Law and is admitted to
the Bar Council of Delhi, India and the Bar of the
State of New York, USA.

Prof. Asish K Bhattacharyya is heading the
School of Corporate Governance
and Public Policy of the Indian
Institute of Corporate affairs
since September 2012. He
advises the Institute of Cost
Accountants of India on new
initiatives. He also advises
KPMG on accounting, auditing
and company law matters.
Dr. Gupta is an ICSSR Research Fellow and had
been Visiting Professor to many European
Universities and Research Institutes like
Foundation Maison Des Sciences Paris,
University of Rouan, FRANCE , University of
Lu Havre FRANCE , Asian Institute of
Technology, Bangkok, Singapore Management
University, Singapore and University of
Budapest, Hungary to name a few.
He had established the Centre for
Corporate Governance in the Indian
Institute of Management Calcutta (IIMC) and
headed it for seven years. He worked as a
Professor in IIMC for eleven years. Earlier he
held the position of Professor in S.P. Jain
Institute of Management and Research
(Mumbai) and Technical Director in the Institute
of Chartered Accountants of India. He worked
in industry for twenty years before shifting to
academia in 1993.
He is presently working on a European Union
Project and an Advisor to Ministry of Textiles
(cluster development program) along with many
National & Multinational Companies.
Dr Garima Dadhich
(Assistant Professor, SCGPP, IICA)
Dr. Garima Dadhich is Assistant Professor,
School of Corporate Governance & Public
Policy, Indian Institute of
Corporate Affairs. She has also
worked as Assistant Professor
of Law at National Law
University Jodhpur for five
years and has conducted
various conferences,
seminars and conclaves.
She is a university topper in
B.Com. (Final) Examination.
She completed LLB from ILS
Law College, Pune. She also
practiced as an Associate Advocate before the
High Court of Judicature in Jaipur, dealing
mainly in the matters related to banking and
corporate laws. She then pursued her Masters
programme in Commercial and Corporate Laws
from Queen Mary University of London,
London and qualified 'LLM degree' with Merit.
She has obtained an “International Legal English
Certificate” from University of Cambridge. She
has obtained Ph.D from National Law University
Jodpur. Her doctoral research concentrates on
Corporate Governance. She also worked with
Morgan Walker & M.B. Law Ltd. London.
He has more than a decade of Board level
experience as an independent director. Currently
he holds the position of independent director in
three companies. He is a regular columnist with
the Business Standard. He has authored six
books and large number of articles. Prof.
Bhattacharyya obtained his doctoral degree from
the University of Allahabad. He is a Fellow of the
Institute of Chartered Accountants of India and
a Fellow of the Institute of Cost Accountants of
India. He is an Associate member of the
Chartered Institute of Management
Accountants (UK).

FCCBs, GDRs, has undertaken due diligence
exercises, drafting, vetting and negotiation of
transaction and offer documents and has
provided interpretative opinions on Indian
commercial law. In addition, he has considerable
experience in advising companies in
sectors such as telecom, real estate,
renewable energy and
infrastr ucture. He holds

Prof Ravi Agarwal
(Vice-Dean, Academic Affairs,
JGBS)
Dr. Ravi Agarwal is a
Professor of Finance and
Accounting and Vice Dean
(Academic Affairs), Jindal
Global Business School. Prof
Agarwal holds a Bachelor's and
Master's Degree in Finance and
Accounts from St. John's College,
Agra. He is a Fellow of the Institute of Chartered
Accountants of India and an Associate of the
Institute of Cost Accountants of India. He has
more than 20 years' experience of teaching,
training, research and consulting in his areas of
specialization. He has been actively involved in
designing and conducting executive training
programmes on financial risk management,
corporate finance, strategic cost management,
financial modeling, and financial accounting. He
has trained senior and middle level executives
from Indian Army, Indian Oil Corporation,
NTPC, Food Corporation of India, HUDCO,
public sector banks, UTI Asset Management,
Defense organizations, ministries and number
of private sector organizations. He has a number
of research papers to his credit. His areas of
interest are corporate finance, managerial
accounting, and corporate valuation. Presently
he is working on a book on case studies in
finance.
Shounak Roy Chowdhury
Director - Center for Entrepreneurship
at O.P. Jindal Global University
Dr Chowdhury is a teacher, scholar and
administrator. He is currently working with
Jindal Global Business School (JGBS) after
completing his Ph.D. from IIM-Ahmedabad.
Today, he is proud to say that he has nurtured
JGBS to not just become the next IIM or ISB; but
in its own way, something even better.
The advantages of not taking the 'beaten track'
have been multi-fold. He has found connections
that are essential for undertaking relevant
research, while it gave him the perspective to see
the 'real problem' not just the ones taught in text
books.
He has been Honorary Advisory and MemberExpert Panel, Institute of Corporate
Sustainability Management from 2013 –
2014. His role with ICSM has been
with respect to building know-how
on Corporate Social Responsibility
(CSR) and facilitating the
functioning of the proposed
Parliamentary Forum on CSR. In
addition, his advise on various facets
of institutional building, based on his
experience, has been invaluable.
