It also happens to be a reliable indicator of excellence. As it turns out, graduate giving is a very good barometer of how alumni view their colleges. As virtually every college struggles through challenging economic times, knowing what can be done to increase the level of alumni giving is valuable learning. Despite difficult economic times, there are schools that continue to distinguish themselves for having graduates who demonstrate enduring alumni love and financial support. But what are the driving factors that make these schools and the other leaders so successful at generating alumni support for their school, while others watch as alumni deny their request for money? Your Alumni Giving CoChairs are carefully analyzing data from thousands of college graduates, and comparing it to the donation rates by college to identify best practices and develop a few hypotheses as to the key factors that could be driving alumni donations at our “Home by The Sea”. JANUARY 2015 BOARD MEETING The NHAA Inc. Board of Directors met in McGrew Towers Conference Center January 23-25, 2015. The meeting agenda including taking care of Association business such as planning for the 2016 Biennial Conference, proposing changes to the Bylaws, voting to activate/deactivate chapters, managing the Association’s budget, evaluating progress of 2014-2015 goals and developing strategies for successfully meeting those goals, facilitating an understanding of the roles and responsibilities within the chapter and region components, and promoting a forum for alumni to discuss issues, resolve problems, and share ideas relating to each other, NHAA Inc. and Hampton University. Additionally, Board members met with Dr. Harvey and his administrative staff, student leaders, and Pre-Alumni Council members. We also attended Hampton University’s 122nd Founder’s Day Ceremony where alums Rev. Dr. Jerome A. Barber (CO ‘81) and Dr. Gladys Hope Franklin White (CO ‘39) received Presidential Citizenship awards and alum Attorney Paul Clinton Harris (CO ‘86) gave the keynote address. Page 4 Alumni News Page 5 2014—2015, Issue 3 Alumni News 2014—2015, Issue 3 NHAA INC REGION / CHAPTER NEWS Columbia (MD) Chapter… Kitola Pleasants Henderson, President Mavis Polson Lewis: Women’s Hall of Fame Inductee Mavis Polson Lewis, Hampton ‘60, was inducted into the Howard County, Maryland Women’s Hall of Fame on March 12, 2015. One of five 2015 honorees selected by the Howard County Commission for Women, Mavis was cited as follows: " For more than 20 years, Lewis has served as the Campaign Chairperson for the Howard County Foundation for Black Educational and Cultural Achievement, Inc., helping to ensure a brighter future for Howard County youth by providing funding for higher education and helping older adults plan for a sound financial future." Mavis Polson Lewis enjoyed an accomplished career in education serving in a broad range of positions as teacher, counselor and Department Chair of Guidance, Assistant Principal, and part -time university lecturer. After her retirement, she worked part-time as Executive Director of the Maryland Association for Counseling and Development. Over the years, she has participated in many civic initiatives at the local, state and national levels and has been honored with numerous prestigious awards. To mention a few: Humanitarian and Caring Person Award from the Association for Multicultural Counseling and Development; Leadership Award, Ma ryland State Teachers Association; President’s Award, Maryland Association for Multicultural Counseling and Development and the Louis Rosenthal Memorial Award from the National Conference of Christians and Jews. In addition to her service in the area of education, Mavis served as chairperson of the Howard County, Maryland Martin Luther King, Jr. Holiday Commission; serves as Production Assistant on ‘Spotlight on Seniors’, a cable television program geared toward older adults, and has participated in the program, appearing in a segment on Estate Planning. She has co-authored an estate planning book, ‘Are Your Affairs In Order,’ and she and her co-author give free workshops to groups interested in the topic. A dedicated Hamptonian, Mavis remains active with alumni activities, including her class, the Middle Atlantic Region and she served as president of the Columbia, MD Alumni Chapter for twelve years. In memory of her late husband, she established the William H. Lewis Memorial Endowment Fund with The Community Foundation of Howard County and Hampton University. The annual scholarship benefits deserving, full-time students who are residents of Howard County and attend Hampton University. Page 6 Alumni News 2014—2015, Issue 3 Northern Virginia (NOVA) Chapter… Willie Williams, Jr. (CO '83), President NOVA NHAA, Inc Commemorates Founders Day Observance The Northern Virginia Chapter commemorated Founders Day for our Alma Mater by worshipping together at Alfred Street Baptist Church in Alexandria, Virginia on January 25. In addition to connecting with alumni members from the congregation, chapter members were graced with the choir’s excellent tribute to the late Andre Crouch. NOVA NHAA, Inc Supports Local College Fair Members from the Northern Virginia Chapter participated in the Alfred Street Baptist Church Annual College Fair at T.C. Williams High School in Alexandria Virginia on Saturday, February 21, 2015. NOVA members were part of over 70 universities and colleges represented at the college fair. The university admissions office sent representatives to conduct onsite admissions for local high school students. NOVA has supported this event annually. NOVA NHAA, Inc Has Festive Annual Scholarship Gala The Northern Virginia Chapter held its Annual Scholarship Gala at the Sheraton Hotel in Arlington, Virginia on Saturday, March 21, 2015. Hampton University Alumni and friends had a festive evening that featured dancing, a silent auction, and an address by the national president, Dorothy Lee-Murray. The NOVA Chapter has awarded over $200,000 in scholarships to local students attending Hampton University, has established an endowed scholarship at the university named for founders James A. and Lelia Freeman, and distinguished itself by its service to the Page 7 Alumni News 2014—2015, Issue 3 Chicago Chapter… John Martin Bean – Class of 1950 Retired educator, artist and photographer passed away suddenly March 6, 2015 after a brief illness. Born in Gary, Indiana on August 18, 1925 to industrious and artistic parents, Everett Thomas Bean Sr. and Vera Curry Bean, John was the third of five children. John’s love for art, horticulture, and math was cultivated at an early age. Through his lens he captured generations of people, places, friends, families and historical events. Attending Hampton University on an art scholarship in the early 40’s, John participated in numerous Hampton activities including football, Omega Psi Phi Fraternity, social clubs, civic organizations and as the “Hamptonian” art editor. John crafted many sculptors and ceramic pieces while serving as a campus student photographer to support his way through school. John and several other prominent artist created murals which hung on the windows of the Academic Building on campus. Today John’s mural entitled “Freedom” created in 1943 is magnificently displayed in the Hampton University Museum. His tenure at Hampton University was interrupted when he was called to serve his country in World War II. He held the rank of Sergeant and was stationed in the Philippines, during the signing of the 1946 Treaty of Independence. Even during the war, John documented the plight of African American solider and key historical events through thousands of pictures and detailed letters home. Upon his return to Hampton, He met his beloved wife of 63 years, T. Lovetta Kelly of Chicago, IL, also a member of the Class of 1950 and married in 1951. John worked for Fuller Products as a photographer and received his Masters from Northwestern University. As an educator and administrator in Gary and Chicago, John mentored students and colleagues for over 50 years. He was most proud of being the 1st principal of Mahalia Jackson Elementary School and his outstanding term as principal of Walt Disney Magnet School until 1990. He is survived by his beloved wife, fellow Hamptonian, T. Lovetta Kelly Bean. Page 8 Alumni News 2014—2015, Issue 3 Winston Scott, Jr. – Class of 1956 Accountant, cook and proud Hamptonian passed away February 24, 2015 in Atlanta, GA. Born in Atlanta, GA on May 28, 1934 to Mrs. Florence Scott and the late Mr. Winston Scott, Sr., Winston was the eldest son. Winston graduated from E.A. Ware Elementary School and Booker T. Washington High School in 1952. Winston completed his formal education at Hampton Institute in 1956. After graduating from Hampton, Winston joined the U.S. Army, earning the rank of Sargent. After serving for six years, both in the states and abroad, Winston moved to Chicago where he met the love of his life, Miss Odessa Porter. They were joined in matrimony on June 13, 1964, having one son, Stephen Scott. Winston was employed by the U.S. Federal Government, working for the IRS as an auditor for 30 years. Winston was a dedicated member of both the Booker T. Washington Alumni Association and the Hampton Alumni Association – Chicago Chapter. Winston was an avid cook. He loved cooking as well as eating. John Daryl Wooten – Class of 1982 Actor, singer, educator and entertainer passed away on March 10, 2015. John was born on October 12, 1960 to the union of Robert and Frances Wooten, both deceased. He was their third and last child. Big brother Robert, Jr. is a 1979 graduate of Hampton Institute. At the age of seven, John was diagnosed with Juvenile Diabetes, a disease that required constant attention and monitoring. John attended Morgan Park High School where he caught the “acting bug”. He carried that love and dream to Hampton Institute where he studied Speech and Communications. While at Hampton, John pledged Alpha Phi Alpha. His line brothers of Ramses would forma bound that would not be broken. John furthered his education at New York University and upon graduated appeared in his first movie “Beat Street”. John was now an official member of The Screen Actors Guild (SAG). His list of accomplishments after Beat Street included: Film/TV…Coming To America, Nuts, Batteries Not Included, The Secret Of My Success, Death Wish III, The Equalizer, Ryan’s Hope, One Life To Live and Different Drummers (Chicago). Off-Off Broadway… Purlie Victorious, Jonin’ and Tempest. The disease that was diagnosed at the age of seven, diabetes was starting to show its affects. John decided to go back to Chicago to share his talents with the children of the south side of Chicago. He became a teacher at his alma mater, Morgan park High School. Soon after, the diabetes was destroying his body. It first took one leg then the other. As a double amputee, he was forced to live not being able to get around freely. This would have stopped most people, but not John. A new career was born, DJ Woo. He immersed himself in music, crafting CDs and watching out for the newcomers. On July 30, 1994, John married Margaret Milton and together they became a blended family, her two daughters and his two daughters. John loved his family and loved taking care of them. He could cook, clean and fold laundry, the ultimate Husband, Father, Provider. 2015 REUNION WEEKEND Reunion Weekend 2015. But once the second half started, the Pirates kicked into gear. That 20-minute drive to the finish netted Hampton an 82-61 win over the Hornets and the 2015 MEAC Tournament title – the Pirates' second such crown under head coach Edward Joyner Jr. and the first since 2011. Hampton has won five MEAC Tournament titles. PIRATES PUSH PAST MANHATTAN IN NCAA FIRST FOUR DAYTON, Ohio – (3.17.15) The momentum from winning the MEAC Tournament – four games in six days – carried over for the Hampton University men's basketball team on Tuesday night at UD Arena, as the Pirates withstood a push from Manhattan to take a 74-64 win in the First Four. The Pirates (17-17), having picked up their first NCAA Tournament win since 2001's historic upset of Iowa State, advance to the second round in the Midwest Region – where overall No. 1 seed Kentucky awaits on Thursday in Louisville, Ky. at 9:40 p.m. EST. PIRATES’ RUN ENDS AGAINST NO. 1 KENTUCKY LOUISVILLE, Ky. – (3.20.15) Given the run the Hampton University men's basketball team's been on over the past week and a half -- five games over the course of eight days and all the notoriety that came with it, one might wonder when the magic would run out. Enter No. 1 overall seed Kentucky, which defeated the Pirates 79-56 Thursday night in the second round of the NCAA Tournament. I would like to thank all of our supporters (ALUMNI, BOOSTERS, ADMINISTRATORS, FORMER ATHLETES, PROFESSIONAL ATHLETES AND FRIENDS) who came out to the Meet and Greet at the Courtyard Marriott on Thursday night, and for representing during the MEAC Tournament Monday thru Saturday. Congratulations to the Lady Pirates Basketball team for winning their 5th regular season MEAC Championship. Our girls fell short in the first round of the MEAC Tournament to Maryland Eastern Shore. The Lady Pirates then survived the first round of the WNIT with a 45-42 win over Drexel but saw its run in the WNIT end as West Virginia came away with a 57-39 win in the second round. The Lady Pirates ended the season at 19-13. Congratulations to Coach Joyner and the Men’s Basketball team for winning the MEAC Championship. The National Hampton Alumni Association, Inc. seeks to be inclusive and to include alumni, students, parents, faculty, administration, staff, friends, partners, significant others, and prealumni. Our mission is to raise funds for the University, help with the recruitment of students, develop alumni chapters, and to enhance the Hampton Legacy. “Together...We Make A Difference” Proposed Changes to the Bylaws for the National Hampton Alumni Association, Inc. A review of the Bylaws for the National Hampton Alumni Association, Incorporated was performed. During the review, the a number of concerns were identified. The concerns and proposed changes are included in the following report. Article I - Authority Section 1: Purpose: Current: (c) Propose and manage an Annual Program Budget Proposed Change: (c) Propose and manage an Annual Program Budget Basis for Change: This part of Section 1: Purpose, should be removed because it is not our mission, it's something we do to operate efficiently. All effective organizations have a budget. Section 3: Elections: Current: An election of the national officers President, First Vice President, Vice President (Eastern Regions), Vice President (Western Regions), Recording Secretary, Corresponding Secretary, and Treasurer shall be conducted among the regular voting membership in even-numbered years. Proposed change: An election of the national officers for the board positions of National President, First Vice President, Vice President (Eastern Regions), Vice President (Western Regions), Recording Secretary, Corresponding Secretary, and Treasurer shall be conducted among the regular voting membership in even-numbered years. Basis for change: To add clarity to the statement, and to accurately describe the position of board president as "National" President. Current: A ballot shall be prepared and distributed to each regular voting member by e-mail, postal mail, and/or other electronic means by March 1st of the even-numbered years. Proposed change: A ballot shall be prepared and distributed to each regular voting member by e-mail, postal mail, and/or other electronic means by March 1st of the even-numbered years. Basis for Change: the Bylaws won't have to be revised each time a new/different/more efficient way of communicating with the membership is developed. Article II - Membership Current: There shall be three (3) classes of membership. Section 1: Regular Voting Membership All holders of degrees, diplomas, and certificates heretofore and hereinafter granted by Hampton University and its predecessors, and all persons who attended Hampton University and its 1 predecessors for at least on semester (including a summer session) and left in good standing, are afforded voting membership in the NHAA, Inc. Proposed change: Current: There shall be three (3) four (4) classes of membership. Section 1: Regular Voting Membership All holders of degrees, diplomas, and certificates heretofore and hereinafter granted by Hampton University and its predecessors, and all persons who attended Hampton University and its predecessors for at least on semester (including a summer session) and left in good standing, are afforded voting membership in the NHAA, Inc. Section 5: Voting Membership Any regular member, as defined in Section above, who has participated in alumni giving at least once in the last five (5) years shall have voting rights in the NHAA, Inc. Basis for Proposed Change: First, according to our Bylaws, (Article 1 Section 1 Part a), one of the main purposes of NHAA Inc. is to raise monies for Hampton University. Any person considered to be an active member of an organization, with all membership privileges (including voting), should at least be a supporter of the organization's mission or purpose. Second, this gives the regular member an opportunity to show interest in HU and NHAA Inc. Even in US elections, ballots are not just mailed out to any and every American citizen; a person has to show interest/initiative in voting they have to go to the polls or request an absentee ballot. Five (5) years will give each NHAA Inc. regular member the opportunity to at least give during their reunion year if at no other time. Since we don't have dues, this can be a means of distinguishing active vs. inactive membership. third, since HU gives receipts for contributions, they would probably have updated contact information for those persons. This will be helpful in making sure ballots reach every voting member. When the 3 Board of Directors is not in session. this Executive committee shall have the responsibility of attending to managing the day-to-day functions of the NHAA Inc.'s Board of directors. Basis for proposed change: To clarify the duties and responsibilities of the Executive Committee of the Board of Directors Article VI - Standing Committees Section 2: Current: After the election of the national officers, the National President shall appoint the following Standing Committees of the Board, namely: Credentials, Audit, Merit Awards, Parents, Mentorship-Career Network, Alumni-Giving, Student Recruitment and Retention. Standing Committees may be combined at the discretion of the Nation President. Proposed Change: After the election of the national officers, the National President shall appoint the following Standing Committees of the Board, namely: Credentials, Audit, Merit Awards, Parents, Mentorship-Career Network, Alumni-Giving, Student Recruitment, and Retention. Standing Committees may be combined at the discretion of the Nation President. Basis for proposed change: Remove an unnecessary word from the sentence. the comma adds clarity to the sentence. Section 4: Current: (a) Credentials - Shall pass upon the credentials of the Alumni Council, Official Delegates, Members-at-Large and provide for their proper identification. It shall also verify the credentials of candidates nominated for national office as well as request of members seeking recognition as a Chapter. Current: (d) Parents - shall serve as the coordinating body with parents of all students and former students of Hampton University and its predecessors. Former students who attended Hampton Institute are no longer students; they are probably Alumni. In addition, the purpose of the committee is unclear. Current: (e) Mentorship-Career Network - shall coordinate all activities between the NHAA, Inc. and students at Hampton University and its predecessor. Proposed Change: (e) Mentorship-Career Network - shall coordinate all activities between the NHAA, Inc. and students at Hampton University. and its predecessor. Basis for Proposed Change: "and its predecessors" no longer applies. Former students who attended Hampton Institute are no longer students; they are probably Alumni. Proposed Change: (i) Time and Place Committee - Shall provide the board with recommendations as to dates and locations for biennial meetings of the National Hampton Alumni Association. For planning purposes, the committee will ensure five meetings are always in the planning phase. The schedule will be provided in a report that will be due at the Board of Directors Meeting at the Biennial Meeting. Members of the committee will be at a minimum, the Eastern Vice-President, the Western Vice-President, and all Regional Presidents. In addition, the National President will appoint the chair for the committee. Current: Article VII - Special Committees Current: Special committees appointed by the National President shall include, but not be limited to: 1. Nominations - shall submit nominations to the board of directors of the NHAA, Inc., at the Board meeting prior to the Annual Plenary Session of even-numbered years, for voting by the regular membership. 2. Teller - shall assist in developing election procedures; shall be responsible for accurately recording the ballot count of all national elections; shall be responsible for reporting the election results to candidates prior to the Plenary Session. Proposed Change: Current: The National President has the authority to appoint all special committees except the Nomination Committee and the Teller Committee. The NHAA Board of Directors shall appoint the following special committees: 1. Nominations - shall submit nominations to the board of directors of the NHAA, Inc., at the Board meeting prior to the Annual Plenary Session of even-numbered years, for voting by the regular membership. 5 2. Teller - shall assist in developing election procedures; shall be responsible for accurately recording the ballot count of all national elections; shall be responsible for reporting the election results to candidates prior to the Plenary Session. Basis for proposed change: The current edition of Robert's Rules of Order Newly Revised, states in Chapter XVI, Nominations and Elections, in the section on Nominations by a Committee (page433), that "...in an organized society the president should not appoint this [Nomination] committee or be a member of it- ex officio or otherwise." Article X - Duties of the National Officers Current: Section 1: President - shall have the usual executive powers of supervision and management of the NHAA, Inc., including, but not limited to: (f) Appoint the Chairperson and members of all standing and special committees; Proposed Change: (f) Appoint the Chairperson and members of all standing and special committees with the exception of the Nominations and Teller special committees. Basis for proposed change: The current edition of Robert's Rules of Order Newly Revised, states in Chapter XVI, Nominations and Elections, in the section on Nominations by a Committee (page433), that "...in an organized society the president should not appoint this [Nomination] committee or be a member of it- ex officio or otherwise." Current: Section 5: Treasurer - shall serve on the Budget Committee and keep an update of the sources, receipts, and disbursements of all NHAA, Inc. funds. Proposed Change: Section 5: Treasurer - shall serve on the Budget Committee and keep an update accurate accounting of the sources, receipts, and disbursements of all NHAA, Inc. funds. Basis for Proposed Change: To clarify the duties and responsibilities of the Treasurer. Section 7: Parliamentarian - shall be appointed by the President and shall ensure proper parliamentary procedure is followed at all meetings of the NHAA, Inc. Proposed Change: Section 7: Parliamentarian - shall be appointed by the National President and shall advise the presiding officer regarding the use of parliamentary procedure as defined by the current revision of Robert's Rules of Order, at all meetings of the NHAA, Inc. Basis for Proposed Change: To provide clarity to the position of Parliamentarian. The current edition of Robert's Rules of Order Newly Revised, states in Chapter XV, Officers; Minutes and Officers' Reports, in the section on Appointed Officers or Consultants (page 465), that "The parliamentarian is a consultant, commonly a professional, who advises the president and other officers, committees, and members on matters of parliamentary procedure. The parliamentarian's role during a meeting is purely an advisory and consultative one-since parliamentary law give to 6 the chair alone the powers to rule on questions of order or to answer parliamentary inquires." The President is the presiding officer, and is responsible for ensuring the use of proper parliamentary procedure at all meetings of the NHAA, Inc. Article XII - Council of Regional Presidents Current: The council shall advise the Board of Directors and make recommendations in reports to the Board of Directors of the NHAA, Inc. Proposed Change: The council shall advise the Board of Directors their respective Regional Vice President and make recommendations in reports to the Board of Directors of the NHAA, Inc. their respective Regional Vice President. Basis for Change: Having the Council of Regional Presidents report to their Regional Vice President creates a graded approach to problem solving within the Alumni Association. It gives the Regional Vice Presidents an opportunity to resolve issues within their respective regions before it rises to the level of the Board of Directors for resolution. Only those issues that can't be resolved at the Regional Vice President level should reach the Board of Directors for resolution. A meeting frequency will be established by the council. Basis for Proposed Change: It might be a good idea to codify when the council should meet. Article XIII - Council of Chapter Presidents Current: This council shall advise the Board of directors of the NHAA, Inc., and make recommendations tin reports to the board of directors of the NHAA, Inc. Proposed Change: This council shall advise the Council of Regional Presidents and make recommendations tin in reports to the Board of Directors of the NHAA, Inc. The Council of Regional Presidents. A meeting frequency will be established by the council. Basis for Change: Having the Council of Chapter Presidents report to the Council of Regional Presidents creates a graded approach to problem solving within the Alumni Association. It gives the regional presidents an opportunity to resolve issues within their respective regions before it rises to the level of the Board of Directors for resolution. Only those issues that can't be resolved at the regional level should reach the Board of Directors for resolution. Correct the typo "tin". It might be a good idea to codify when the council should meet. Article XIV - Council of Reunion Class Leaders (CORL) Current: There shall be a Council of Reunion Class leaders of each reunion class which council shall be convened by the First Vice President prior to the Reunion Weekend. 7 Proposed Change: There shall be a Council of Reunion Class Leaders of representing each reunion class which council and shall be convened by the First Vice President prior to the Reunion Weekend. Basis for Proposed Change: To clarify the duties and responsibilities of the Council of Reunion Class Leaders. As part of the title, the "L" in "Leaders" should be capitalized. Current: (a) The CORL shall serve an additional means by which alumni, through their class loyalties, may be bound more closely to Hampton University and to one another. CORL shall give priority attention to alumni-giving; to promoting and strengthening the NHAA, Inc.'s national program and outreach, and increasing attendance at the Regional and national Sessions of the NHAA, Inc. and during Reunion Weekend. Proposed Change: (a) The CORL shall serve an additional means by which alumni, through their class loyalties, may be bound more closely to Hampton University and to one another. CORL shall give priority attention to alumni-giving; to promoting and strengthening the NHAA, Inc.'s national programs and outreach, and increasing attendance at the Regional and National Sessions of the NHAA, Inc. and during Reunion Weekend. Basis for Proposed Change: The "s" was added because the NHAA, Inc. has more than one national program. Current: (b) In furthermore of said aims, the President of each official reunion class shall serve a one-year tenure on the alumni council during his/her class reunion year and each reunion class president shall work closely with the First Vice President in building a program and procedure by which class members will be located, revitalized, where necessary; involved where possible and kept personally informed concerning the NHAA, Inc., and Hampton University. At the end of his/her one year tenure on the Alumni Council, he/she will make a written report (to his/her class and the board of directors of the NHAA, Inc.) which shall contain such recommendations and comments as he/she shall deem appropriate. Proposed Change: (b) In furthermore of said aims, the President of each official reunion class shall serve a one-year tenure on the alumni council during his/her class reunion year and each reunion class president shall work closely with the First Vice President in building a program and procedure developing a strategy by which class members will be located, revitalized, where necessary; involved where possible and kept personally informed concerning the NHAA, Inc., and Hampton University. At the end of his/her one year tenure on the Alumni Council, he/she will make a written report (to his/her class and the board of directors of the NHAA, Inc.) which shall contain such recommendations and comments as he/she shall deem appropriate. Basis for Proposed Change: To clarify the duties and responsibilities of the Council of Reunion Class Leaders. 8 Current: The First Vice President shall appoint a Presidential delegate for any class that is not organized or the event there is no successor for a vacancy which occurs between reunions. Purposed Change: The First Vice President shall appoint a Presidential delegate for any class that is not organized or in the event there is no successor for a vacancy which occurs between reunions. Basis for Proposed Change: The "in" was added to clarify the authority of the First Vice President to appoint a presidential delegate Council of Reunion Class Leaders. Article XV - Alumni Council (i) Presidents of alumni professional association(s) Basis for Proposed Change: There may be more than one professional association associated with the Alumni council. Article XIX - National Meetings Current: The Board of Directors of the NHAA, Inc., has the authority to conduct a national meeting of alumni, the program of which shall be developed by the Board of Directors. The Board has the option of implementing the National Meeting in even-numbered years (biennial). Proposed Change: The Board of Directors of the NHAA, Inc., has the authority to conduct a national meeting of alumni, the program of which shall be developed by the Board of Directors. Basis for Proposed Change: To clarify the duties and responsibilities of the Board of Directors for conducting National Meetings of the alumni in even-numbered years. Article XXIV - Dissolution Clause Section 1: In the event of dissolution or final liquidation of the NHAA, Inc., (a) none of the property of the NHAA, Inc. or any proceeds thereof shall be distributed to or divided among any of the officers or inure to the benefit of any individuals; and (b) after all liabilities and obligations of the NHAA, Inc. have been paid, satisfied and discharged, or adequate provision made therefore, then all remaining property of the NHAA, Inc. and the proceeds thereof shall be distributed to Hampton University, provided that such organization is an organization described in Section 501(c)(3) of the Internal Revenue Code of 1954, as amended, provided that if Hampton University does not qualify, then such distribution shall be made to an organization which does so quality, upon condition that such organization receiving such distribution shall apply and devote such assets exclusively for the benefit of Hampton University. 9 Section 2: The Board of Directors shall develop and implement strategies that ensures all regions and chapters of the NHAA, Inc., have a dissolution clause documented in their respective Bylaws. Basis for Proposed change: Many States require non-profit corporations operating in their boundaries to have dissolution clauses if they are involved in fund raising activities. Table of Contents: Current: Indicates the Bylaws has XXIII Articles. Proposed change: Revise the Table of Contents to include Article XXIV, Dissolution Clause.
