Rent will be billed to you by Cushman & Wakefield. Late rent is subject to late rent charges and interest in accordance with your lease. Every Tenant will receive a monthly rent statement; however, the obligation to pay rent does not depend on receipt of a statement and monthly rent must be paid whether a statement is received or not. In order to insure that your account is properly credited, your check for rent should include only rent and no other payments. Payments for other services should be made by additional check(s). Your checks for rent and other charges should be made payable to: PHILADELPHIA LIBERTY PLACE, L.P. and mailed to: Philadelphia Liberty Place, L.P. 24407 Network Place. Chicago, IL 60673-1407 Your lease specifies when late charges and interest may be imposed. For administrative uniformity and without waiving its rights under the lease, the Landlord shall consider as paid late and subject to late charges and interest, all rent not received at the above address by the tenth (10th) day of each month. USE AND OCCUPANCY TAX (U & O TAX) Every commercial landlord in Philadelphia is required to collect this tax and remit it to the City which uses it for the school system. A statement for U & O Taxes is sent by Cushman & Wakefield to each Tenant once. You will not receive another statement unless there is a change in the U & O rate. This statement shows the U & O Taxes to be remitted monthly. Each month payment should be made by separate check to Cushman & Wakefield to insure that your U & O account is properly credited. If payment is not received by that date, the Tenant will be reported as delinquent to the City by Cushman & Wakefield. The City will then impose penalties directly to the Tenant. For the purposes of U & O Tax collection, the City requires that each tenant furnish its Mercantile License Number to Cushman & Wakefield. The U & O Tax is not an operating expense of the Building: the Landlord is obliged by law to collect it for the City. The U & O Tax is calculated by the multiplication of the current U & O rate per rentable square foot per year. Divided by 12 months, this becomes the rate per month. This rate is multiplied by the Tenant’s rented area for the Tenant’s U & O tax per month. Building Guards provide surveillance in the Building Lobby, continually man the Security Desk, investigate specific security incidents, and secure the public entrances to the Building after Standard Building Hours and perform guard tour inspections of all common areas and elevator lobbies during non-business hours. Security services are performed 24 hours every day, including holidays. Surveillance in the Building Lobby In addition to the Guard at the Security Desk, other Guards continually patrol the Building Lobby during normal business hours. All Guards are in radio contact with each other and with the Security Desk. One of the primary functions of these Guards is the identification of those people that appear to have no legitimate purpose in the Building. While every effort is made to enforce thorough security in the Building Lobby at all times, it must be remembered that the Lobby is a public place during normal business hours, that the Building Guards are not police and do not have police powers, and not every “undesirable” person entering the Building will appear as such. Cooperation between Tenants and Building Management The most effective security is obtained when there is a spirit of cooperation between Building occupants, Building Management and the Guard Staff. Every stranger, circumstance or situation that “doesn’t look right” should be reported to Security. The Guards will respond. Building Management at One Liberty Place is committed to providing a very high degree of visible, responsive and effective security. Working together, Tenants and Building Management can make the message heard on the street: One Liberty Place is not an “easy building” for the would-be thief to operate in. Security Desk A Building Guard is continually on duty at this location. This Guard is in radio contact with the other Guards, with Building Engineers and with Building Management. If you have a security problem or see someone or something suspicious, call the Security Desk at 215-851-9001 immediately. There is never any reason to feel foolish because “it might be a false alarm.” When in doubt, CALL THE SECURITY DESK. Visitor Sign-In Desk The Visitor sign-in desk on the ground floor is the point for all visitors to register. It is manned by a Building Guard Monday – Friday 7:00 a.m. – 7:00 p.m. The visitor sign-in desk phone number is 267-519-5119. Building Security: After Hours Access Access to One Liberty Place during Security Hours (7:00 p.m. to 7:00 a.m. Monday through Friday and from 7:00 p.m. Friday until 7:00 a.m. Monday morning) is controlled by a computerized access system and photo access cards. The access card is used as follows: The Card Holder approaches the Security Desk and badges the card at the “IN” proximity card reader built into the Desk. The Card Holder’s name, firm, date, time and a “signed in” message are automatically stored on the Card Access System server. If a Card Holder has a problem with the access card, i.e. it is an invalid card (it is voided or deleted from the system for some reason); the Guard will receive a printed message on the printer at the Security Desk. He can then display the card on the card access system monitor to check the status of the card. However, any changes that have to be made to an access card’s status (access level, valid, invalid, etc.) will have to be made through the Building Management Office. The Guard does not have the capability to make changes to access cards. The Card Holder approaches the appropriate elevator bank and badges the card at the proximity card reader in any elevator in that bank (all elevators are equipped with card readers). The Card Holder then selects the floor for which he or she is authorized. The elevator will only respond to a destination for which the card has been authorized. Upon leaving the office, the Card Holder simply summons the elevator in the normal fashion, enters and automatically returns to the Ground Floor. The Card Holder then approaches the Security Desk and again badges the card at the “OUT” proximity reader. All of the information mentioned above is again stored on the Card Access System server. Signing In / Out and Record Keeping Although there is nothing physically to require a Card Holder to badge in or out at the Security Desk readers, it is a firm Building policy that all after-hours users of the Building do so. We request that all Tenants cooperate with this policy by requiring their employees to log in and out every time they enter or leave the Building during Security Hours. Since all sign in/out activity is recorded on the Card Access System server, the information may be retrieved and printed out for any Tenant wanting to know which of its employees were in the Building and for what period during Security Hours. Building Security: Building Access Normal Building Hours For the purposes of Building Security, the normal Building hours are 7:00 a.m. to 7:00 p.m. Monday through Friday. During all other times, (Security Hours), each individual must use a tenant access card to first log in or out at the Security Desk and to travel to tenant floors via the card access elevators. For the purposes of heating and cooling occupied space, the normal Building hours are 8:00 a.m. to 6:00 p.m. Monday through Friday and 8:00 a.m. to 1:00 p.m. Saturday, except holidays. No service is provided on the following holidays: New Year’s Day, Martin Luther King’s Birthday, Memorial Day, Fourth of July, Labor Day, Thanksgiving Day and Christmas Day. Visitor Access One Liberty Place has in place a Visitor Management System to allow tenants to pre-register their guests to the building. This system is state of the art technology used to better control and expedites visitor access; however, it should be recognized no system alone can guaranty or assure absolute access control. This is particularly true in buildings with diverse visitor traffic and retail establishments such as One Liberty Place. This system should be viewed as an additional enhancement to a continual program of security and safety aimed at making your tenancy more comfortable, productive and safe. It is not mandatory for tenants to pre-register visitors; however, we strongly suggest it as visitors who are not pre-registered will not be allowed access until security verifies they are expected by a tenant. Building Management does not wish to restrict a tenant's ability to conduct business at any time; however, we do not want to grant unrestricted access to a tenant's floor. Tenants can access the Visitor Management System through the Building's website at www.onelibertyplace.net. In order to log on to the System, tenant employees must first be assigned user names and passwords by Building Management. Building Security: Building Staff The Building Guards DO NOT have keys to the Tenants’ offices and therefore cannot assist with tenant entry. Each night the Cleaning Supervisor takes the cleaning floor master keys out of locked storage and distributes them to the cleaning crew. At the end of the cleaning shift, all keys are accounted for and are again placed in locked storage. All packages carried by cleaning personnel leaving the Building are checked by the Building Guards nightly. The Building Staff is uniformed. Guards wear dark blue suits with the One Liberty Place emblem. Day porters wear white shirts with the One Liberty emblem and dark blue trousers. Engineers and maintenance men wear blue shirts with the One Liberty emblem and dark blue trousers. In the summer, both day porters and engineers wear dark blue summer shirts with the One Liberty logo. Night cleaning personnel are in blue uniforms issued by the janitorial contractor. If you do not recognize someone claiming to “work for the Building”, do not allow the person access to your offices. Ask the person to wait and call the Security Desk at 215-851-9001. The Building Management Office will not send a contractor or vendor to your offices unescorted. Therefore, you should challenge anyone who comes to your offices claiming to have been sent by Building Management to “look at something”. Building Security: Deliveries Loading Dock Sign-In Desk Contractors and delivery personnel entering the loading dock must sign in with the Guard at the sign-in desk in the loading dock. The Building has a Visitor Management System at the dock sign-in desk. Each visitor must show photo identification and the guard will either scan the person’s license into the computer or take their photograph and issue a temporary photo visitor badge. It is up to the visitor/delivery person whether the guard scans their license or they have their photo taken. The only information scanned from a license is the person’s name and photograph. The system is not set up to scan any other information. The desk is manned by a Building Guard 6:30 a.m. – 5:00 p.m. Monday – Friday, however, delivery hours are 7:00 a.m. – 5:00 p.m. Dock sign-in desk phone number is 267-519-5120. Building Security: General Office Security Basic Security Awareness We strongly suggest that each Tenant make its employees aware of the importance of being security conscious at all times. This is the sort of message that people can forget and it has to be repeated from time to time. We offer the following basic “rules”: 1. One person should be designated to secure the office door at night. This is too often a case of: “I thought you were going to do it.” Do not leave the office door unlocked for the night cleaners: they have keys. 2. Special care should be exercised during those times best suited for office theft – just after opening in the morning and just hours before closing at night – when the office is lightly occupied and a potential thief can gain access without being confronted by office workers. 3. Challenge strangers in your offices or on your floor. The simple question: “Can I help you?” “You look lost” can often elicit a response that is a tip off on whether the person’s business is legitimate. The stock-in-trade response from most office building sneak-thieves is “I’m looking for a job” or “I’m looking for the Personnel Department”. If you have any doubts, please call the Security Desk or the Building Management Office immediately. 4. The location of employees’ cash is too often as follows: Women: pocketbook under a desk, in a bottom drawer of desk or in the bottom of a file cabinet. Men: Wallet left in jacket hanging on a hook on back of a door. Even the run-of-the-mill sneak thief, perhaps in the guise of delivery man, etc. knows these locations. Don’t get stung. 5. The Reception Area is often a Tenant’s only “line of defense”. Don’t leave it unattended. 6. Secretaries are often the keepers of the office keys but they may keep them where any novice thief can find them: in their unlocked desk drawers. 7. All keys and access cards should be collected from employees leaving the Tenant’s employment. If keys or access cards are lost, notify Building Management. 8. Special care should be taken to secure calculators, personal computers, VCR’s and other hi-tech electronic items: these are very attractive items both for personal use, and “the street market”. Laptop computers and small electronics are especially vulnerable since they are so easy to conceal. 9. Do not enter an elevator that has a suspicious person in it. Wait for the next elevator. If you are in an elevator and need assistance, press the yellow emergency alarm button. 10. Do not allow persons into your offices who claim to have been “sent by the Building.” We will not send contractors, etc. to your offices unescorted. If you do not recognize someone claiming to be a Building employee, call the Building Management Office or the Security Desk. Building Security: Key and Lock Policy Two keys per lock are provided to each Tenant at the time of initial occupancy. Additional keys can be provided by the Building on a unit cost basis. Tenants cannot have keys duplicated outside the Building. The duplicate key will be made from your copy, in other words, a copy from a copy – and this may damage your locks. The Building makes all keys from originals. Do not change any locks without first notifying the Building Management Office. Every time your office lock is changed, the new lock has to be keyed to the great grand master and cleaning master key for your floor. If not, your space cannot be cleaned. Guards do not have keys to Tenant premises; therefore, always remember to carry your keys with you. All women’s toilet rooms on multi-tenant floors are kept locked for security reasons. It is recommended that they be kept locked by the Tenants on single-tenant floors as well. Photo Access Cards Each Tenant should order photo access cards for each of its employees. The employees are required to show their cards to security during regular hours to enter the Building. After hours, the access cards must be badged at the card readers to gain access to the Building. There is a charge for each access card, which covers the cost of supplying the card, and all administrative work (programming, record keeping, etc.) in connection with it. Photo access cards are issued by appointment only. Tenant Liaisons should call the Building Management Office to schedule appointments. Appointments are normally scheduled for Monday, Wednesday or Friday between the hours of 9:30 a.m. – 11:30 a.m. and 1:00 p.m. – 3:00 p.m. Each access card will be programmed according to the Tenant’s instructions for a floor or group of floors. For example, a multi-tenant floor may wish to give a particular employee access to only one floor, to several of its floors or to all of its floors. The Building Management Office will maintain records on all photo access cards issued: Tenant, employee name, level of access, etc.; however, it is the Tenant’s responsibility to notify the Building Management Office whenever a card is lost or an employee is terminated. In the case of lost card, the card access computer will be programmed to reject this card on all subsequent attempts at entry. In the case of the terminated employee, even though the card will be programmed to reject the card, the Tenant should retrieve the card so it can be destroyed. It is important that Building Management receive immediate information in this regard so that subsequent use of the access card will not be authorized. Tenant employees who forget their access cards should report to the main security desk in the lobby where the guard will look them up in the card access system to verify they have a valid access card in the system. After verification, security will issue them a Visitor’s badge. If the employee does not have a valid access card in the system, the security will have to call the tenant for verification. Building Security: Property Removal Tenant Package / Equipment Removal Package/Small Equipment Passes: Each time a Tenant allows its employees, vendors or others to remove packages and/or equipment from the Building, the Tenant must provide that person with written authorization (a “Package Pass”) on Tenant’s letterhead. The Package Pass should identify the item(s) being removed in reasonable detail and should be signed by an authorized person on the Approval Signature Sheet for Package Passes so that the Building Guard can quickly verify that the removal is legitimate. Please complete the Approval Signature Sheet and send to the Building Management Office. Building Services: Building Signage and Directory Building Directory: There is a computerized directory in the main lobby. 'Tenants may have their firm name and floor as well as the names of their employees listed. Visitors can find a tenant's location by alphabetically selecting the Tenant's name. The guards at the Security Desk will provide assistance if necessary. Tenant Suite Identification: Each Tenant on a multi tenant floor shall be listed on a directory in the elevator lobby on that floor. In addition, building-standard suite identification has been provided as part of each Tenant’s construction package. All other signage in the common areas of the Building must have prior written approval from the Building Management Office. Building Services: Cleaning Cleaning of office space will be done between 5:00 p.m. and 1:30 a.m. Monday through Friday. Cleaning Specifications are contained in the Exhibit section of tenant leases. The Building’s daytime cleaning staff will keep the common areas, sidewalks, elevators and washrooms clean. No service is provided on the following holidays: New Year’s Day, Martin Luther King’s Birthday, Memorial Day, Fourth of July, Labor Day, Thanksgiving Day and Christmas Day. 1. Any items to be disposed of that are not in a waste basket must be clearly marked “TRASH”. Do not use waste baskets as “storage containers” for items not intended to be discarded, nor put such items alongside trash containers. Items so placed may be removed with the nightly trash and may be irretrievably lost. 2. Large boxes and cardboard to be discarded must be placed in the service vestibule on each floor adjacent to the freight elevators. All moving companies, vendors, carpet installers and other tenant contractors are responsible for removing their own trash from the Building. If the Building has to remove furniture or trash left by a Tenant or Contractor, the Tenant will be charged for this additional service. 3. The cleaning staff uses two types of trash bags in your trash containers in order to sort recyclables from non-recyclables. Clear bags are used in office waste cans. Recyclable materials such as clean office paper, plastic water bottles, rinsed soda cans and bottles may be placed in these cans. Black bags are used in rest rooms and kitchens. Non- recyclable materials such as wet paper, food waste, and food containers should be placed in these cans. 4. Lamp replacement in Tenant premises is the Tenant’s responsibility. Lamp replacement can be done by the Building Staff on a unit price basis. Please call the Building Management at (215) 851-9000 for details. 5. Special cleaning requests such as additional cleaning, etc. can be made through the Building Management Office which will quote on such additional cleaning services. 6. The Building cleaning staff will vacuum and spot clean carpet, however, shampooing or programs of carpet care are the Tenant’s responsibility. The Building Management Office can provide names of carpet cleaning contractors which service other tenants in the Building. Window Washing The glass revolving and swing doors in the Ground Floor Lobby will be cleaned daily. Office exterior windows will be cleaned on floors 3 – 46 three times annually, floors 47 – 58 two times annually. Office interior windows are cleaned once annually and each Tenant Liaison will be notified before the interior window washing begins in the Tenant’s premises. The interior glass cleaning will be done during normal business hours. Building Services: Electricity Metered Electricity All electricity supplied to the leased premises for lighting and office equipment power is metered in the electric closet on each floor. The electricity used is billed to the Tenant monthly by a third party meter reading company (Energy Management Systems) at the prevailing rates of PECO Energy. As we all know, the cost of electricity is significant; each Tenant should take steps to control this cost by shutting off all lights and equipment when not needed. The cleaning crew has been instructed to turn off the lights after tenant offices have been cleaned for the night. Mechanical and Electrical Systems 1. Should you experience a problem with any of the electrical or mechanical (heating, cooling, etc.) systems serving your premises, the Tenant Liaison should call the Building Management Office. A Building Engineer will be sent to investigate the problem. A Building Engineer is on duty 24 hours a day. 2. CAUTION: Never attempt to solve an electrical or mechanical problem yourself. Never touch any electrical wiring in the walls or above the ceilings. The electrical voltages in modern office buildings are high (a typical fluorescent light switch carries 277 volts) and are potentially very dangerous if not handled properly. Never attempt to install a dimmer on a fluorescent light circuit: a standard dimmer can cause a fire if used in this way. 3. HVAC System: A central fan with a cooling coil supplies cold air to Variable Air Volume (VAV) boxes above the Tenant’s ceiling. These VAV boxes are equipped with circulating fans and are connected by ductwork to selected fluorescent light fixtures that have air slots along the sides, and linear diffusers above the windows. If the office space is too warm, the full amount of cold air from the central fan is supplied to the office through the VAV box. As the office cools down the fan in the VAV box mixes warmer air from above the ceiling with the cold air being supplied so that the air supply to the office is tempered. In either case, the total volume of air supplied remains approximately constant so that there is no “stuffiness”. If, in winter, the perimeter offices become too cold, electric heating coils in the VAV boxes are energized to heat the air supply to the office. One Liberty Place has a computerized HVAC Control System known as Direct Digital Control (DDC). This is a totally integrated electronic system controlled and monitored by a central processing unit. Each VAV box in the Building represents a control point and, in total, there are approximately 1400 points in use. Control over the VAV boxes in the tenant’s office is provided by a wall-mounted “thermistor” which continually monitors the space temperature and provides a signal to the VAV central processing unit which, in turn, controls the operation of the VAV box. The thermistor bias settings and adjustments are made by Building Management via the VAV central processing unit. If your offices are too cold or hot, please call the Building Management Office. Building Services: Elevators One Liberty Place is equipped with state of the art electronic, computer-controlled Otis Elevonics 411 elevators. There is a total of 27 elevators in the Building: 5 Low Rise Elevators: Ground Floor and 6 through 20 1 Low Rise Elevator: Ground Floor, 6 through 20. (4th floor access is for building staff only). 1 Low Rise Shuttle Elevator: Ground Floor, (2nd floor temporarily disabled) and 3rd floor. 5 Low Mid-Rise Elevators: Ground Floor and 21 through 32. 6 High Mid-Rise Elevators: Ground Floor and 33 through 46. 5 High Rise Elevators: Ground Floor and 46 through 54. 2 High Rise Shuttles: at 54th Floor serving 54 through 61. One elevator serves 54 - 58th floors and the other serves 54 through 61). 2 Freight Elevators: Service all floors Lower Level 2 through 57. There is a charge per hour of use. Please contact the Building Management Office for details. For those Tenants who need continuous, supplemental cooling for special areas such as computer rooms, telephone equipment rooms, etc., the Building can furnish cooling water for a tenant-installed, packaged air-conditioning unit. There is a charge per air-conditioning ton of capacity per year. Please contact the Building Management Office for details. Building Services: Mail Service The Building mail facility, operated by the U.S. Postal Service, is located on Lower Level 1and is reached by using the freight elevators or the exit stairway on the east side of the ground floor lobby. All tenants' access cards are programmed to operate the doors leading into the mail facility. Tenants requiring a mailbox must notify Building Management. Building Management will notify the U.S. Postal Service who assigns the mailboxes and issues keys to the boxes. Overnight mail carrier boxes are located on Lower Level 1in the mail facility. Building Services: Maintenance Requests Maintenance requests may be entered through the Building Engines Work Order system at www.requestcom.com. On the opening page - client log in - enter your user name and password. If you do not have a Building Engines log in name or password, please contact the building management office at 215-851-9000 and log in credentials will be forwarded to you. Building Services: Telecommunications Telecommunications One Liberty Place is “pre-wired” for telecommunications by Verizon which has its own computerized telecommunication switch; however, each tenant is free to choose any telecommunication provider and system that meets its needs. 1. The Verizon Facility is located on the 4th floor and contains a telecommunications switch room. From this point, Verizon’s phone risers extend up and down in the Building core. 2. “Rooftop Antennas: The Building’s 61st floor contains land/mobile broadcast and microwave antennas. The Building spire contains FM broadcast antennas. Telecommunications Properties, Inc. administers both facilities. Their phone number is (214) 231-3347. 3. Cable Television: One Liberty Place is wired for cable television. Comcast is the provider. Their telephone numbers are (215) 468-2222 or (215) 463-1100. 4. Telecom Providers: One Liberty Place has several telecom providers in the Building: AT&T Cogent Comcast Fibertech (Fiber Technologies Network) Level 3 Lightower Reliance Globalcom (formerly Yipes) Towerstream Verizon Emergency Procedures: Overview Emergencies, both major and minor, are a part of our every day lives. We can only deal with them if we are prepared and in control. Safety in a high-rise office building requires that all occupants be well informed of the action to take in case of an emergency. Emergency Procedures: Alertcast System Building Management uses a computerized notification system called Alertcast to notify tenants of emergencies such as bomb scares. There are two lists: one for normal business hours and one for after normal business hours. Building Management will maintain and update the lists on a periodic basis. Tenants should provide Building Management with a list of employees to be notified in the event of an emergency. The Building periodically tests the system; however, you will be given advance notice prior to testing. Please provide a direct dial number and cell phone number. Notify Building Management immediately of changes. Call the Building Security immediately 215-851-9001 Follow all instructions from Security Staff 2. The Building will use the Alertcast System to notify Tenants of such an occurrence. 3. It is, however, each Tenant’s individual decision whether or not to evacuate the Building. If evacuation is decided, elevators should be used rather than the exit stairs. 4. The Security Staff will call the Police and report the bomb threat. 5. Building employees will check all Men’s and Women’s toilet rooms on common corridor floors while awaiting the police. Emergency Procedures: Elevator Emergencies If you become trapped in an elevator: 1. Remain calm 2. Push the emergency alarm button (button surrounded by red ring with white phone symbol). This will send a signal to the Security Desk where the problem elevator will be indicated on the Elevator CRT. 3. The Building Guard will talk to you over the elevator intercom, indicating that your situation is understood. 4. The Guard will then get in touch with the Elevator Service Technician in the Building. 5. If it is after hours, through the elevator service company's 24-hour hotline. 6. The Guard then tells you that help has been summoned and stays on the intercom with you as long as necessary. If you discover a fire or smoke, sound the Building fire alarm. Know the location of the alarm signal stations and how they operate. 2. The person stationed at the lobby desk will immediately notify the Philadelphia Fire Department by dialing 9-1-1 when an alarm is transmitted. 3. WHEN THE FIRE ALARM SOUNDS (floor of alarm, floor above and floor below): Leave at once. Close doors behind you. Proceed into the fire exit and remain there until you are given further instructions by the Fire Department or Building Fire Marshal. Do not use elevators. Fire exits are safe areas of refuge since they are enclosed and the doors and walls are fire rated to keep smoke and heat from entering the stairway. 4. WHEN THE ALERT TONE SIGNAL SOUNDS (other floors than above): Standby for further instructions. Do not enter the fire exit and do not use elevators. 5. DO NOT USE ELEVATORS: They will stop if power fails, causing occupants to become trapped. Elevator shaft ways are like chimneys. Smoke could enter the elevator shaft thereby asphyxiating the occupants trying to evacuate the building. 6. Feel the door that leads from your office to the corridor before opening it. If it is hot or smoke is seeping in, do not open. If you become trapped in your office and cannot reach the fire exit, keep the door closed and seal off any cracks. Use the telephone in your office to call the Fire Department. Dial 9-1-1 and give the name and location of the building, the floor you are on and the office number. 7. If the door feels cool, open it cautiously. Be braced to slam it shut if the corridor is full of smoke or if you feel heat pressure against the door. If the corridor is clear, proceed with escape plan. 8. DISABLED PERSONS: A responsible person or person, who work in the same area as the disabled, should be assigned to assist in the event of a fire. These persons are taken to the fire exit and will remain on the landing in the fire exit. The Philadelphia Fire Department will be in the building within minutes to assist them. 9. If caught in smoke or heat, stay low where the air is better. Take short breaths (through nose) until you reach the fire exit. THE ABOVE PROCEDURES HAVE BEEN ISSUED BY THE PHILADELPHIA FIRE DEPARTMENT. THEY MUST BE POSTED IN A CONSPICIOUS LOCATION IN EVERY TENANT OFFICE. THREE FLOOR EVACUATION APPROVED PRE-RECORDED VOICE MESSAGE Automatic Voice Messages Upon receipt of an alarm signal from fire alarm indicating appliances (water/sprinkler flow, pull stations, smoke detector, etc., the fire alarm system will automatically active the Voice Alarm System. The following messages will be automatically transmitted throughout the building. EVACUATION TONE AND MESSAGES A slow “whoop” evacuation tone followed by one of the following messages: Messages will be repeated giving three (3) rounds of three, with one-minute intervals of alarm sound – slow “whoop”. 1. ALARM MESSAGE (to floor of alarm, floor above, and floor below) “ATTENTION, ATTENTION. AN EMERGENCY HAS BEEN REPORTED IN THIS BUILDING. WHILE THISE REPORT IS BEING VERIFIED, PLEASE PROCEED INTO THE NEAREST FIRE EXIT STAIRWAY, AND AWAIT FURTHER INSTRUCTIONS. REMAIN IN THE FIRE EXIT STAIRWAY. DO NOT USE ELEVATORS. REPEAT, DO NOT USE ELEVATORS.” 2. ALERT OR CHASER MESSAGE (to all other floors): A 900 Hz 30 pulse/min. alert tone followed by a voice message, which states: “ATTENTION, ATTENTION. AN EMERGENCY HAS BEEN REPORTED IN THIS BUILDING. WHILE THIS IS BEING VERIFIED, PLEASE STANDBY FOR FURTHER INSTRUCTIONS. DO NOT ENTER THE FIRE EXIT. DO NOT USE THE ELEVATORS.” In the event that the emergency condition requires total building evacuation, an additional message will be provided and activated manually by a switch at the fire control panel. Upon activation of the “evacuation” switch at the fire control panel, the following will be transmitted throughout the building. Message # 3 will be repeated with intervals of alarm sound, continuously until silenced. 3. EVACUTION MESSAGE (PRECEDED BY ALARM SIGNAL) (MANUAL) “ATTENTION, ATTENTION. AN EMERGENCY HAS BEEN REPORTED IN THIS BUILDING. PLEASE CEASE OPERATIONS AND LEAVE THE BUILDING, UTILIZING THE NEAREST EXIT OR FIRE EXIT STAIRWAY. DO NOT USE ELEVATORS. REPEAT, DO NOT USE ELEVATORS.” This sequence of “slow whoop” and voice message will sound continuously until silenced at fire control panel. In the event of a large-scale evacuation, please use the High Rise Building Evacuation Plan to locate the city-mandated gathering point for One Liberty Place. Emergency Procedures: Fire and Life Safety One Liberty Place is fully sprinklered and is equipped with state-of-the-art fire detection and control systems. Nevertheless, fire is always possible and always unpredictable. Therefore, it is everyone’s responsibility to fully understand the Building Fire Safety Plan and Evacuation Procedures. These procedures have been approved by the Philadelphia Fire Department and the Fire code requires that each Tenant distribute them to each of its employees and also put them in a conspicuous location on the Tenant’s premises. Building Fire Safety Features Exit Stairway Pressurization: Upon activation of the Fire Alarm System, both fire exit stairways in the Building are pressurized by emergency fans and stairway doors must stay closed to prevent smoke from entering. Fire Floor Exhaust: The floor from which a fire alarm signal has been transmitted has its normal air supply systems automatically converted to full exhaust to remove all smoke. Simultaneously, the floors immediately above and below are fully pressurized with air. This prevents the migration of smoke to other parts of the Building. The remainder of the Building’s fans are automatically shut down. Sprinklers: Each floor is fully sprinklered. When an area underneath a sprinkler head is involved with fire, that sprinkler heads’ fusible link melts and discharges a spray over the fire. Other sprinkler heads remain closed unless their respective areas of protection become fire-involved. Elevators: All elevators will automatically recall to the Main Lobby. The elevators are designed with Phase II operation for fireman’s use. Automatic Exit Stairway Unlocking: Under normal conditions, the exit stairway doors are kept locked from the stairway side for security reasons. The only exit is at the bottom of the stairway on the Ground Floor. However, these exit doors are always unlocked into the stair from the occupied floor side. Upon activation of the Fire Alarm System, the locked exit doors automatically unlock, thereby allowing people escaping fire to re-enter at any floor. Security Desk: The Security Desk has an array of monitoring and communications equipment designed to report the activation of any element of the Fire Safety System and to communicate with occupants of the Building over the Speaker System. Emergency Telephones in Exit Stairways: Every five (5) floors of each exit stairway there is an emergency telephone directly connected to the Security Desk. Fire Drills As required by City code, One Liberty Place conducts fire drills bi-annually. The date and time of the drills will always be announced approximately one (1) week in advance (we will try to schedule our drills midweek around 10:00 a.m.) If you hear the fire alarm and there has been no prior announcement, you must assume that there is a real fire emergency. The Philadelphia Fire Department requires that all occupants participate in the fire drills. Moreover, it is in your best interest that you become completely familiar with the Fire Safety Procedures so that in the event of a real emergency your actions will be automatic, routine and without panic. At the sound of the fire alarm, everyone should follow the Fire Evacuation Procedures. Those hearing the fire alarm evacuation message over the speakers should enter the exit stairway and those hearing the alert message should standby and await further instructions. In about 10 minutes an announcement ending the fire drill will be made over the speaker system. The entire drill should take no more than 15 minutes. All elevators will be grounded during the drill. Tenant Fire Captains are advised to report to the Building Management Office any problems experienced during the drill. Tenant Fire Captains and Alternates Each Tenant is asked to designate a responsible employee for its premises on each of its floors to act as a Fire Captain. This person will be responsible for ensuring that all of the Tenant’s employees are safely evacuated in an emergency and for coordination during fire drills with the Building Management Office. An Alternate Fire Captain should also be selected in case the Fire Captain is unavailable. Please print the Fire Captain and Alternate Form and complete and return to the Building Management Office. Emergency Procedures: Medical Emergency If a Tenant employee or visitor becomes seriously ill or is injured, medical assistance can be provided by the Fire Rescue Squad of the Philadelphia Fire Department: 1. Notify Rescue Squad by dialing 9-1-1. Describe the medical emergency and ask for interim procedures. 2. Notify the Security Desk at 215-851-9001 so that an elevator will be standing by for evacuation. 3. If the medical emergency occurred as a result of occupancy of premises, notify Building Management Office with all particulars. Emergency Procedures: Power Failure One Liberty Place’s electricity is supplied by PECO Energy through two (2) underground feeders. Each feeder is supplied from a different portion of PECO’s Network. Normally, the Building gets approximately one-half of its power from each feeder. There is an automatic transfer switch in the Building’s electrical system so designed that, in the event of failure of either PECO feeder to the Building, all Building power will be automatically transferred to the remaining feeder and Building power will be maintained. In addition, the Building has two (2) emergency generators designed to provide power to all emergency lighting (exit stairways, exit signs and emergency lights on all floors), to fire safety systems, smoke evacuation system and to bring one (1) elevator at a time per bank to the Ground Floor. Emergency Procedures: Shelter In Place The Philadelphia Fire Code requires various buildings to develop a plan to shelter occupants inside the Building in the event of a hazardous material, biological or other emergency outside the Building. The purpose of the Shelter in Place Plan is to safeguard occupants during an emergency outside the Building by preventing or limiting the infiltration of hazardous materials into the Building by closing doors, shutting off air handling/HVAC systems and moving occupants away from perimeter windows and doors to safe locations in the Building. The Building distributes floor plans to individual tenants showing the “safe” locations on their floors. One Liberty holds a Shelter in Place drill once a year. You will receive advance notification before a drill is held. Procedures During a Shelter in Place Emergency 1. Building Management will announce a shelter in place emergency is occurring over the Building’s public address system: “May I have your attention, may I have your attention, please. Due to an emergency outside the building, the City of Philadelphia has directed One Liberty Place to implement our shelter in place plan. Please proceed to your designated shelter location on your floors and away from the exterior windows and await further instructions .” 2. Shelter in Place Captains are to ensure all occupants on their floors go to the designated shelter locations. (Refer to the Shelter in Place floor plan for shelter locations on each floor). As with fire emergency procedures, Captains should insure people with disabilities are assisted to their shelter locations. Please print and complete the Shelter in Place Captain and Alternate Form and return to the Management Office. 3. Building Security will recall all elevators to the Main Lobby. They will also close and lock all outside doors at the Main Lobby, Shops at Liberty Place and Loading Dock. In accordance with City fire code, fire exit doors will not be locked from the inside. Stair tower doors will be unlocked during an emergency to allow for inter floor travel. In some types of emergencies, occupants on lower floors could be directed to upper floors to avoid possible exposure to outside contaminants that are heavier than air. 4. Freight elevators go to the Lobby and the 4th floor. 5. Building engineers will shut down all air handling equipment and close all outside air dampers. 6. Building Management will monitor the emergency situation and provide updates to Building occupants as they are received via the public address system. 7. Please note when an emergency is declared, no one will be permitted to enter or leave the Building until City officials give the “all clear”. 8. When Building Management is notified the emergency is over, occupants will be directed via the public address system to evacuate the Building via the elevators and stairways. The air handling systems will be operated to remove any contaminants. 9. For purpose of a Shelter in Place drill, building evacuation will not be required. Emergency Procedures: Tenant Liaison To establish communications in case of building emergencies, to enhance security and to provide for an uninterrupted flow of services, each Tenant shall submit to the Building Management Office the names(s) of the Tenant employee(s) who will be responsible for the following: 1. Reporting complaints or deficiencies with respect to the occupied space or to any aspect of the Building. 2. Authorizing the removal of Tenant equipment from the Building. 3. Requesting additional services such as access cards, lamp replacements, after-hours cooling, etc. The person requesting additional services must be authorized to sign for same since there is a charge for such services. 4. Receiving all information from the Building Management Office concerning building operations that may affect the Tenant’s space, i.e. scheduled and emergency shutdowns of power, equipment, etc. The person’s home telephone number should also be included in case of after hour emergencies. 5. Building Management will keep and update on a period basis, tenant contacts’ e-mail addresses. The e-mail list will be used to notify tenants of building events. Please complete the Tenant Liaison Form and send to the Building Management Office. Building Management will request updates semi-annually. Policies and Procedures: Contractors Renovations to the Leased Premises No renovations to the lease premises shall be undertaken unless the Tenant first submits a plan or plans showing the full scope and extent of the work to the Building Management Office and receives written approval to proceed except as may be provided otherwise by your lease. The actual work must be performed by union labor. All contractors performing any work in the Building must comply with Contractor Rules and Regulations and be approved by Building Management prior to the commencement of the work. All contractors working in the Building must supply Building Management with a certificate of insurance listing the following additional insureds: Philadelphia Liberty Place, L.P., l\/letropolis Investment Holdings inc. and Cushman & Wakefield of Pennsylvania, Inc. The certificates must also show a waiver of subrogation for the workers compensation coverage. Certificates may be faxed to us at 215-851-9013 Policies and Procedures: Deliveries Tenant Deliveries, Freight Elevators, and Loading Dock 1. The One Liberty Place Loading Dock is located at Lower Level 2 and is accessible via a ramp from 16th Street. 2. Normal Hours of operation of the Loading Dock and freight elevators are 7:00 a.m. to 5:00 p.m. Monday through Friday. The Loading Dock and freight elevators are to be used for all major deliveries of Tenant furniture or supplies to the Building. No major deliveries will be permitted through the main lobby of the Building or on any passenger elevator. Only the freight elevators shall be used for such deliveries. No large deliveries will be permitted during normal loading dock hours. 3. During regular loading dock hours, delivery people will be permitted to use the Loading Dock for drop-off and delivery only. There is a 30 minute parking area controlled by the Loading Dock Guard. No extended parking of delivery or service vehicles will be permitted. 4. The Loading Dock Guard will coordinate all vehicular activity in the Dock area. Delivery people not complying with instructions given by Loading Dock Guard may be refused Loading Dock privileges. 5. Unless prior authorization by Building Management, there is no personal or contractor vehicle parking at the Loading Dock. 6. Deliveries not scheduled in advance with the Building Management Office shall use the Loading Dock and freight elevators during the above hours depending on availability. Standing time at the loading dock during regular business hours is 30 minutes. Large deliveries of furniture, equipment and/or supplies must be scheduled for after normal business hours with the Building Management Office at least 24 hours prior to delivery. This will allow proper scheduling of the Loading Dock and freight elevators to minimize delays upon arrival. 7. Building Personnel, including Guards, will at no time accept or sign for Tenant deliveries. Each Tenant is responsible for receiving its own deliveries. Policies and Procedures: General Rules and Regulations Compliance with the One Liberty Place Rules and Regulations as specified in your lease is the responsibility of each Tenant. One Liberty Place Rules and Regulations 1. The sidewalks, driveways, entrances, lobbies, passages, elevators and stairways shall not be obstructed by Tenant or used by Tenant for any purpose other than ingress and egress from and to Tenant’s offices. Freight elevator lobbies are to be used for deliveries and emergency use only and shall not be obstructed by Tenant’s equipment. Landlord shall in all cases retain the right to clear the above areas at Tenant’s expense or prevent access thereto of all persons whose presence, in the reasonable judgment of Landlord, shall be prejudicial to the safety, peace, character, or reputation of the building or of any of the Tenants. 2. Smoking is expressly prohibited in the building or within 25 feet of the building. Tenant shall adopt, implement, make known and maintain a written policy that prohibits smoking inside the building or within 25 feet of the building. 3. The toilet rooms, water closets, sinks, faucets, plumbing or other service apparatus of any kind, shall not be used by Tenant for any purposes other than those for which they were installed. There shall be no sweepings, rubbish, rags, ashes, chemicals or other refuse or injurious substances placed therein or used in connection therewith by Tenant or left by Tenant in the lobbies, passages, elevators or stairways. 4. Nothing shall be placed by Tenant on the outside of the building or on its window sills or projections. Skylights, windows, doors and transoms shall not be covered or obstructed by Tenant, and no window shades, blinds, curtains, screens, storm windows, awnings or other materials shall be installed or placed on any of the windows or in any of the window spaces, except as approved in writing by Landlord, which approval shall not be unreasonably withheld, conditioned or delayed. 5. No sign, lettering insignia, advertisement, notice, shall be inscribed, painted installed or placed on any windows or in any window spaces or any other part of the outside or inside of the building, unless first approved in writing by Landlord. Building standard tenant sign or beside suite entrance doors and floor directory shall be provided for Tenant by Landlord and not otherwise, and at Tenant’s expense of design and form first approved by Landlord. 6. Tenant shall not place additional locks (whether operated by keys, entry cards or otherwise) upon any doors and shall surrender all keys, entry cards and other means of opening, for all locks at the end of the tenancy. The building staff and the manager of the building may at all times keep a passkey, entry card or other means of access to the premises. Notwithstanding the above, Tenant may have a security card access system installed on the premises, provided the Tenant’s general contractor shall install such system and access cards are provided to the building staff and manager of the building. 7. Except as may be consented to by Landlord (which consent may be arbitrarily withheld) no edibles or beverages (except water) shall be (whether by vending machines or otherwise) sold or (except for special events) dispensed or distributed at the premises. No bicycles or similar vehicles will be allowed in the building. 8. Tenant shall not do or commit, or suffer to be done or committed, any act or thing whereby, or in consequence whereof, the rights of other Tenants will be obstructed or interfered with, or other Tenants will in any other way be injured or annoyed, or whereby the building will be damaged, nor during normal business hours shall Tenant cause or suffer to be caused any noise, vibrations, or electronic interference which disturbs other Tenants, the operation of their equipment or the operation of any equipment in the building. Without limitation of the foregoing, and with the exception of broadcast radio and television signals through receivers normally sold for household use, there shall not be transmitted from nor received at the premises, any electromagnetic radiation communications. Tenant shall not suffer nor permit the premises or any part thereof to be used in any manner or anything to be done therein nor suffer nor permit anything to be brought into or kept in the premises which, in the reasonable judgment of the Landlord, shall in any way impair or tend to impair the character, reputation or appearance of the building. Tenant shall not use nor keep nor permit to be used or kept in the building, any matter having an offense odor, nor any kerosene, gasoline, benzene, propane, camphene, fuel or other explosive or highly flammable material. Tenant shall neither bring, keep nor use in the building any chemical except as the same may be components of commercial products normally used or consumed by occupants of office buildings. No birds, fish or animals shall be brought into the premises. 9. In order that the premises may be kept in a good state of preservation and cleanliness, Tenant shall during the continuance of its possession, permit Landlord’s employees and contractors and no one else to clean the premises. Tenant may employ its own employees or contractors for special items (such as polishing desks and carpet cleaning) so long as Tenant’s employment of such persons or entities does not violate or cause Landlord to default under any union contract or collective bargaining agreement, or otherwise disrupt Landlord’s labor relations with employees of the building. Subject to the waiver of subrogation contained in the lease, except for the gross negligence or willful misconduct of Landlord or its agents and employees, Landlord shall be in no way responsible to Tenant for any damage done to furniture or other effects of Tenant or others by any of Landlord’s employees, or any other persons, or for any loss of Tenant’s employees, or for any loss of property of any kind in or from the premises, however, occurring. Tenant shall see each day that the lights are turned off, and the doors securely locked before leaving the premises. Other than the use of a microwave and toaster oven for Tenant’s employees, no cooking shall be done on the premises without Landlord’s consent. Tenant shall have the right to separate coffee machines and microwave ovens within the premises for the use of Tenant’s employees and invitees, provided that Tenant pays the cost of installation, complies with all applicable codes in the installation and operation of such facilities, and cleans, maintains and repairs such facilities at its own expense. All appliances that require water hook up shall be connected by copper tubing; no plastic tubing is permitted. 10. If Tenant desires to introduce signaling, telegraphic, telephonic, protective alarm or other wires, apparatus or devices (collectively, “Systems”), Landlord shall direct where and how the same are to be placed, and except as so directed, no installation, boring or cutting shall be permitted. Tenant shall delineate the Systems which Tenant desires to install on the premises in Tenant’s layout plans. Landlord shall have the right to prevent and to cut off transmission of excessive or dangerous current of electricity or annoyances into or through the building or premises and to require the changing of wiring connections or layout at Tenant’s expense, to the extent that Landlord may deem necessary, and further to require compliance with such reasonable rules as Landlord may establish relating thereto, and in the event of non-compliance with the requirements or rules, Landlord shall have the right immediately to cut wiring or to do what it considers necessary to remove the danger, annoyance or electrical interference with apparatus in any part of the building. Landlord shall give notice to Tenant and a reasonable opportunity to cure before Landlord cuts wiring, but no such notice or cure period shall be required in the case of any dangerous condition or any other condition which in Landlord’s reasonable judgment may jeopardize the premises, the building, or any Tenants thereof, or cause Landlord to default under any Tenant lease. All wires installed by Tenant must be clearly tagged at the distributing boards and junction boxes and elsewhere where required by Landlord, with the number of the office to which said wires lead, and the purpose for which the wires respectively are used, together with the name of the concern, if any, operating same. 11. A directory on the ground floor shall be provided by Landlord, on which the name of Tenant shall be placed. Said directory shall be updated not less than monthly by Landlord. Landlord shall maintain adequate capacity in such directory to name all employees working in the premises. 12. No furniture, packages, equipment, supplies or merchandise of Tenant shall be received in the building lobby, or carried up or down in the passenger elevators or stairways. Freight elevators shall be used during such hours as shall be designated by Landlord and Landlord in all cases shall also have the exclusive right to prescribe the method and manner in which the same shall be brought in or taken out of the building. Landlord shall have the right to exclude from the building heavy furniture, safes and other articles which may be hazardous or to require them to be located at designated places in the premises. The cost of repairing any damage to the building caused by taking in or out of furniture, safes or any articles and any damages caused while the same are in the premises shall be paid by Tenant. 13. Except as otherwise provided in Article 9 of the Tenant’s lease, without Landlord’s written consent, nothing shall be fastened to, nor shall holes be drilled or nails or screws driven into any curtain wall mullion; nor shall any connection be made to electric wires for running fans or motors or other apparatus, devices or equipment; nor shall machinery of any kind other than customary small business machines be allowed in the premises; nor shall Tenant use any other method of heating or air conditioning other than that provided by Landlord or installed by Tenant pursuant to Exhibit B. Telephones, switchboards and telephone wiring and equipment shall be placed only where designated by Landlord. No mechanics shall be allowed to work in or about the building other than those employed by Landlord without written consent of Landlord first having been obtained except where otherwise provided in the lease. 14. Landlord shall, in no case be responsible for the admission or exclusion of any person to or from the building for access to the premises. In case of invasion, hostile attack, insurrection, mob violence, riot, public excitement or other commotion, explosion, fire or any casualty, Landlord reserves the right to bar or limit access to the building for the safety of occupants or protection of property. All Tenants must have a building approved photo access card. All access cards must be returned to building and end of lease term. 15. Landlord reserves the right to rescind, suspend or modify any rules or regulations and to make such other non-discriminatory rules or regulations as, in Landlord’s judgment may from time to time be needful for the safety, care, maintenance, operation and cleanliness of the building as a first class office building, or for the preservation of good order therein. Notice of any action by Landlord referred to in this paragraph, given to Tenant, shall have the same force and effect as if originally made a part of the foregoing lease. New rules or regulations will not, however, be unreasonably inconsistent with the proper and rightful enjoyment of the premises by Tenant under the lease. 16. The use of rooms as sleeping quarters is prohibited at all times. 17. Tenant shall keep the windows, Venetian blinds lowered and properly tilted and doors of the premises, including those openings on corridors and all doors between rooms or spaces entitled to receive heating or air conditioning service and rooms and spaces not entitled to receive such service, closed during the respective times that the heating or air conditioning system is operating, in order to conserve the service and effectiveness of the heating or air conditioning system as the case may be. Tenant shall comply with all reasonable rules and regulations from time to time promulgated by Landlord to conserve such services. 18. These rules and regulations are not intended to give Tenant any rights or claims in the event the Landlord does not enforce any of them against any other tenants or if Landlord does not have the right to enforce them against any other tenants, and such non-enforcement will not constitute a waiver as to Tenant. Landlord shall not, however, apply or enforce these rules and regulations in a discriminatory manner against Tenant. Policies and Procedures: Insurance Protection As a tenant in One Liberty Place, you are required maintain insurance coverage as described in your lease documents. Coverage must be maintained throughout the lease term and a certificate of insurance must be forwarded to the Building Management Office. The following additional insureds must be listed on the certificate of insurance: Philadelphia Liberty Place, LP, Metropolis Investment Holdings Inc. and Cushman & Wakefield of Pennsylvania, Inc. All contractors/vendors working in One Liberty Place must also supply the Building with a certificate of insurance prior to starting any work. They must list the above additional insureds as well as show a waiver of subrogation on the certificate for worker's compensation coverage. Policies and Procedures: Moving Procedures Move-In / Move-Out 1. As soon as your move-in or move-out date become definite, please contact the Building Management Office with the name of your moving company, timing of your move, your elevator requirements, etc. and to obtain the Building’s requirements concerning moves. 2. All moves must be made after normal working hours. The movers are not permitted to run the elevators: Building personnel will operate the freight elevators during a move. There is an hourly charge for freight elevator service for after hour deliveries or Tenant’s move-in or move-out of the Building. Tenants can schedule the Freight Elevator for a maximum of four hours Monday – Friday 6:00 p.m. to 10:00 p.m. and a minimum of four hours on weekends. 3. Any damage done to the Building by Tenant’s moving contractor during a move is the Tenant’s responsibility. 4. All movers working in the Building must supply the Building with a certificate of insurance listing the following additional insureds: Philadelphia Liberty Place, L.P., Metropolis Investment Holdings Inc. and Cushman & Wakefield of Pennsylvania, Inc. Certificates can be faxed to us at (215) 851-9013. 5. Movers must use union labor. Policies and Procedures: Smoking One Liberty Place maintains a no smoking policy throughout the building, including all common areas, the lobby, rest rooms, stairwells and elevators. Please do not smoke at building entrances.
