Enclosed you will find the important information and forms regarding the upcoming 2015 Annual Meeting of the Merrimac Homeowners Association. As announced previously, the meeting will be held on Monday, February 9th, 2015 at 7:00 P.M. at the Merrimac Clubhouse at 14828 Chamberlain Drive, Westfield, IN 46074. Agenda items will include: Introductions State of the Association Treasurer’s Report Approval of past annual meeting minutes. Close Nominations Candidate Introductions Elections Possible Wading Pool Expansion Q&A Continued discussion on Amended and Restated Declaration of Covenants, Conditions and Restrictions of Merrimac (here on referred to as A&R CCRS) General Q&A Regarding the following agenda items: The discussion on the possible wading pool expansion will be to continue the discussion which the entire community was invited to discuss at the September 2014 meeting as the Board prepared the 2015 budget. While many Owners have voiced support of the concept in comments to Board members, there was only one non-Board member in attendance at the September. Further, although there have been no objections noted, the Board feels that the benefits may not outweigh the current estimated costs of this project, and therefore wish to gather additional input at the annual meeting before reaching a decision. The continued discussion on the A&R CCRS is a result of additional suggestions and inquiries from residents after the proposal was distributed last year. The A&R CCRS were approved last year as proposed and are in full effect. We are, as requested, gathering additional ideas for future consideration as well as possibly clarifying some language which has been brought in to question. QUORUM: Conducting business at the Association’s annual meeting requires quorum to be reached. Therefore, it imperative that you attend the annual meeting and vote in person OR you submit your proxy. (Continued on reverse) 1 The remainder of this packet contains the following: 2015 Board of Director Candidate Information Thank you to Darren DelDuco for nominating himself for re-election to the Board of Directors. Darren’s was the only nomination form received for the two spots which are open. Therefore, nominations will be accepted from the floor. Per the Association’s By Laws, the Board member not seeking re-election remains on the Board until replaced by election or they resign. Proxy form for the Annual Meeting (on the reverse side of the candidate information page) Proxies are for those who are unable to attend the Annual Meeting. In addition to be included in this mailing, A Proxy form can be found online at www.mymerrimac.com and the Merrimac Next Door web site (www.westfieldmerrimac.nextdoor.com). Each Lot may submit 1 (one) Proxy per item being voted on. If duplicate Proxies are received for the same Lot, then the most recently dated Proxy will replace any previously dated Proxies for the same meeting. Attending in person, will void previously submitted Proxies. If you are unable to attend, please be sure to give your Proxy to someone you trust and someone who will be attending the annual meeting. Your Proxy holder must attend the meeting and submit your Proxy in person for your Proxy to be valid. Once again, if you are unable to join us at the Annual Meeting on February 9th, 2015, please be sure to submit your Proxy as instructed on the Proxy forms. Proxy Instructions 1) A proxy is for the purpose of appointing another person to attend the meeting for you in the event that you are unable to attend. 2) In order to be valid, the Proxy must be signed, dated and returned to the Association’s Secretary prior to the start of the Annual Meeting. The Proxy may be submitted to Sentry Management, Agent for the Association, via mail or fax up until 12:00 Noon, Monday, February 9th, 2015.
