NOTICE OF ANNUAL MEETING
March 19, 2015
Dear Member:
It is time for another annual meeting (the “Annual Meeting”) of the members (the “Members”) of the Royal Oaks
Residential Community Owners Association, Inc. (the “Association”) and election of a certain number of the
Association’s Board of Directors (the “Board”). Members who wish to serve have submitted their candidate
statements for your review. Enclosed you will find the Candidate Information Sheet, an Absentee Ballot, and a
Proxy form.
There are three ways you can vote – in person at the Annual Meeting; by absentee ballot; or by proxy. It is
encouraged that you submit your absentee ballot or proxy in advance of the Annual Meeting so that we may ensure
quorum even if you plan to attend this important Annual Meeting. If you choose to submit your vote in advance of
the Annual Meeting you may mail your absentee ballot or proxy to Royal Oaks RCOA at 11200 Richmond, Suite 650
Houston, TX 77082, fax it to 713-600-3451, email it to dr@pmghouston.com, or hand deliver it to the management
office so that it is received no later than 5:00 pm on Monday, April 6, 2015. Alternatively, your absentee ballot or
proxy may be submitted during the registration portion of the Annual Meeting.
There are three Board seats available at this time. The elected Members will serve a two year term. Each lot is
allowed to vote on three candidates, one per each available seat. Your vote is very important so we ask that you
please review the candidate information carefully and make your decision.
There will be time set aside at the Annual Meeting to take nominations from the floor for the open positions on the
Board. If you would like to nominate yourself or someone else (with their permission) you may do so at that time.
Board candidates nominated from the floor must be present at the Annual Meeting to accept the nomination.
The Annual Meeting is scheduled for Tuesday, April 7, 2015, at 7:00 p.m. at the Royal Oaks Country Club, 2910
Royal Oaks Club Drive in Houston, Texas. Registration begins at 6:30 p.m.
Leadership will provide updates on the status of the neighborhood and ongoing community projects. In addition,
there will be a number of special guest speakers present.
Remember, your attendance in person, by absentee ballot, or by proxy is vital in order for business to be conducted
and to guarantee that you are represented. Please do not hesitate to contact the management office with any

This absentee ballot shall be used to cast your vote in the April 07, 2015 annual meeting (the “Annual Meeting”) of
Royal Oaks Residential Community Owners’ Association, Inc. (the “Association”) for the election of directors. This
absentee ballot is valid for this Annual Meeting, any adjournments thereof, and any noticed subsequent attempt to
hold this Annual Meeting, and shall not expire until after the completion of the Annual Meeting. In the event you
choose to vote by absentee ballot, once received by the Association, your vote can be rescinded, revoked, or re-voted,

fuly name is David Muse. I live with my wife (Raegan) and two children (Dylan and Hudson) on
Louvre Ct.
My wif_e and I completed our home in Royal Oaks in August 2Q04. lt represented a new ehapter
in our lives, a permanent residence that we could call home for many years to come, and, above
all, becoming part of a community that represented something speci-at, positively diffirent and
unique, standing outfrom the run of the mill neighborhoods in and around Houston. Since that
time, we have seen many changes and tremendous growth within the community as ii comes
closer and closer to fully building out. Accompanying this growth is the reality that the Royal
Oaks HOA is critical to ensuring that the neighborhood remains truly special, ?inancially stable
and, mo$t importantly, a community.
Over the past year, it has become apparent that there are areas that we can improve upon as it
pertains to the HoA to ensure we meet our community objectives. Themes such as
transparency, confidence and diligence come to mind in support of these objectives. Attributes
such as these are critical for our community's success and an absolute requirement for the HOA
leadership going fonrvard. Given the opportunities that lie ahead of us and based on these three
principles, l'm declaring my candidacy for one of the three HOA Board positions up for election in
April. Our community and its current management impact each of our daily lives. Our
community's future is too important to simply sit on the sidelines and observe from afar. lt would
be an honor to serve this community and I promise to do so in the manner of true partnership with
open, honest and iransparent communicaiions as we march towards our common goals.
Background/Qualifications:
l've spent my cafeef in the energy and technology space and was recenfly appointed president
and chief Executive officer of Enviance, a global technology company foiuseo on
Environmental, Health and Safety Information Systems. Prior to this issignment where l,m
partnering with private equity firm, Battery Ventures, I was most recently the Chief Operating
Officer of P2 Energy Soluiions, a leading provider of sofiware- and data-management toois to the
oil and gas industry. While at P2 Energy, I drove 13 consecutive quarters of growth and client
expansion in tandem with doubling the profitability of the company while integrating 6 acquisitions
I've also served as interim Presidentfor inthinc Technology Solutions and as a

partner for IBM Global Business Services. t led the global energy practice for SAIC's business
consulting division and held executive positions with Honeywell and Aspen Technology in the

My reason for running: Royal Oaks is 15+ years old and the lack of proper maintenance has
this beautiful community at the critical point of investing in and preserving its future. During my

Goals: I believe that my 8 years of experience serving my communities is an important asset in
serving on the Board for Royal Oaks. It is my ongoing desire to ensure that our community is

residents:

I am very passionate about Royal Oaks and the surrounding community being recognized
as one of the best places to live in.
My Background: I have been a resident of Royal Oaks for 7+ years having moved from the
Tanglewood area of Houston. Prior to living in Houston, I lived in Washington DC, Chicago,
Los Angeles, Laguna Hills, Phoenix, Denver, Tulsa and Charleston WV. Since moving to Royal
Oaks, I have served on the Homeowners Board since 2011 and prior to that served on the
Security Committee for 4 years. Prior to Royal Oaks, I served on the Homeowners Board in
Tanglewood’s Homewood Community.
I am currently the President/CEO of GLM Energy, Inc. My professional experience has included
executive and senior level positions in operations, purchasing, sales and marketing. I have
worked for: Group 1 Automotive, Inc., WW Grainger, Inc., Home Depot, Dell, Nissan Motor
Corp. USA and Toyota Motor Sales. I reside on the Board of Directors of the following not for
profit: American Red Cross, Houston Arts Alliance, Houston Technology Center, and Cystic
Fibrosis Foundation Gulf Coast and Greater Houston Partnership’s Executive Women’s
Partnership. Also, very active with Alief ISD in making it the best in its class in Houston.
Candidacy Statement:
My name is Karen Brand, and I respectfully submit my application to serve on the Board of Directors of
the Royal Oaks Residential Community Owners Association. My husband Stephen and I have lived on
Versailles Lakes Lane in Royal Oaks since April, 2006. We are both retired from our primary employment.
For nearly 25 years I was a practicing attorney with Phillips Petroleum Company, now C.on.oco.Phillips.
My goal in running for a position on the Board is to help lead our highly respected and maturing
community into the future and to work along with the community in general to develop and implement
a strategy that will make us all proud to live in Royal Oaks. I also want to ensure that the homeowners'
association is running in an efficient, proper and cost-effective manner. I believe my work experience,
plus my experience dealing with homeowner associations, provides a strong basis for understanding
how a homeowners' association should function. My strong business background, including extensive
contract and negotiating experience, is a bonus.

:
I graduated from Texas Tech School of Law with Honors after completing an undergraduate degree in
Finance. Thereafter I went to work for the Legal Department for Phillips Petroleum Company. Stephen
also worked for Phillips, and we lived in a variety of places in both foreign and domestic locations, with
my last assignment being in Perth, Western Australia.
retired in 2003 after completing the legal work/negotiation on a major LNG project in a disputed zone
in the Timor Sea located between Australia and Indonesia known as Bayu-Undan. While leading the
Legal Department in Australia (1998-2003) | was responsible for all legal matters arising within my
geographical area including human resources issues, ensuring corporate compliance of our affiliates
(40+ including one public company), and finalizing the extensive legal work for Bayu-Undan which
involved constructing an offshore gas recycle development, a 500 km offshore pipeline, and an LNG
plant in Darwin, Northern Territory.
I
I am experienced in contract analysis, evaluation and in developing a consensus that ultimately leads to
resolution. As examples, I have negotiated with the United Nations, participated in several international
arbitrations, and have finalized three international unitizations.
I have current experience working with three HOAs and previous experience as a board member of
public company and several non-profit organizations.

Why I am Running – Goals - Background
I currently serve on, and am seeking reelection to, the Royal Oaks Board,
where I additionally serve as Board liaison to the Security Committee.
Your current Board has been one of the most active ever. Among the many
highlights: we conducted the Association’s first-ever financial audit, established a
zero-based budgeting process, and carried out a thorough Reserve study to assess
current and future needs. Additionally, we accomplished a complete renovation of
our common area and perimeter lighting, improving the beauty and safety of the
community. Numerous steps were also taken to enhance the security of our
neighborhood, including completion of an independent Threat Assessment study
and the addition of a nightly off-duty HPD patrol. Too, we began addressing key
maintenance issues such as our perimeter brick wall; and, with our RCOA office
lease expiring in mid-2015, we initiated a broad study to find a suitable and costeffective new facility.
But our work is not finished. With over 875 homes and an annual budget of
approximately $3 million, carrying out the day-to-day activities of the ROCA is not
unlike that of running a company. Your current Board and its Committees have
approached their job with a keen sense of their fiduciary responsibilities and are
trying increasingly to employ the best practices of operating a company or an RCOA
in all that we do.
We all want what is best for our community. Every action we take as your
volunteer management affects all of us equally. We have no illusion that we can
keep everyone satisfied all the time in a group as large and diversified as Royal
Oaks. But we are all working long hours to maintain the standards, beauty, property
value and safety of our community. I want to continue to be a part of that effort.
The fact is, this is a never-ending job if the community is to be sustained at
the high level we all desire. My pledge, together with the Board, is to address these
and other matters in a cost effective, prudent and timely manner.

resident of Houston since 1973. Prior to moving to Houston I lived in Tulsa and
New York City.
Though now retired, my 48 years of professional business experience
included senior level positions in corporate communications and investor relations,
working primarily in the oil and gold industries, including such companies as
Texaco, Pennzoil, Battle Mountain Gold and Diamond Offshore Drilling. My
education includes and undergraduate degree from The University of Tulsa, and an

Ronnie Miranda
Hi, my name is Ronnie Miranda and I live on Gallant Ridge with my wife, Terese Miranda,
and two sons Conner (8) and Rigel (5). I have been involved with Royal Oaks since the
very beginning. First, taking a leap of faith and becoming a founding country club member
and later a “Phase 1” resident purchasing our home in late 2000. I recall the days before
the streets were in, when the sales office was offsite and the developer went to extreme
lengths to woo and wow us into believing the concept that eventually became this
wonderful Community. I knew then what was proven to be true now - Royal Oaks is a very
special place and I am proud to be a part of it.
Throughout my time here I have served on numerous committees, most notably on the
Security Committee, first as a member and later the Chairperson where we brought many
sweeping changes and improvements to our overall security and safety. This work
continues today through the efforts of our dedicated Security Committee members. The
neighborhood is more secure and safe because of these continued efforts and I continue to
applaud those currently involved for their continued diligence.
Later, I was elected to the Board of Directors where I became acutely aware of the financial
condition of the Community. It was shocking to discover the precarious condition the
Association was in. I, like other residents, assumed that the developer had properly
provisioned for the growth and aging of the community and its infrastructure - they had
not. Our reserves were woefully underfunded and there were no metrics in place to
properly prepare for the future and continuity of our Community.
It then fell upon this Board of Directors to roll up its sleeves and begin to operate this
Community using proper HOA standards, accountability and management protocols. First
order of business was to commission a competent and complete reserve study to assess the
status and condition of our neighborhood and project the future capital needs required to
maintain the current level of service and amenities. Those recommendations were heeded
and implemented much to the chagrin of some who perhaps preferred we bury our heads in
the sand and continue with the status quo. Nonetheless, it had to be done for the good of
the Community and today, for the very first time, our financial situation has been
independently audited and we are finally on the road towards a stable and sustainable
future because of these efforts. It is my desire to stay involved on the Board of Directors to
continue the work that has begun. We have made great strides, but there is still room for
continued improvement and I want to ensure this work gets done.
