However, misconceptions exist among the general public concerning venture capital and what venture capital funds expect from entrepreneurs. The view that we invest in entrepreneurial projects and that we require detailed business plans in order to evaluate such projects is a striking misconception. We only invest in convincing entrepreneurial teams which in our opinion show enough commitment and focus in their projects. We are also on the lookout for project teams which we believe are ultimately capable of realising their entrepreneurial ideas. Of course, the product itself is important. It must compete on a market that is expected to grow rapidly in the near future. In addition, the product must not be easily replicated and must generate above-average mark-ups, as these significantly impact the value of the company. It is certainly a plus if the product can be patent protected, but this is not always a must, especially in the case of computer software. In deciding to invest, the expectations of the entrepreneurs concerning their company are also important. If they do not expect to sell the company at a certain stage, they are most certainly a less interesting investment since any investor would thus have to find a buyer for its share alone. When my partners and I founded Abelium, we knew that we had a tough road ahead as we had established the company in times of economic turmoil. As a result we invested a lot of energy and resources in researching, developing and marketing new services. We knew we were on the right track when the first results were visible and we received the first awards, when we successfully recruited top-class members of staff and when we made our breakthrough on foreign markets. When success comes, all the efforts and sacrifices make sense. What do you consider your greatest business and personal success? Abelium’s 13 members of staff, who have ensured the company’s presence on the market for the past four years. Being involved in the academic and research environment in Slovenia and Europe. For further information on the Start:up Geek House, visit www.facebook.com/StartupGeekHouse 7 intervju interview 8 Pogovor z Matejem Zalarjem, direktorjem podjetja Visionect Pot do milijonske investicije V avgustu leta 2012 je sklad tveganega kapitala STH Ventures v podjetje Visionect, ki je redni član Tehnološkega parka Ljubljana, investiral 1,5 milijona evrov. Z Matejem Zalarjem iz podjetja Visionect smo se pogovarjali o izkušnjah pri pridobivanju tega milijonskega vložka za razvoj lastnih tehnologij elektronskega papirja in dlančnikov na dotik. Avgusta 2012 ste podpisali investicijo s skladom tveganega kapitala STH Ventures, ki je v nekaj manj kot polovični lasti države, v višini 1,5 milijona evrov za 30-odstotni delež podjetja. Zdi se, da je sveži kapital v trenutni gospodarski negotovosti težko pridobiti. Nam zaupate, kako je vam uspelo pridobiti investicijo? Za pridobitev investicije sklada tveganega kapitala smo se morali zelo potruditi in vložiti veliko dela. Sliši se vsekakor sanjsko in enostavno, vendar so pogovori s skladom potekali dobro leto dni. Preden smo se začeli pogovarjati s skladom tveganega kapitala, smo pol leta pripravljali samo dokumentacijo, ki smo jo predložili skladu. Pri pripravi dokumentacije za sklad tveganega kapitala nam je pomagal Kristjan Pečanac, ki je imel tudi sam osebno izkušnjo s pridobitvijo tveganega kapitala. Svetoval nam je, kako praktično pristopiti do sklada tveganega kapitala. avtor • author: Kristina Ober fotografija • photo: arhiv Visionect Pripravljeno dokumentacijo smo začeli pošiljati izbranim skladom tveganega kapitala, takrat smo začeli tudi pridobivati prve velike stranke in naročila za naše dlančniške rešitve. Na tej točki smo se zavedali, da smo pripravljeni za vstop tveganega kapitala. Skladi tveganega kapitala vstopijo v podjetje, ko le-to lahko dokaže trg, in tudi stranke za svojo rešitev oz. proizvod, saj ni investitorja, ki bi vložil denar samo na podlagi poslovne ideje. Z družbo STH Ventures smo se najprej sestali, naredili predstavitev, predstavili svojo dejavnost, nato pa smo jih vsakih 14 dni obveščali o svojem delovanju. Pokazali smo, da napredujemo tako na razvoju kot v prodaji svojih proizvodov, ne glede na to, ali imamo kapital ali ne. Eno leto smo se srečevali in prikazovali svoj napredek. Treba je bilo dokazati, da prejemamo naročila, da jih lahko izvedemo, vendar pa da za izvedbo velikih naročil potrebujemo kapital za postavitev proizvodnje. Pravzaprav se zastavlja vprašanje, kaj je bilo prej, jajce ali kokoš. Investitor želi videti izvedena naročila in proizvode, po drugi strani pa podjetje ne more izvesti serije, če nima kapitala za postavitev proizvodnje, še posebno pri programski opremi, ki je rentabilna pri velikih količinah. Vložek tveganega kapitala bomo tako uporabili za vzpostavitev proizvodnje in prodaje. Kako ste se odločili, da naslovite ravno STH Ventures kot sklad tveganega kapitala? Pogovarjali smo se z več skladi tveganega kapitala, tudi s tujimi. Na koncu smo se odločili za STH Ventures predvsem zaradi priporočil, da je sklad take investicije že izvedel. Hkrati smo ugotovili, da se tudi osebnostno ujemamo, kar je pri taki »poroki« tudi zelo pomembno. Ugotovili smo, da so zelo kredibilni, posedujejo zelo veliko znanja, in pozitivno energijo na obeh straneh. Glede na izkušnje investitorjev sem tudi sklepal, da nam bo v petih ali sedmih letih sklad znal primerno pomagati pri izhodu in prodaji deleža. Si poleg svežega kapitala in uspešnega izhoda od sklada obetate še dodatne koristi? Od sklada pričakujemo tudi odpiranje vrat do trgov in strank. Vsekakor nam tudi zdaj, ko se pogovarjamo s strankami in ko imamo velika naročila, pomagajo s svojimi izkušnjami pri upravljanju poslovanja. Ne bi se ravno učili izvajati velikih poslov na Googlu. In s tega vidika potrebujemo nekoga, da nam pomaga z lastnimi izkušnjami pri izvedbi večjih poslov, da ne naredimo začetniških napak. Nam lahko predstavite največji izziv pri pridobitvi tveganega kapitala in kako ste ga premagali? Največji izziv je bilo usklajevanje pogodbe. Ne gre toliko za obseg pogodbe kot za razumevanje terminov, ki jih v Sloveniji skoraj nihče ne uporablja oz. ti ne more pomagati pri razumevanju. Pri premagovanju teh ovir in razumevanja pravniškega jezika smo prosili za številna mnenja. Seveda ima vsak svetovalec lastno mnenje in tolmačenje, po drugi strani imajo skladi tveganega kapitala več prakse in jim je to veliko bolj domače. Pri usklajevanju pogodbe smo porabili veliko časa, še več, nismo bili prepričani, ali je posamezna klavzula dobra za nas ali ne, kaj pomeni posamezna klavzula, pa četudi jo šestkrat prebereš, ima vsakič drugačen pomen. Poleg raznih svetovalcev smo tudi sami vložili veliko časa, da smo prebrali številne knjige s področja prava in tveganega kapitala, da smo se lahko vsaj dostojno pogajali o pogodbi. O sami pogodbi smo se pogovarjali in dogovarjali aktivno vsaj štiri mesece, nekaj ur na dan. Lahko podate tri nasvete podjetnikom, ki želijo pridobiti investicijo sklada tveganega? Podjetniki velikokrat naredimo napako, da gremo prehitro do investitorja. Zaradi poslovne ideje se investicija še ne pridobi. They invested 1.5 million euros in exchange for 30% of the company. In the current economic circumstances, fresh capital appears elusive. Could you share with us how you succeeded in securing their investment? Acquiring this investment proved very difficult and labour intensive. Although it sounds very simple to the fund. Kristjan Pečanac helped us with this documentation as he has personal experience in obtaining venture capital. He advised us on how to approach the venture capital fund in practical terms. We sent the documentation to a few venture capital funds, and at the same time obtained the first major clients and orders for our handheld solutions. Any capital invested was therefore to be used to establish production and sales. Please give three pieces of advice for entrepreneurs looking for venture capital. Entrepreneurs often make the mistake of approaching an investor too soon. No investment is secured solely on the basis of the business idea. Each year, an investor will receive 200 proposals, most of which are still at the idea stage. You should only seek an investment with a complete business idea, finished product and your first clients. Most entrepreneurs believe that the first clients make them self-sufficient. This may be sufficient for some. However, if you want to grow rapidly and invest into further development, you need fresh capital. Venture capital allows the company to grow rapidly. My advice would therefore be: do not approach investors too soon, make sure you have your first clients and be persistent. Furthermore, select your venture capital fund carefully, choosing one that invests in the industry you are active in. This is very important at the time of exiting the investment, as the fund may sell its stake to someone in its own portfolio. The entrepreneur should do his or her homework and check whether the fund or investor has already invested in a competitor. If such an investment has already been made, your ideas may find their way to your competition, as investors are never willing to sign non-disclosure agreements. Slovenski državljan mora biti zaposlen v novoustanovljenem podjetju v ZDA. Poslovno navezo na Japonsko in ustanovitev podružnice smo začeli s pomočjo programa Vulcanos, ki je namenjen izmenjavi evropskih in japonskih študentov. Prek izmenjave sta v našem podjetju opravljala prakso dva japonska študenta, ki sta zdaj zaposlena v podružnici na Japonskem. Zaposlili smo tudi uglednega profesorja, saj je na pogajanjih na Japonskem izjemno pomembno, da pri prodoru na trg pomaga uveljavljeno in izkušeno ime. Kombinacija znanja ter skupnega dela mladega in izkušenega pa je zagotovo prava za japonsko podružnico. Oba znata naša navodila oziroma strateške smernice samostojno prilagoditi za japonski trg. Med nasveti za delovanje na japonskem trgu poudarjamo naslednje. Za vsa pogajanja je dobro imeti svojega lastnega zaposlenega, ki obvlada japonski jezik in seveda pozna kulturo. Japonci zelo cenijo, da sogovornik ve kaj iz njihove zgodovine in pozna kateri običaj. To se tudi v poslovnem svetu izkaže za veliko prednost. Na splošno je še znano, da Japonci večkrat obsedijo ali postanejo v tišini, da bi razmislili. Niso obremenjeni s časom, zato jim tišina nikoli ni neprijetna. Molk je del njihovih pogajanj in ni mišljen kot zavajanje. In this article we will discuss our experience and give advice with regards to doing business in the USA and Japan. Establishing a company in the USA is fairly simple, while acquiring green cards for employees is much more demanding. Since the procedures for obtaining a green card are very long and expensive, we recommend applying at least six months in advance. It may help if you find a Slovenian company operating in the USA with experience in obtaining green cards for its employees. They can also put you in contact with an attorney in the USA. A Slovenian citizen must be employed by the newly established company in the USA. We established business contacts with Japan and subsequently registered a branch office there through the Vulcanos student exchange programme. As a result of our involvement in the exchange programme, two students from Japan took internships with our company. They are now employed in our branch in Japan. We also employed an eminent professor, as it is extremely important for a person of repute and experience to help any newcomer make its market breakthrough and conduct negotiations in Japan. The combination of knowledge of our young and more experienced employees and their teamwork is the basis upon which or branch in Japan operates. All employees can independently transfer and adapt our guidelines and strategic goals to the Japanese market. We would like to share the following advice for doing business in Japan. All negotiations will be easier if you employ someone who speaks Japanese fluently and knows the culture. The Japanese people appreciate when the other party is familiar with Japanese history or customs. This can also be a great advantage in business. It is common knowledge that Japanese people often pause for quiet reflection. They are in no hurry and are not discomforted by silence. Silence is part of their negotiations and is not used to mislead the other party.
