Exhibitors will also abide by all fire regulations, all other safety regulations, and all relevant regulations of governmental agencies. Payment Policy Contracts must be accompanied by a non-refundable deposit equal to 50% of the total rent for each exhibit space requested. Full payment for all exhibit spaces is required by September 9, 2015. If full payment is not received by September 9, 2015, ATC & SEI shall have the right to retain the deposit as liquidated damages and cancel the exhibit space reservation. Contracts received after September 9, 2015 must be accompanied by full payment. Cancellation The Exhibitor specifically recognizes and agrees that ATC & SEI will sustain losses in the event the Exhibitor fails to provide timely written notice of cancellation. In keeping with industry practice, the existence of such practice being hereby acknowledged by the Exhibitor, and because such losses cannot be precisely measured but include the costs associated with the inability to replace those canceling, advertising, credibility, redesigning of floor space, and the like, the Exhibitor agrees upon the following late cancellation assessment schedule as being in the nature of liquidated damages, which schedule is specifically designed to compensate ATC & SEI for its losses and not constitute a penalty, should the Exhibitor fail to provide timely written notice, of cancellation of all or any part of its assigned exhibit space. Arrangement of Exhibits Display materials may be placed up to a height not exceeding eight feet from the building floor. In any portion of the exhibit space beyond mid-point from the rear background of the exhibit space, all parts of the exhibit shall be placed not to exceed the height of four feet. Exhibits not conforming to these specifications or which in design, operation, or otherwise, are objectionable in the opinion of ATC & SEI will be prohibited. All demonstrations and exhibits must be confined to the exhibit areas. No Exhibitor shall assign, sublet, or share the whole or any part of the exhibit space allotted. Exhibit Space Assignments Exhibit space will be assigned in the order they are received. The date the Exhibit Space Application and Contract and minimum of 50% payment is received will be used for assignment purposes. ATC & SEI will consider each organization’s preferred exhibit space locations and any additional specifications outlined on the application in assigning exhibit space. ATC & SEI will make every effort to accommodate the needs of the Exhibitor. General Restrictions 1) Exhibitors are prohibited from using amplifying equipment. 2) Exhibitors must confine their activities to their contracted space. 3) Exhibitors will not be permitted to use strolling entertainment or to distribute samples or souvenirs except from their own exhibit area(s) unless otherwise negotiated. 4) Exhibitors are prohibited from serving alcoholic beverages or any other food and beverages without prior written approval from ATC & SEI. 5) Exhibitors must comply with all safety provisions and other rules and regulations as noted and as required by the Hyatt Regency San Francisco and fire marshal. 6) The laws of California shall govern the construction, interpretation, and enforcement of this agreement. Liabilities The Exhibitor agrees that ATC & SEI, its agents, and employees, and the facility or ATC & SEI employees: a) will not be responsible for any damage to or for the loss or destruction of the Exhibitor’s property or injuries to the Exhibitor, it’s representatives, agents or employees, all claim for any such loss, damage, destruction, or injury being expressly waived by the Exhibitor. b) will be exempted from or indemnified for any claims for injury to any of the Exhibitor’s representatives, agents, or employees. Exhibitor shall also indemnify and save and hold harmless ATC & SEI and facility from and against any cost, expense, liability, or damage which may be incident to, arise out of, or be caused by an act, omission, negligence or misconduct on the part of Exhibitor or its agents, servants, employees, contractors, guests, licenses or invitees, provided such damage or injury has not occurred due to the gross negligence of ATC & SEI or facility. Such indemnification shall not be limited to insurance required herein. ATC & SEI, its agents and employees and ATC & SEI will not be liable for failure to hold exhibits as scheduled. Insurance Exhibitors shall insure their own exhibits and display materials. Exhibitors shall carry Public Liability Insurance with a $1,000,000.00 combined single limit or bodily injury, accident, and property damage. Exhibitor shall obtain a waiver of subrogation, releasing the carrier’s subrogation rights, from any insurance carrier that carries fire, explosion or any other risk coverage insuring their property. ATC & SEI provide security guard service for this Conference; however, ATC & SEI is not responsible for loss or theft of any kind. Personal Registration and Badges For every exhibit space, Exhibitors will receive one (1) full registration and one (1) Exhibit Hall-only registration (if applicable) per exhibiting organization. ATC & SEI reserves the right to restrict or to limit the number of exhibit space personnel. All other employees of the exhibiting organization must register as member or nonmember registrants, or with your complimentary allotment at your sponsorship level. Each individual must register separately. The official badge must be worn in the ATC & SEI Conference Exhibit Hall at all times, and exhibit spaces must be manned during all open ATC & SEI Conference hours.
