The bidder must submit the Audited Trading, Profit and Loss Account Statement and Balance Sheet for the last three Financial Years as cited above.The Net Profit of the bidder in the financial year i.e. FY20132014 should be Positive. The bidder must have independently handled assignments of similar nature in the last two year in any Boards/Universities/ Organization/Institute etc. The bidder must enclose self attested copy of Satisfactory Completion/Execution Performance Certificate for the works 6 ix) executed by it in last two Financialyears. Such Execution Certificate must include Developing Application/Software in open software technologies, conduct of Computer Based Test and examination processing (Pre and Post) of any Board/University/Organization/Institution etc. The bidder must have executed at least one work of the cost of Rs.50 lac or above during above period. The bidder should neither have been Debarred and / or blacklisted by any Central/State Govt. Department/Universities/Educational Institutions/Organization etc. nor should have any litigation enquiry pending and / or initiated by any of these Department or Court of Law with regards to the works executed by it in the last five years. PART B i. The bidder should have on his pay role at least One Hundred Fifty Technical and administrative Employees in India for the proper execution of the contracts. ii. The bidder should have sufficient number of Trained Supervisory Staff to supervise the works as in the Bid Document. iii. The bidder should also mention any other relevant and important information which is directly or indirectly connected with the proper execution of the contract. iv. They must have executed successfully and satisfactorily conduct of Computer Based Test in online mode for at least 2lacs candidates during any one year out of the last three years (academic year/session). The end to end Examination Solution/ platform should have been used to conduct Computer Based Test of at least 25,000 candidates in one single shift during the period starting 1st Jan 2014 and ending 31th Dec 2014, to any two large examination bodies. The bidder must have the capacity to conduct Computer Based Test for 25000 candidates in Haryana, Delhi, Chandigarh& Mohali per shift. v. The bidder's should have the Source Code of the Software. vi. The Bidder must have the Primary Data Center with Secondary DC site for data Security. Both the Data Centers should be located in India in different seismic zones. The data center must be Tier III and ISO certified. Data Center should be as per the Government of India Guidelines. 3. Cost of Bidding The bidder shall bear all costs associated with the preparation and submission of the bid. Amendment to Bid Document i) At any time, prior to the date of submission of bid, Board may, for anyreason whether at its own initiative or in response to a clarification requiredby a prospective bidder, modify the bid documents by amendments. Any amendment/correction in the tender will be done through Board’swebsite only and this amendments/correction will be binding on them ii) 7. Documents Comprising the Bid b. c. d. The bid prepared by the bidder shall comprise the following components. Documentary Evidence established in accordance with clause 2 and as detailed inclause 5, that the bidder is eligible to bid and is qualified to perform the contract. Bid Security furnished in accordance with clause 11. A clause by clause compliance as per clause 10. Bid Form and price schedule completed in accordance with clause 8 and 9. 8. Undertaking (Bid Form) a. The bidder shall complete the undertaking (Bid Form) and the appropriate priceschedule furnished in the bid document covering the services to be rendered andpriceschedule as per Section–VII. 9. i) ii) 10. Bid Price. The supplier shall quote strictly as per Financial Bid given in section-IX. The price quoted by the bidder shall remain fixed during entireperiod of contract & shall not be subject to variation on any account. ABid submitted with an adjustable price quotation will be treated as nonresponsiveand rejected. Clause by ClauseCompliance. A clause- by – clause compliance of services to be provided (Section VIII), andspecial conditions (Section VI) shall be given. In case of deviation, a statement ofdeviation shall be given. 11. 11.1 Bid Security (as EMD) 11.2 Pursuant to clause 7(b), the bidder must deposit bid security as prescribed for the work. The Bid Security shall be in the form of Bank Guarantee / DemandDraft, shall have validity for 80 days and may be submitted along with technical bid. The successful bidder’s EMD will be discharged upon the bidders acceptance ofthe award of contract satisfactorily in accordance with clause 15 and furnishing thePerformance Security along with agreement (non-judicial stamp paper of Rs 100/-),within one month from the date of award. 11.3 The Bid Security may be forfeited : a) If bidder withdraws his bid during the period of bid validity specified by the bidder inthe bid form. If the successful bidder fails to sign contract in accordance with clause 18 to furnish Performance Security in accordance with clause 2 of Section IV. A bid not secured in accordance with para 11.1 shall be rejected by theBoard as non-responsive at the bid opening state and returned to thebidder unopened. The bid security of unsuccessful bidder will be discharged / returned as earlyas possible but not later than 30 days after the expiry of the period of bidvalidity. b) i) ii) iii) iv) 9 12. Format and Signing of Bid. The bidder shall prepare one complete set of Bid andeach page should be stamped and signed. The original copy of the bid shall be typed or printed and all pages numberedconsecutively and shall be signed by the bidder or by a person duly authorized tosign the contract. 12.1.1 The over writing / erasures in the bid made by the bidder shall be attested bytheperson signing the bid. 12.1 13. i) Submission of Bid. ii) The bid should be submitted duly sealed (Technical & Financial separately) andboth envelopes be sealed in a single envelope. Further, the envelope of eachtechnical bid and financial bid should be super scribed “Technical Bid/Financial Bidfor the work ………………………… (Name of the work)” and be addressed to theSecretary, Board of School Education Haryana, Bhiwaniand delivered inperson or by Speed Post / Registered Post on or before due date and time. Any bid received after the dead line for submission of bids shall be rejected. 14. Bid Opening Board of School Education Haryana, Bhiwaniwill open bids in the presence ofbidders or their authorized representative who wish to be present at the time ofopening of bids on due date and time. Authorization letter to this effect shall be submitted bythe bidder before they are followed to participate in bid opening (Format is given insection XIII). 15. 15.1 15.2 15.3 15.4 15.5 15.6 16 Evaluation Board of School Education Haryana, Bhiwaniwill evaluate the bids to determinewhether they are complete, whether any computational errors have been made,whether documents have been properly signed and whether bids are generally inorder. If there is a discrepancy between words and figures the amount in words shallprevail prior to detail evaluation. Board of School Education Haryana, Bhiwani willdetermine the substantial responsiveness of each bid to the bid document. A substantially responsive bid is one, which conformsto all the terms and conditions ofbid document without material deviation. A bid determined as substantiallynonresponsivewill be rejected by Board. Technical bids will be evaluated by a committee. Financial bids of only those bidders will be opened who are found suitable and eligible as per technical bids and inspection. Boardshall evaluate in detail and compare the substantially responsive bids and comparison of bids shall be on the price of the services offered as indicated in the Financial Bid in section IX of the bid document. Premises of new agencies will be visited / inspected by the committee of Board’s officers to ensure competency and capability of the agency without disclosing the date of visit. Before finalizing the Quoted Rates in the Financial Bids of the qualified Bidders in terms of their Technical Bids, the rates will be reviewed, negotiated and finalized taking into consideration the Revised Negotiation Policy 2014 of the Government of Haryana, as per the Government Order No. 2/2/2010-4-IB-II dated 16th June 2014 of Directorate of Supplies and Disposals, Industries and Commerce Department Government of Haryana. Award of Contract Board of School Education Haryana, Bhiwani shall consider placement of letter ofintent (Notification of Award) to those bidders whose offers have been found technically, commercially andfinancially acceptable. The bidder shall give his acceptance along with 10 PerformanceSecurity (Section X of the Bid Document) in conformity within Seven days from the date of issuance ofletter of intent along with copy of Agreement (As per Annexure-7) on nonjudicial stamp paper of Rs. 100/-. In case of delay, Rs 500/- per day shall be imposed as penalty which willbe deducted from the first bill of the agency or from the EMD. 17. Right to vary quantities Board of School Education Haryana, Bhiwani will have the right to increase ordecrease the required services specified in the schedule of requirementwithout any change in charges of the offered quantity and in other terms andconditions at the time of award of contract. 18. Signing of Contract 18.1 18.2 Signing of Agreement shall constitute the award contract to thebidder. Upon the successful bidder furnishing the Performance Security, the Boardshall discharge its bid security in pursuant to clause 11. 19. Annulment of Award Failure of the successful bidder to comply with the requirement of clause 18 shallconstitute sufficient ground for the annulment of the award and forfeiture of the bidsecurity in which event Board may make the award to any other bidder at thediscretion of Board or call for new bids. 20. Period of validity of bids (i) The bid shall remain valid for 90 days after the date of opening of bids. A bidvalid for a shorter period shall be rejected by Board as non-responsive. A bidder accepting the request of Board for an extension to the period of bidvalidity, in exceptional circumstances, will not be permitted to modify his bid. (ii) 21. End to End Solution for the work The prospective bidder must provide the end to end solution with the least paperwork for the various works as mention in the request for proposal as in Section III, byusing the latest technology in the field of information and communication. 22. Grievances-Redressal Mechanism and other Support Services For any difficulty/grievances faced/felt by the candidatesor by anyone at the end user needs to be promptly attended by the prospectivebidder. The bidder/vendor must take all necessary steps to ensure that absolutely nodifficulty of any kind is faced by anyone during the entire process of online mechanism for the said work. In case of any difficulty, make such a technological arrangement that thedifficulty is detected/pointed out and at the same time the solution/remedy for the same beprovided for immediate solution online only. The provision of SMS and Email alerts, andonsite updated information is to be made by the prospective bidder. The required supportas and when needed by any of the end user is to be provided through email for 24X7 till the required period. The overall purpose of theabove mechanism is to ensure that the online services remain hassle free, time saving,cheaper, more convenient and user friendly. Daily basis report of grievances received,redressed, pending if any must be provided to the competent authority of the Board onlineonly. 23. Creation and Providing Training Modules The prospective bidder is expected to create and provide training modules and FAQ related tothe work and make it available on the Board's website. 11 SECTION-V GENERAL (COMMERCIAL) CONDITIONS OF CONTRACT 1. Application Submission of bid against this offer shall bind the bidder for the acceptance of all the conditionsspecified herein or in NIT unless otherwise agreed by Board. 2. Performance Security 2.1 The successful bidder shall be required to deposit an amount equal to 10% of the tendered valueof the assigned work within seven daysfrom the date of issuance of Award from Board, as Performance Security. Performance Security shall be submitted in the form of Bank Guarantee / Demand Draft /FixedDeposit issued by a scheduled Bank and the Performa provided in section XI of the Bid Document. Performance Security will be discharged after completion of contractor’s performanceobligations under the contract. If the contractor fails or neglects any of his obligations under the contract it shall be lawful forthe Board to forfeit either whole or any part of Performance Security furnished by the bidder ascompensation for any loss resulting from such failure. 2.2 2.3 2.4 3 EXECUTION TIME LIMIT 3.1 The time period as stipulated in the contract or letter of intent shall be deemed to be essence ofthe contract. 4. PAYMENT TERMS (a) No advance payment will be made under any circumstances. Payments shall be made on the basis of actual number of candidates who opt for Computer Based Test (CBT) and for such candidates the admit cards are issued for CBT, irrespective of no. of candidates who got registered through online mode and for whom admit cards are issued for Paper and Pencil Test (Off Line Mode) or for such candidates for whom admit cards were not issued. The 60% payment shall be made after successful conduct of Computer Based Test. The remaining40% payment shall be made after successful declaration of result. No payment will be made if the vendor fails to conduct Computer Based Test successfully in the given time schedule. (b) (c) (d) 5. Termination of Contract 5.1 Boardmay without prejudice to any other remedy for breach of contract may terminate thecontract in whole or in parts. (a) If the contractor fails, to execute the job within stipulated time frame or to provide Data/reportsaccuracy as desired or to the entire satisfaction of Board. If the contractor fails to perform any other obligation (s) under the contract. (b) 5.2 Board may,without prejudice to other rights under law or the contract provided, get theservices of other agencies at the risk and cost of the contractor, in above circumstances. And the contractor shall be liable for any loss or damages which the Board may sustain by reason of such failure on the part of the contractor. 12 6 Termination for Insolvency Board may also by giving written notice and without compensation to the contractor terminate the contract if the contractor becomes unwilling, bankrupt or otherwise insolvent without affecting its right of action or remedy as hirer. 7 Force Majeure If any time, during the continuance of this contract, the performance in whole or in part by eitherparty of any obligation under this contract is prevented or delayed by reason of any war, orhostility, acts of the public enemy, civil commotion, sabotage, fires, floods, explosions,epidemics, quarantine restrictions, strikes, lockouts or act of God (Hereinafter referred to asevents) provided notice of happenings, of any such eventuality is given by either party to theother within 21 days from the date of occurrence thereof, neither party shall by reason of suchevents be entitled to terminate this contract nor shall either party have any claim for damagesagainst the other in respect of such on performance or delay in performance under the contractshall be resumed as soon as practicable after such an event may come to an end or cease to exist,and the decision of Board as to whether the supplies have been so resumed or not shall befinal and conclusive, provided further that if the performance in whole or part of any obligationunder this contract is prevented or delayed by reason of any such event for a period exceeding 60days either party may, at his option terminate the contract. 8. Arbitration 8.1 In the event of any question, dispute or difference arising under the agreement or in connectionthere with (except as to matter the decision to which is specifically provided under thisagreement), the same shall be referred to sole arbitration of the Chairman, Board of SchoolEducation Haryana, Bhiwani or his nominee.In case his designation is changed or his office is abolished thenin such case to the sole arbitration of the officer for the time being entrusted whether in additionto the function of the Chairman, Board of School Education Haryana, Bhiwani or by whateverdesignation such officers may be called (hereinafter referred to as the said officer) and if theChairman, Board of School Education Haryana, Bhiwani or the said officer is unable orunwilling to act as such, then to the sole arbitration of some other person appointed by theChairman, Board of School Education Haryana or the said officer. The agreement to appoint anarbitrator will be in accordance with the Arbitration and Conciliation Act, 1996. The arbitrator may from time to time with the consent of both the parties enlarge the time framefor making and publishing the award. Subject to aforesaid Arbitration and Conciliation Act, 1996and the rules made there under, any modification thereof for the time being in force shall bedeemed to apply to the arbitration proceeding under this clause. The venue of the arbitration proceeding shall be Office of the Chairman, Board of SchoolEducation Haryana, Bhiwani or such other place as the arbitrator may decide. Jurisdiction of Court: In all matter and dispute arising there under, the appropriate courts at Bhiwani shall have jurisdiction to entertain and try them. 8.2 8.3 8.4 9. Set Off Any sum of money due and payable to the contractor (including security deposit refundable tohim) under this contract may be appropriated by Board and set off the same against any claimof Board for payment of a sum of money arising out of this contract or under any othercontract made by contractor with Board. 13 SECTION-VI SPECIAL CONDITIONS OF CONTRACT 1. 2. 3. 4. 5. 6. The details of the system design and programs will have to be provided to the Board. The time schedule may be required to be adjusted as per requirements of the Board from timeto time as the work of conduct of Computer Based Test and processing of results is very crucial and is highly time bound. In case of any delay insupplying the desired report on the part of the computing agency, it shall be liable to pay chargesofRs 5000/- per day to the Board.Penalty of Rs. One lac per day will be imposed for failure of the vendor to execute the work as per the Tender Summary and the schedule of various activities. The allotment of work will be for the Haryana Teachers Eligibility Test (HTET)-2015 only in the first instancewhich may be extended forfour more successive HTET on the basis ofconcurrence of both the parties. The agency shall be required to undertake full responsibility of the safe custodyand to maintain secrecy of documents supplied by the Board. Each document and data given bythe Board shall be kept strictly confidential and no part of it shall be divulged to any person at any time without written authorization from the Board. In case of lapse, the agency will be fully responsible for the consequences. The contract will be deemed null and void and the vendor will be liable to pay for any damage caused to the board. The plain stationery for printing of report (Signature Chart) to be given to the Board will have to be supplied by the agency. The charges will be paid to the firm on the basis of the actual number of candidates for whom admit cards are issued for appearing in Computer Based Test. Data / Reports delivery to the Board and receipt of Data from Board, as perschedule, will be the responsibility of the agency. Labour charges in any case shall beborne by the agency. The data prepared will be the property of the Board and the computing agency will have tosupply all copies of the updated data file on portable hard disk as and when required by the Board.Data will not be erased without written permission of the Board at least for two years from thedate of completion of work. The agency will be required to make all necessary and suitable provisions for the smooth, efficient and successful conduct of Computer Based Test. All types of data checking will be the responsibility of the computing agency. The reports will have to be prepared as per instructions of the Board in the formats given/approved by the Board after getting clearance in writing from the Board and will have to ensurehundred percent accuracy. For a mistake the agency will have to pay charges as defined in clause -20. The errors other than input documents errors (i.e. all type of documents/information, poor quality of photo/sign or any kind of stationery supplied by the Board) shall be the responsibility of the computing agency. For a mistake observed after completion of work, the agency will have to pay charges as under:(a) 21. Any mistake in particulars @ Rs.200/- for each mistake. The agency will have to supply copies of each report as intimated by the Board. 15 SECTION-VII DETAILS OF THE WORK The Name of the Work: Conduct of Computer Based Test of the Candidatesfor Haryana Teachers Eligibility Test for the year 2014-15. A. SCOPE OF WORK This Board conducts HaryanaTeachers Eligibility Test (HTET) for the state. HTET is being conducted for three levels. HTET Level 1 is for eligibility of Primary School Teacher, HTET Level 2 is for eligibility of Trained Graduate Teacher and HTET Level 3 is eligibility of Post Graduate Teacher. HTET Level 1, HTET Level 2& HTET Level 3 are conducted on different timings. Each level examination is of 2.30 hours duration. This Board wants to automate the process and provide an opportunity to the candidate to opt for Computer Based Test (CBT) apart from Paper and Pencil Test. The Board intends to hire technically competent firm/agency/company to attend the scope of work. The Scope of the work includes conduct of Computer Based Test, application of answer key to the responses. The Computer Based Test is likely to be conducted at the same slot and date as that of Paper and Pencil Test for all three levels of HTET, but it may be conducted in more slots and/or same/different dates if the number of candidates opting for CBT is higher in different levels. However minor changes in the examination may be done by the Board, if required. B. VOLUME OF WORK It is expected that 4,00,000 candidates may apply for all three levels of the Haryana Teachers Eligibility Test which is likely to be conducted in the month of July 2015. To introduce better technology, Board has decided to give an opportunity to the intended candidate the option to take examination either throughComputer Based Test orthroughPaper and Pencil Test through OMR answer sheets. However, theBoardwill make efforts to encourage candidates to opt for Computer Based Testthough it is not known about the number of candidates who may opt for CBT. C. PERIOD DURING WHICH THE WORK IS TO BE DONE The entire work starting from the date of handing over registration data to conduct of CBT will have to be done in not more than 30 days. Application of answer keys to the responses of only such candidates who opt for Computer Based Test and generation of result will have to be completed within 2 days from the date of answer keys being made available to the firm. Exam Papers should be downloaded to the local server in an encrypted form well before the start of the exam. 3. Exam delivery workstation should be “locked down” and the candidate should not have access to the local file system or the Internet during exam 4. The testing engine should be capable of supporting randomization of test items for additional security. 5. Tenderer must own the complete source code of the software application to be used for conducting the exam and in-house technical skills should be available to make any necessary changes, if required. 6. Tenderer must have their own data center and it must not host the application in a third-party center. 7. Tenderer must have a defined and documented process for obtaining and controlling access to Data Centre. 8. Access to the web and database should be protected by multi-layered firewalls. Two separate layers of firewalls required. Each layer of a different type. 9. Minimum 128 bit SSL encryption should be applied to the data that is transmitted over the internet. 10. Encrypted database and web- servers should comply with PCI/DSS standards. 11. The data should be backed up on tape and should be encrypted and stored offsite securely. 12. The Tenderer should have a comprehensive Business Continuity Plan/Disaster Recovery Plan and practice in place which should be specified in the proposal. 32 13. Facility for mock test to be provided to the candidates in all the Test Centers. 14. There should be 100% power backup at the test center for the IT equipment to avoid any test disruption. In the event of a power –outage that affects the delivery Centers the exam should resume exactly where it left off when the power returns. 15. Exam files should be delivered to testing locations from a central hub prior to exam administration. 16. Tenderer should have its own highly secure test delivery software/tool. 17. Data needs to be highly encrypted to ensure no leakage of test items. 18. The Tenderer should provide automated scoring as per rules defined and agreed. 19. The Tenderer should provide for a web based comprehensive incident management system to track any exigencies reported in the part of the test delivery system. 20. The system should include priority levels which should be assigned to each incident to enable appropriate time –bound responses. 21. There should be a well defined process on how to respond to and manage security breaches. 22. Adequate expertise and staff should be deployed by the Tenderer to undertake execution of various aspects of this program. 23. Scores obtained by the candidates in the CBT. 24. Consolidated reports (on both soft and hard copies) on data captured (formats will be specified by Board) to the designated official of the Board. (both for registration and test). 25. Web application should be able to handle large volume of online traffic for a period of approximately 6-7 weeks for keeping the online application form active and also answering to any queries coming forth during that period and also later for tasks handled by it on real time basis (maximum within 24 hours). 26. Company/Agency should be able to provide proof of successfully running applications on webservers for works of similar scale and scope. It would need to guarantee availability of the online registration site to applicants during the registration period for more than 99% of the duration. 27. In case of any failure in any respect of conducting the examination, tenderer has to make alternative contingency arrangement for successful completion of examination on time. TENDER SUMMARY: 34 The time schedule start from the date of placing of notification of award and issuance of SRS by Board, date of signing of agreement and deposit of Performance Security and issuance of work order by the Board, User Acceptance Test, final approval of User Acceptance Test, GO LIVE of web application, schedule of Pre-Exam, conduct of exams and Post-Exams activities etc. 4. GENERAL CONDITIONS: a) Terms and conditions sent with the tender and accepted by the Company will form apart of this agreement in addition to other conditions of the agreement. b) The Secretary of the Board reserves the right to carry out the capability assessment of thecompany and the secretary’s decision shall be final in this regard. c) The Board will not pay any charges for Boarding, lodging andtransportation facilities for the company or its representative. d) The Board will have free access to the company premises for ascertaining progress ofexamination work at any time without any prior notice. Lodging and Boardingarrangements of authorized officers of the Board, as and when required shall be borneby the company. e) The allotment of work is for Year 2015 Examination f) The charges will be paid on the basis of actual number of candidates for whom Admits Cards are issued for Conduct of Computer Based Test, irrespective of no. of candidates appeared for Pencil and Paper Test. j) Wastage while testing of printing templates on stationery supplied by the Board shouldnot exceed 0.5 %. k) Data inputs/reports receipts from the Board and its safe delivery to Board’s office shallbe the responsibility of the Agency. TIME SCHEDULE: The time schedule will be fixed as decided by the Competent Authority of the Board. 6. SECURITIES & BANK GUARANTEE: a) Company shall submit a Bank Guarantee of the value equivalent to 10% of thecurrent session job’s value or as per allotment in favor of Secretary BoardofSchool Education, Haryana, Bhiwani. The same should be valid up to Aug 2016.After submission of Bank Guarantee / FD/BD, EMD/Bid security deposited will bereleased as such within 30 days. b) The company will be required to meet the schedule of job given by the Boardandmutually agreed to by him/them and would abide by the terms and conditions of thecontract, failing which the Board reserves the right to forfeit the full or part of thesaid Bank guarantee, as the case may be. c) If the company refuses to undertake the allotted work or delays the work deliberatelyand unnecessarily, allotment order will be cancelled, company will be black-listedand Bank guarantee will be forfeited. In such a case decision of the secretary willbe final and binding. d) If at any stage the work is found to be unsatisfactory, the same will be withdrawnand Bank guarantee submitted by the company will be forfeited and the companywill be black-listed. 7.PENALTIES: (a) On not being able to execute the work as per the timeline decided by the Board, the penalty will be imposed on the bidders as decided by the Board’s Secretary as per the gravity/seriousness of the activities of the timeline, however would not exceed 10% of the overall project cost. 8. TAXES AND DUTIES: 35 The company shall be solely responsible for the payment of all taxes and duties,license fees, octroi etc. incurred until completion of the job in all respect. However,Income Tax will be deducted at source by the Board as per provision of Income taxAct/Rules in force.Vat/Service tax shall not be paid extra by the Board. 9. INSURANCE: The Board will not pay for any insurance charges against loss or damage incidental tomanufacture or acquisition, transportation, storage and delivery etc. 10. FORCE MAJEURE DURING THE PENDENCY During the pendency of the contract if the performance in whole/part by either party isprevented/delayed by causes arising due to any war, hostilities , civil commotion , act ofpublic enemy, sabotage, fire, floods, explosion, epidemics, non availability of rawmaterial and other consumables , postponement of examination/re-examination due tounavoidable circumstances, embargo act of civil/military war, or any therecausesincluding breakdown of equipment beyond their reasonable control neither of the twoparties shall be made liable for loss or damage due to delay or failure to perform thecontract during thependency of forced conditions provided that the happening is notifiedin writing within 7 days from the date of occurrence. The work shall be resumed underthe contract as soon as possible after thehappening/event ceases to exist. 11. OTHER CONDITIONS: If some latest technology or equivalent, applicable in examination processing, isintroduced, the company may offer its proposal with rates and terms & conditions forconsideration and subsequentimplementation may be made after mutual consent of both the parties. 12. ARBITRATION: All disputes, differences, claims and demands arising of pursuant to or touching thecontract shall be referred to the sole Arbitrator, Chairman, Board of SchoolEducation, Haryana, Bhiwani. The award of the sole Arbitrator shall be final andbinding on both the parties under the provisions of the Arbitration Act, 1940 or bystatutory modification re-enactment thereof for the time being in force. Such arbitrationshall be held at Bhiwani. 12. JURISDICTION OF COURTS: In all matters and disputes arising there under the appropriate Courts at Bhiwanishallhave jurisdiction to entertain and try them.
