1. INTRODUCTION

The Upper Canada District School Board invites tenders for the construction of a new
elementary school as further described herein at:

All work specified in 1.3 – Scope of Work is to commence upon award of contract. ALL
WORK AWARDED AS A RESULT OF THIS TENDER MUST HAVE REACHED
SUBSTANTIAL COMPLETION ON OR BEFORE THURSDAY JUNE 30, 2016.

Scope of Work
Specifications are summarized as per the attached documents.
Bidders are to be advised that the Board is intent upon ensuring that work performed is
done properly to standards and in a manner which will so far as possible, reduce
maintenance and repair costs in the future. As such, the Board will be enforcing the
requirements of the drawings and specifications to ensure the work is being done
correctly.

3. SUBMISSION PROCESS
3.1.
Site Meeting
Pre-tender site meeting is scheduled for April 29, 2015 at the Board’s Tollgate office
(405 Tollgate Road, Cornwall, ON), meeting room #1 at – 1:00 pm.
The site meeting is MANDATORY for all General Contractors. Attendance will be taken
of the General Contractors in attendance and only those General Contractors who were
represented in person at the Site Examination meeting will be allowed to submit tenders
on the project. Subcontractors are not required to attend the site meeting.
General Contractors may visit the actual construction site at their discretion.
In the event that a mandatory site meeting is scheduled on a day of inclement
weather sufficient to cancel school bus operations on that day, the mandatory
site meeting will be immediately postponed to be rescheduled for another day.
3.2.
Discrepancies or Omissions
Bidders shall promptly examine the entire bid package upon receipt. A Bidder
discovering discrepancies or omissions in the specifications provided by the Purchaser,
or having doubt as to the meaning or intent of any part thereof shall notify the contact
person in writing prior to the closing date of the Tender. A Bidder shall not presume to
interpret the specifications. In the event that the details of the specification are not
clear, the Bidder shall contact the Purchaser prior to submitting a bid. If necessary,
addenda will be issued to all Bidders.
The Purchaser reserves the right to distribute any and all questions and answers
pertaining to this Tender to all Bidders.
3.3.
Inquiries
Any Inquiry related to this tender should be directed to Andrew Bouwman, Architect,
Architecture49 Inc., 613-933-5602 ext.285. No response to any such inquiry shall be
binding upon the Board nor shall the bidder rely upon it unless the response is in the
form of addenda being issued as described in article 3.4 herein.

3.4.
Addendum
Bidders may, prior to the closing date, be advised in writing (by “Addenda”) of required
additions to, deletions from, or alterations to requirements of the bid documents. All
Addenda shall become an integral part of the bid documents and shall be allowed for in
arriving at a contract award.
Each Bidder shall be responsible for verifying before depositing its bid that it has
received all Addenda that may have been issued and shall verify receipt of these on the
Bid Form.
3.5.

Tenders shall be submitted ON THE ENCLOSED BID FORM in a SEALED
ENVELOPE with the bidder’s name and tender number clearly marked on the outside of
the envelope to be received on or before 3:00:00 p.m. EST, May 14, 2015, at the

Appendix “C” shall be completed fully and submitted in a SEALED SEPERATE
ENVELOPE with the bidder’s name, tender number and Appendix “C” clearly marked
on the outside of the envelope to be received on or before 4:00:00 p.m. EST, May 14,
2015, to the address listed above, AFTER WHICH TIME APPENDIX “C” WILL NOT BE
ACCEPTED AND, ALONG WITH THE ORIGINAL TENDER SUBMISSION BEFORE
3:00:00 PM EST, WILL BOTH BE REJECTED AND RETURNED TO THE BIDDER
UNOPENED. No revisions to Tender amounts will be allowed after 3:00:00 PM EST
closing time.
The electronic clock on the switchboard panel at the reception desk of the Head Office
of the Upper Canada District School Board at 225 Central Ave. West in Brockville will be
the official time device only for the purpose of the closing time for this tender.
3.6.
Bid Bond
Bidders shall submit with their tender, security in the form of a Bid Bond naming the
Board as oblige issued by a company licensed to carry on the business of surety in the
Province of Ontario in an amount equal to ten (10%) percent of the bid submitted.
3.7.
Performance Bond
Bidders shall submit with their tenders an agreement to bond issued by a surety
company licensed to carry on business in the Province of Ontario pursuant to which the
surety shall agree that in the event that the tender is accepted, it will issue a
Performance Bond on behalf of the successful bidder naming the Board as oblige in an
amount equal to Fifty percent (50%) of the contract value. Bonds and Agreement to
Bond shall be on the CCA form.
3.8.
CCDC2 - 2008
The Successful Bidder shall enter into a CCDC2-2008 form of contract, subject to such
amendments as might be represented by the Supplementary Conditions in Appendix B.
3.9.
No Liability for Expenses
The Board shall not be liable for any expenses incurred in the preparation and
submission of the bid.
3.10.
Irrevocable Bid
The bid, once submitted, may be accepted by the board, in whole or in part, for a period
of sixty (60) days from the closing date and is irrevocable during that period.

3.11.
Taxes
All taxes are extra and should NOT be included in the amount bid. HST will be in
addition to the bid amount.
3.12.
Signing of Tender
The Bidder undertakes, acknowledges, confirms and agrees that by signing and
submitting a bid, that bid then constitutes an offer in writing which, if accepted by the
purchaser, in accordance with the terms herein constitutes an agreement between the
parties. The signature(s) of the Bidder has the duly authorized signing authority for this
Tender on behalf of the Bidder.
3.13.
Withdraw of Tender
A written application by a bidder to alter, amend or withdraw its entire bid or any part or
parts thereof must be delivered to and received by the Board prior to the closing date
and time stipulated herein after which the bid will not be returned and will be evaluated
as received in accordance with the terms and conditions contained herein.
3.14.
Right to Disqualify
The Board reserves the right to disqualify bids not submitted in strict accordance with
the requirements of the bid documents.
3.15.
Acceptance of Tenders
Tenders must be submitted using the attached form. They must be fully completed and
signed by an authorized representative of the bidding company. Bids that are unsigned,
improperly signed, non-legible, obscure, contain errors, alterations or any irregularities
of any kind, may be rejected.

Where more than one submission is received for the same price and quality of items or
services, the contract may be awarded by having the tied bidders provide a
written/sealed best and final offer to break the tie. Should the bid still be tied, the Board
shall make an award by carrying out a simple “coin toss” in a public and witnessed
environment. The bidder whose tender package was received/time-date stamped
earliest will be represented by “heads”.
3.16.
Receipt of Bids
Bids will be received in sealed envelopes clearly identifying the competition name and
number. Bids sent by facsimile, e-mail or in other forms will not be accepted. It is the
bidders’ responsibility to ensure that the documents are delivered to:

the closing time and date specified herein will not be considered and will be returned

3.17.
Public Opening
Bidders are invited to the tender opening which will be held on the same day as the
tender closing. All bids will be opened publicly at the 225 Central Ave. West office of
the Upper Canada District School Board immediately following the 4:00:00 PM closing
for Appendix “C” submissions.

4. EVALUATION / AWARD
4.1.
Award of Contract
The Successful Bidder shall enter into a CCDC2 2008 form of contract subject to such
amendments as might be represented by the Supplementary Conditions in Appendix B
of this tender.
The overall recommended Bidder (for contract award) will be given seventy-two
(72) hours from the time of being contacted by the Board to submit a current and
valid Certificate of Insurance for the insurance coverage specified herein.
If the recommended Bidder is in good standing with WSIB, the Board is able to
retrieve an electronic version of the recommended Bidder’s most recent WSIB
Certificate of Clearance directly from WSIB. However, if for any reason the Board
is unable to retrieve a WSIB Certificate of Clearance on behalf of the
recommended Bidder, the recommended Bidder will have seventy-two (72) hours
from the time of being contacted by the Board to produce and submit a current
and valid WSIB Certificate of Clearance.
Failure to provide either of these documents within the specified time period will
result in the immediate rejection of the bid as being non-compliant.
A letter of award or a Purchase Order shall be forwarded to the Successful Bidder.
4.2.
Assignment of Contract
The Successful Bidder shall not assign the contract, or part of, without the prior written
approval of the Board.
4.3.
Debriefing Process
Unsuccessful bidders shall be entitled to a debriefing of their bid submission within sixty
(60) days of notification of an award of contract by contacting:

4.4.
Bid Protest Procedure
In the event that a Bidder wishes to review the decision of the Purchaser in respect of
any material aspect of the Tender process, and subject to having been through the
Debriefing Process, the Bidder shall submit a protest in writing to the Purchaser within
ten (10) days from the date of the debriefing. Any protest that is not received within this
period, will not be considered.
A protest in writing shall include the following:
a)
A specific identification of the provision and/or procurement procedure that
is alleged to have been breached;
b)
A specific description of each act alleged to have breached the
procurement process;
c)
A precise statement of the relevant facts;
d)
An identification of the issues to be resolved;
e)
The Bidder’s arguments and supporting documentation; and
f)
The Bidder’s suggested remedy.
For the purposes of a protest under this Tender, the protest procedure to be followed by
the Purchaser will be:
1.
A written response by the Manager of Purchasing and Administrative
Services to the Proponent addressing each of the specific allegations
within ten (10) days from receipt of the Bidder’s written protest;
2.
If not still not satisfactory to the Bidder a subsequent written appeal by the
Bidder to the Superintendent of Business summarizing the specific issues
still considered to be unresolved in step 1 above within ten (10) days from
the date of response by the Manager of Purchasing & Administrative
Services;
3.
The Superintendent of Business shall review all documentation and
consider the use of legal advice or any other support mechanism to make
a final decision and recommend a course of action, if required. The
decision of the Superintendent of Business will be in writing and
considered final for the purposes of this procedure.
4.5.
Right Not to Proceed
Bidders acknowledge that the financing of this project and the ability to proceed to
construction is contingent upon receiving approval from the Ministry of Education. The
Board reserves the right to withdraw this invitation to Tender and specifically reserves
the right not to proceed with the contract should there be a curtailment of funding which
would not be sufficient to proceed with the construction as specified herein or if the
Ministry of Education does not approve construction at this time. The Board reserves
the right to remove one (1) or more components of work as specified in Appendix
#15-027 New Elementary School - Cornwall

D – Bid Breakdown from the scope of work, should the lowest compliant bid
exceed the budget for this project.
The Board may request further clarification of a bid from a bidder. While the Board is
not obligated to consider bids that do not strictly comply with its requirements, it
nevertheless reserves the right to do so and specifically reserves the right to waive
formalities as its interest may require.
Bidders must agree that unless otherwise stated, the Board at its sole and unfettered
discretion reserves the right to end formalities in the event only one (1) compliant bid is
received and enter into negotiations with that Bidder, or simply accept the Bidder’s bid
or to cancel the Tender process.

5. TERMS AND CONDITIONS
5.1.
Conflict of Interest
The Education Act states that articles or services must not be purchased from a
Teacher, Supervisory Officer, Trustee or any Employee of the Board or of the Ministry of
Education and Training. This also applies to firms owned directly or indirectly by an
employee of a Board. This is outlined in Chapter E.2, Section 217 of the Education Act,
RSO 1990. Please submit with your bid submission a detailed letter indicating any
possible conflict of interest.
Each Bidder shall declare to the Board as part of its bid any situation that may be
considered a conflict of interest.
5.2.
Disputes
In the event of any dispute or claim arising between the Board and the Successful
Bidder as to their respective rights and obligations under the contract, either party may
give the other written notice of such dispute or claim. If the dispute or claim cannot be
resolved through negotiation to the satisfaction of both parties, then the Board shall
have the right at any time to submit the particular matter to arbitration in accordance
with the Arbitrations Act (Ontario). If the Board does not exercise their right to submit
the matter to arbitration, then either party may submit the dispute to such judicial
tribunal as the circumstances may require.
5.3.
Force Majeure
Neither party shall be responsible for any delay or failure to perform its obligations
under the agreement where such delay or failure is due to fire, flood, explosion, war,
embargo, government action, Act of Public Authority, Act of God, or to any other cause
beyond its control, except labour disruptions.
In the event Force Majeure occurs, the party who is delayed or fails to perform shall
give prompt notice to the other party and shall take all reasonable steps to eliminate the
cause.
Should the Force Majeure event last longer than thirty (30) days, the Board may
terminate this agreement by notice to the Successful Bidder without further liability,
expense or cost of any kind.

5.4.
Freedom of Information
The Tender and any accompanying documentation submitted by the Bidder and
accepted at the closing date and time specified shall become the property of the Board
and shall not be returned. The Bid shall be subject to the Freedom of Information and
Protection of Privacy Act, R.S.O. 1990, F-31. A Bidder must identify any information
contained in its proposal that is submitted in confidence.
5.5.
Governing Law
This Tender and any subsequent agreement resulting from it will be governed by and
interpreted in accordance with the laws of the Province of Ontario.
5.6.
Indemnification
The Successful Bidder agrees to, at all times, indemnify and save harmless the Board,
and their employees, members, and agents from and against all claim, demands,
losses, costs, damages, actions, suits and other proceedings by whomsoever made,
sustained, brought or prosecuted in any manner based upon, occasioned by or
attributable to anything done or omitted to be done by the successful bidder, or its
officers, employees, or agents in connection with the provisions of services by the
Successful Bidder under the contract.
5.7.
Sub-Contracting
Sub-contracting of any portion of the supplies and services required in this tender will
not be permitted without the prior written consent of the Purchaser. Any work
undertaken by Board approved Sub-Contractors shall in no way relieve the Successful
Contractor of his/her responsibilities to the Purchaser.
5.8.
Insurance
The Successful Bidder shall provide and maintain insurance during the term of the

The Pollution Event Liability insurance value as required in Appendix B –
Supplementary Conditions is $2,000,000.
Liability Insurance for Median Cut Scope of Work
The Successful Bidder shall take out and keep in force until the date of final acceptance
of the entire work by the Engineer, a comprehensive policy of public liability and
property damage insurance acceptable to the Engineer providing insurance coverage in
respect to any one accident to the limit of at least $2,000,000, exclusive of interest and
cost, against loss or damage resulting from bodily injury to or death of one or more

person and loss of or damage to property and such policy shall name the City of
Cornwall as an additional insured thereunder and shall protect the City against all
claims for all damage or injury including death to any person or persons and for damage
to any property of the City of any other public or private property resulting from or
arising out of any act or omission on the part of the Successful Bidder or any of his
servants or agents during the execution of the construction, and the Successful Bidder
shall forward with the executed Agreement a certified copy of the policy or certificate
thereof, as the City may direct. The policy shall not have any exclusion for blasting.
5.9.
Occupational Health & Safety
The Successful Bidder must comply with all safety standards established by law and
with the regulations of the Ontario Health & Safety Act and with safety standards
established by industry associations where applicable. Breach of this condition will be a
fundamental breach of contract.
The Successful Bidder shall be responsible for ensuring the same compliance by its
suppliers and subcontractors.
The regulations of the Occupational Health and Safety Act will govern all operation, as
well as handling, labelling, and usage of chemicals in this bid. The Successful Bidder
will be fully responsible to ensure the safety of all workers, students, staff and the
general public. Only competent and skilled personnel will be provided by the
Successful Bidder under this contract. The Successful Bidder will be responsible to
monitor adherence to safety standards and provide supervision and instruction to staff.
The Upper Canada District School Board reserves the right to cancel this contract
without notice for non-compliance with the regulations of the Occupational Health &
Safety Act.
5.10.
Workplace Safety and Insurance Board (WSIB)
The Successful Bidder shall provide a valid current Certificate of Clearance supplied by
the Workplace Safety and Insurance Board. Failure to provide such documentation will
result in the termination of the contract.
It is the responsibility of the Successful Bidder to ensure and provide the Upper Canada
District School Board with the Certificate(s) of Clearance from any and all subcontractors.
Where the effective date on Certificate(s) expires or may expire during the bid period
and/or during the course of the work contracted, new certificates will be provided by the
contractor to the Upper Canada District School Board promptly.

5.11.
Accessibility For Ontarians With Disabilities Act
The Successful Bidder(s) must be capable to recommend and deliver, as appropriate
for each deliverable, accessible and inclusive goods and/or services consistent with the
Ontario Human Rights Code (OHRC), the Ontarians with Disabilities Act, 2001 (ODA)
and Accessibility for Ontarians with Disabilities Act, 2005 (AODA) and its regulations in
order to achieve accessibility for Ontarians with disabilities.
In accordance with Ontario Regulation 429-07 made under the Accessibility for
Ontarians with Disabilities Act, 2005 (Accessibility Standards for Customer Service),
Clients have established policies, practices and procedures governing the provision of
its goods and services to persons with disabilities.
Successful Bidders are required to comply with the Purchaser’s accessibility standards,
policies, practices and procedures, which may be in effect during the Term of the
Agreement and which apply to the deliverables to be provided by the Successful
Bidders.

5.12.
Termination
Where the Successful Bidder is in default in carrying out any of its obligations under the
contract, the Board may, upon giving written notice to the Successful Bidder, terminate
for default the whole or any part of the contract, either immediately or at the expiration
of a cure period specified in the notice if the Successful Bidder has not cured the default
to the satisfaction of the Board within that cure period.
The Board reserves the right to terminate the contract without cause, in whole or in part,
whenever the Board determines that such termination is in the best interest of the
Board, upon giving thirty (30) days written notice to the Successful Bidder. The Board
shall pay all reasonable costs incurred by the Successful Bidder up to the date of
termination. The Successful Bidder shall not be compensated for any profits which may
have been anticipated but which have not been earned up to the date of the termination.
5.13.
Payment Terms and Conditions
Payment will be made in accordance with the conditions summarized in the CCDC2
2008 form of contract.
Invoices must be submitted to the Board’s Architect overseeing the project.
Invoices shall contain the Purchase Order number and the Activity ID number.

5.14.
Notice of Project
The Successful Bidder shall be responsible to take out a Notice of Project to the
Ministry of Labour and shall properly post on site prior to commencing the project as set
out in section 6(1) of the Regulation for Construction Projects, O.Reg 213/91 (the
regulation). Proof of such Notice must be made evident to the Board before the first
payment release shall be made.
