Bartrams provides the following equipment to our visitors (subject to availability): 25 manual wheelchairs 25 electric scooters The manual wheelchairs are free of charge to blue badge holders, £5 per day to other visitors. Electric scooters cost £15 per day for all visitors. This is a non-refundable scheme. Shelters and dedicated help points have recently been installed in the disabled car parks for visitors who require assistance. The exhibitors are responsible for maintaining their stands in a tidy condition at all times. Stand design drawings are required to be sent for approval, otherwise the organiser has the right to dismantle or make changes at exhibitors’ responsibility. 2. Stands may not exceed an overall height of 3.5m at the borders without prior permission from the organisers. Other parts (the inside area) Prior approval of drawings by Mandy Humm is a must. 3. The name and stand number of the exhibitor must be prominently displayed. If this requirement is not observed, the Organisers reserve the right to affix stand numbers and charge the cost incurred to the exhibitor concerned. 4. A suitable floor covering such as carpet or matting must be provided for all stands. 5. A back wall must be provided, except in case of an island or peninsula stand. 6. In case “space only”stand walls exceed the height of adjacent lower stand’s walls, the rear surface must be decorated by the exhibitor building the higher wall. 7. No part of any structure or exhibit may extend beyond the boundaries of the site allocated. This includes symbol, logo, lighting, floral decoration and furnishing. 8. Exhibitors are reminded that it is the responsibility of their appointed stand- fitting contractor to clean and vacuum the stand upon the completion of construction before handling over to the Exhibitor. Thereafter the official cleaning contractor will clean the carpet unless excessive packing material is deposited. 9. Exhibitors are required to submit for approval, Stand Layout, Electrical Plan, Elevation and Artist’s Impression to Mandy Humm before the event build starts for approval together with the name, address, and contact person of their selected contractor to whom an official design approval will be issued if all technical specifications are adhered to. This is to prevent costly alterations required by the organisers to comply with local rules. 10. It is STRICTLY forbidden for any Exhibitor/Group, to build or add any structure, put flags, banners or signs outside the booked area. 16 4 Exhibition STANDS 4.4 Complex Structures DEFINITION: A Complex Structure is any form of structure which would normally be designed by an engineer which potentially may be a source of significant risk. Examples of Complex Structures are: ■ Any structure over 4m in height ■ Multi story structures ■ Temporary tiered seating or grandstands ■ Sound / Lighting or Camera Towers ■ Platforms and Stages over 0.6m in height and all platforms and stages for public use ■ Barriers or fences which may be subjected to crowd loadings. ■ Tents and Marquees over 9m span All complex structures are to be designed by a competent person, normally a Chartered Civil or Structural Engineer, in accordance with good engineering and building practice to all relevant British Standards and Codes of Practice. Particular reference should be made to “Temporary Demountable Structures : Guidance on Procurement, Design and Use, Third Edition April 2007 “ published by Institution of Structural Engineers. Contractors are responsible for submitting full details of all complex structures no later than 28 days prior to commencement of build. As a minimum, details should include: ■ Detailed scaled plan views and sections of each story of the structure ■ Structural layouts including full steelwork and staircase details ■ Width and position of aisles and gangways ■ Specifications of all construction materials ■ Structural calculations including ground loading assessment (in English) ■ Method Statement for erection, inspection and dismantling ■ Risk assessment (to include fire hazards) 17 4 Exhibition STANDS All submissions will be reviewed by Campbell Reith and contractors will be advised of the need for amendments or submission of further details. On completion of the checking process, contractors will be issued by Campbell Reith with a ‘Certify to commence build’. No contractor will be permitted to commence erection until this certification is complete. All contractors engaged in the erection and dismantling of complex structures are required to do so in accordance with submitted method statements and established safe systems of work. 4.5 Complex Structures Continued All complex structures are to be erected strictly in accordance with previously submitted drawings, details and calculations. Special care must be taken in the assessment of ground conditions to ensure that any assumptions made in the design are verified on site as representative of actual conditions. Particular attention must be made the provision of adequate kentledge, guying, ties and bracing both temporary or permanent to ensure that the structure remains stable at all stages of erection. Site alterations or adaptions to the specified design must not be made without verification by the designer. The contractor is to be responsible for ensuring that adequate checks and inspection by a competent person both during the erection process and on completion. Routine checks will also be undertaken by CampbellReith, Local Authority and other parties but in no way are these to be considered to relieve the contractor of his responsibilities in this regard. On completion of the structure a final check and sign off should be undertaken by a competent person on behalf of the contractor and certified as complete. On completion of the structure and acceptance, the structure should be secured to prevent vandalism or unauthorised alteration. Inspection of the structure should then be carried out by a competent person during use on a daily basis. Dismantling of the structure after the event must be undertaken in accordance with the submitted method statements and established safe systems of work. Where necessary the organiser may allocate the space that the exhibitor may occupy. The parties hereto declare and agree that this agreement is not and shall not be deemed to be a lease or an agreement for lease. 5.3 Allocation Exhibit space will be allocated according to the date on which the application of the exhibitor is received and in all cases at the full discretion of the organiser. The organiser reserves the right in the interest of optimum traffic control and exhibit exposure to relocate the exhibit or display of the exhibitor (the exhibit) which may be affected by a change in the floor plan. Such change would not be made unless deemed necessary by the organiser. The organiser agrees to advise the exhibitor if such change is necessary. The organiser’s determination with respect to allocation of exhibit space is not to be binding on the exhibitor. The full contract price shall at all times be payable even if the exhibitor eventually does not utilize all the exhibit space allocated to him. In the event the exhibitors’ choice of exhibit space(s) is not available, the organiser will where possible allocate another space. If desired the exhibitor may provide the organiser with a list of competitors whose exhibits (if any) should not be near that of the exhibitor. The organiser will where predictable accommodate such requests. In the event that no exhibit space is available for the exhibitor, the sole obligation of the organiser to refund to the exhibitor such amount of money as shall have been received by the organiser from the exhibitor and the organiser shall have no liability whatsoever. The exhibitor shall not entitle to make any claim in connection with the foregoing against the organiser. 5.4 Exhibitors Exhibits will, unless the organiser agrees otherwise, be limited to materials, products, or services of special interest to registrant of the exhibition. The organiser reserves the right to determine the eligibility of any material product or service for display. Exhibiting manufactures representatives and/or distributors must list their participating principals as the exhibitors for record purposes. The organisers reserve the right to limit the number of principals that can be represented by the exhibitor in a single booth. 19 5 Exhibition SERVICES 5.5 Warranty Except otherwise approved by the organiser or disclosed in writing to the organiser, the exhibitor represents, warrants and undertakes that: ■ They are entering into this agreement as principal and not as agent or nominee of any third party. ■ None of the exhibits on display or present at the exhibition premises including decorations and presentations of the exhibit and the exhibition booths, product labels and product or service demonstrations or performances infringe, or is likely to infringe, any patent, trademark, copyright and other intellectual property right of any party and agrees that in the event of any breach of the representative warranties and under takings herein contained in this agreement and the license being liable for any damages or claims whatsoever and without prejudice to the organiser against any all costs, claims, demands, losses, liabilities, charges, actions and expenses. 5.6 Admissions Exhibits will be open to all exhibition registrant. The organiser reserves the right to refuse admission to any person, including children of exhibitors and visitors, in the interest of the exhibition or the safety and welfare of exhibitor and visitors. 5.7 Employment Exhibits Exhibits for the purpose of soliciting prospective employees or employee recruiting activity of any kind are specifically prohibited. 5.8 Exhibit Appliances Common sense governs the kind of exhibits permitted at the exhibition. Attractive and informative exhibits are encouraged. Exhibit dimensions shall conform to the specific dimensions and restrictions specified in the official Exhibitor Manual and additional documents supplied by the organiser from time to time. In no event, however, shall any exhibit interfere with any neighboring exhibit. If the organiser is of the view that there is such interference, the exhibitor shall remove or relocate such exhibit. The exhibitor shall not display at the exhibition any products not described in his application. 5.9 Sound Level Mechanical or electrical device which produce sound must be operated so as not to prove disturbing to other exhibitors. The organiser reserves the right to determine the acceptable sound level in all such instances to require the removal of any such devices. 20 5 Exhibition SERVICES 5.10 Stand Fitting Services The organiser has appointed an Official Stand Fitting contractor, GES to provide stand fitting services for the exhibition. For exhibition other than those under the shell scheme, stand fitting works can be carried out by the Official Stand Fitting Contractor or by a Contractor appointed by the Exhibitor, provided that such contractor shall have been approved by the Organiser. The Exhibitor shall bear the cost of all such stand fitting works whether relating to the shell scheme or otherwise. 5.11 Electrical Works & Electrical Supply Lighting, lighting mains, power plugs, power mains and motors are available as specified in the Exhibitor Manual. Where the exhibitor requires any electrical works in connection with its exhibit, such work shall only be carried out by the official electrical contractor, Moyne Exhibition Services appointed by the organiser. The exhibitor shall bear the cost of all such electrical work. 5.12 Exhibit Cleaning The exhibitor must make arrangements for its exhibit to be kept presentable, clean and free from accumulated rubbish, to the satisfaction of the organiser. All materials for disposal as waste must be deposited in the areas designated by the organiser. Any Boxes or bin bags left in the gangway will be treated as waste and collected by the cleaning team. 5.13 Advertising The exhibitor may distribute only within the confines of its stand, hand bills or other printed advertising matter with respect to its exhibit. You are NOT permitted to do this from the public gangways or the main entrance. The organiser reserves the right to prohibit the distribution of any advertising material for any reason whatsoever. 5.14 Cancellation Please see the terms and conditions of the contract that you have signed with the organiser for full details of the cancellation policy that applies to your participation in this event. 21 5 Exhibition SERVICES 5.15 Assistance As far as practicable, the organiser shall keep the exhibitor informed about the exhibition providing such available promotion materials (as the organiser considers necessary), for use by the exhibitor and promote attendance at the exhibition through such means of advertising, public relations or publicity, as the organiser considers appropriate. Applications for official exhibitor badges for the exhibitors own employees and representatives in attendance at the exhibition should be made to the organiser. 5.16 Public Safety Insurance and Exhibition Liabilities Exhibitors and their representatives should be present on their stands at all times during the opening hours of the exhibition, in order to receive visitors. They may not close their stand before the official appointed time of closing. All inflammable materials (such as empty boxes and other wrappings) should be immediately removed from the exhibition premises. The use of inflammable materials for the decoration of the stand is prohibited, unless such decorations have been treated with a fire-retarding substance. All heating appliances should be mounted on fire-proof stands. 1. The organiser shall insure the exhibition hall, and any other adjoining constructions against fire risks, and shall insure third party (visitors to the exhibition) against accidents that may occur during the hours that the exhibition is officially open to visitors. 2. The exhibitor is solely responsible for damage which may occur to his exhibits, equipment, decorations, his stock or his stand or any other of his possessions due to fire, theft, deterioration, loss or damage by water or damage suffered during any fire fighting operations. 3. The exhibitor is responsible for all accidents that may occur to staff (including the organisers personnel) technicians, employees or exhibitors on duty on his own or neighboring stands, together with any visitors on his stand or neighboring stands due to the use by him or anyone else delegated by him on machines, motors or other appliances of electric power. 4. The exhibitor is responsible for all other damages, injuries or accidents other than those already mentioned or those that he himself may foresee, and any other damages, which may result mentioned or those that he himself may foresee,and any other damages, which may result from his participation in the exhibition, whether directly through his own fault or through the fault of a third party under the exhibitors instructions and affecting the possessions, furniture or building belonging to either the organiser or to another party. 22 5 Exhibition SERVICES 5.16 Continued 5. The organiser disclaims all responsibility for risks as mentioned in paragraphs above and the exhibitor shall not be entitled to make clean, whatever the factors causing such risks. 6. Exhibitors will have to obtain third party liability insurance from a reputable insurance company. This compulsory insurance will have to cover accidents suffered possibly by third parties in the buildings or on the grounds of the exhibition premises and that involves the liability of the exhibitor or of any of his employees. 7. Exhibitors will have to take out, with an insurance company of good standing, an “all-risks” insurance policy covering the stand equipment and the articles exhibited by them, if this equipment or these articles are their property or not. 8. Each exhibitor is reminded that he is responsible for effecting insurance cover for expenses incurred due to abandonment or postponement of the exhibition for any reason. 9. The insurance policies mentioned above will have to include the insurers renunciation of any recourse against the parties below, in the event of damages or accidents. 10. The period of liability of the exhibitor shall be deemed to run from the time the exhibitor or any of his agents, or contractors first enters the exhibition site and to continue until all his exhibits and property have been removed. 11. The exhibitor shall insure, indemnify and hold the organiser harmless in respect of all costs, claims, demands and expenses to which the organiser may in any way be subject as a result of any loss or injury arising to any person (including members of the delegations, visitors, public, the organiser’s staff, agents, contractors or invitees. If the organiser finds it necessary, the exhibitor shall provide proof that he has adequate insurance cover. The organiser shall not in any event be held responsible for any restriction or condition which prevents the construction, erection, completion, alteration or dismantling of stands of for the entry, sitting, removal of exhibits, or for the failure of any services amenities provided by the hall landlord for the cancellation or part-time opening of the exhibition either as a whole or in part or for amendments or alterations to all or any of the Rules and Regulations caused by circumstance not under their control. 23 5 Exhibition SERVICES 5.17 Waiver Of Subrogation The exhibitor shall procure the insurance company or companies which issued the insurance policy referred to in the preceding paragraphs to waive their rights of subrogation against the organiser, their respective officers, directors, employees and agents. The exhibitor shall provide the organiser with evidence of such waive.. 5.18 Safety Fire Health And Other Laws All fire, safety, health and other laws, rules and regulations imposed by local authorities and agencies or the leaser of the premises where the exhibition is held, must be strictly observed by the exhibitor. Aisles and fire exits shall not be blocked by exhibits. Decoration of the exhibits shall only be carried out in such manner approved by the organiser. No storage behind exhibits is provided or permitted. 5.19 Prohibited Materials Prohibited materials shall not be brought onto the exhibition premises. The exhibitor is solely responsible for ensuring that all governmental and other regulatory approval required for the exhibits and its participation in the exhibition shall have been obtained prior to the date of the exhibition. No illegal drugs or pornographic material may be used, sold or displayed. 5.20 Losses The organiser cannot take responsibility for damage to the exhibitors’ property, or lost shipments either coming in or going out, not for moving costs. Damage to inadequately packed property is the exhibitors own responsibility. If an exhibit fails to arrive, the exhibitor is nevertheless responsible for the full contract price payable under the agreement. The exhibitor is advised to insure against these risks. 5.21 Termination In the event that the premises in which the exhibition is or is to be conducted shall become, in the sole discretion of the organiser unfit for occupancy or in the event the holding of the exhibition or the performance of the organiser of any of the provisions of this agreement are substantially or materially interfered with by virtue of any cause or causes not within the control of the organiser, this agreement and / or the exhibition (or any part there of), may forthwith be terminated or canceled by the organiser, without the organiser being liable in damages, or other wise to the exhibitor. The organiser shall also not be responsible for delays, damages, loss, increased costs or other unfavorable conditions arising by virtue of cause or causes not within the control of the organiser. 24 5 Exhibition SERVICES 5.21 Continued shall include, but not be limited to fire casualty, flood epidemic, earthquake, explosion, or accident, blockade embargo, inclement weather governmental restraints or orders of civil defense or military authorities act of public enemy riot of civil disturbance strike, lockout, boycott or other labor dispute, or disturbance inability to secure sufficient labor technical or other personnel, absence of promises required for the exhibition failure impairment or lack of adequate transportation facilities, inability to obtain or condemnation requisition or commandeering of necessary supplies or equipment local state or other law ordinance rule order decree or regulation whether legislative executive or judicial and whether constitutional or unconstitutional of Act of God. 5.22 Right To Reject Or Eject The exhibitor agrees that its exhibits shall be admitted and shall remain from day to day solely in strict compliance with the Rules and Regulations herein contained. The organiser reserves the right to reject, eject or prohibit any exhibit in whole or in part of any exhibitor or its representatives with or without giving cause. If cause is not given the maximum liability of the organiser (if any) shall not exceed the return to the exhibitor of the pro rata amount of the contract price paid by the exhibitor based on the number of days of the exhibition remaining at the time of ejection. If an exhibit or exhibitor is ejected for violation of any provisions of this agreement of for any other stated reason, no refund of all or any portion of the contract price shall be made. 5.23 Right Of Possession During the term of this agreement and so long as any property of the exhibitor including, but not limited to the exhibit and any goods, wares and merchandise related thereto is on the exhibition premises, the exhibitor hereby grants to the organiser the right of purposes of ensuring the due performance by the exhibitor, if its obligations under this agreement to possession of all such property. Such right to possession shall be superior to that of any person. In the event of any breach of any provisions of this agreement all such property shall be deemed to be pledged to the organiser as security for the performance by the exhibitors of its obligations under this agreement and the organiser may remove, sell or otherwise dispose of all the same upon such terms and conditions as it deems fit. In the event that for any reason whatsoever such property is not removed by the exhibitor from the exhibition premises within two days after the close of the exhibition and in accordance with the timetable specified in the Exhibitor Manual, then the organiser shall be at liberty to remove, sell or otherwise dispose of such property and the net proceeds where of, will be credited to the account of the exhibitor. The exhibitor shall indemnify the organiser against all costs and expenses incurred in connection with such removal, sale of disposal and any claim by a third party to any such property so sold or disposes of as aforesaid in which such third party has or claims an interest. 25 5 Exhibition SERVICES 5.24 Sub Licensing The license to participate in the exhibition is personal to the exhibitor, is non-transferable and no licensing or sub-licensing may be granted by the exhibitor to any other party. The exhibitor shall not assign or sublet the exhibit space that may be allocated to it pursuant to this agreement, or any part thereof, or permit anything not specified in this agreement to be exhibited in the allocated exhibit space. Any attempted assignment, subletting or license in violation of the terms of this clause shall be null and void. Except with the prior written consent of the organiser, the exhibitor shall not exhibit, offer for sale, give as a premium or advertise articles not manufactured or sold in its own name, except and to the extent that such articles are required for the proper demonstration or operation of the exhibitor’s display, in which case and identification of such articles shall be limited to the regular nameplate, imprint or other identification which in standard practice normally appears on them. The Exhibitor shall not permit in its exhibit representatives of companies other than the exhibitor except with the prior written consent of the organiser. The decision of the organiser shall in all instances be final, with the regard to whether any proposed use of the Exhibitor’s exhibit space is permitted under this agreement. 5.25 Liability Limitation The Exhibitor agrees that the liability of the organiser (if any) shall under no circumstances (whether arising from breach of contract, or otherwise) exceed the amount of the total contract price paid by the Exhibitor for the license herein granted. The persons appointed by the organiser to undertake any official tasks including, but not limited to the Official Stand Fitting Contractor and the Official Electrical Contractor are independent contractors and are not agents of the Organiser. 5.26 Governing Law And Jurisdiction This Agreement shall be governed by and constituted in accordance with the laws in the UK. Each of the parties hereto, hereby irrevocably and unconditionally submits to the non-exclusive jurisdiction of the Courts of the UK, for all purpose in relation to this agreement and waives any objections on the ground of venue or forum non convenient or on similar purpose. 5.27 Nuisance The exhibitor shall not do, permit or suffer to be done anything in or upon the exhibition premises or any part thereof, which may be or become a nuisance, or annoyance or cause damage or inconvenience to the organiser or other exhibitors, or any local regulatory authority or agency or the leaser of the exhibition premises. 26 5 Exhibition SERVICES 5.28 Revocation In the event of any breach or non observance of any of the provisions of this agreement by the Exhibitor, the Organiser shall be entitled to revoke the license granted and thereupon the exhibitor shall immediately leave the exhibition premises and remove all its exhibits. 5.29 Exhibitor Manual And Floor Plan Guide and other documents supplied by the organiser from time to time and on the exhibit floor plan. Such rules and regulations shall unless waived by the organiser be deemed to form part of the agreement and shall be binding on the exhibitor. The Organiser may from time to time be entitle d to change the exhibit floor plan. 5.30 Music On Your Stand A simple guide to the licenses you may require Performing Rights Society (PRS) License When music is played in public, the owner of the copyright is entitled by law, to payment from the user. The Performing Rights Society is an organisation that collects and distributes this money (royalties) to its members- the owners of the copyright, (usually the composers or publisher). A PRS License is required for the live performance or public playing of copyright music by ANY means. This includes jukeboxes, CD’s, video, radio, TV or live bands and discos. Performing Rights Society www.prsformusic.com Phonographic Performances Ltd (PPL) Licenses A PPL license is needed for the playing of original sounds recordings; e.g. CD’s, tapes or records, including jukeboxes and background music systems. In most circumstances when music is provided, both the PRS and PPL licenses are required. In placing a client order with Moyne Limited (Moyne) the client accepts, with no reservations, that these Terms & Conditions of business take the place of any other document, prior written or oral; agreement, as well as the client’s terms & conditions of purchase or hire. 1b. Moyne’s Terms & Conditions of business can only be amended in writing. 1c. The contract will be interpreted and applied in accordance with English Law and the parties to the contract agree to submit to the exclusive jurisdiction of the English Courts. 2a. A client must be evidenced in writing by signing a Moyne Pre Payment Order. Except where stated, Moyne’s Terms & Conditions of business for the placing of client’s orders, their variation and cancellation, will apply pre payment order forms, site orders and electronic sales orders. 2b. In the event that you cancel an order, even if only advised orally, you will be liable for any work put in hand in order to meet the timescales necessary to complete work to the deadlines of the event for which the work is intended. 2c. Acceptance of a client order will be conditional on timing and on stock availability. In the event of cancellation of a client order by a client, the client will pay to Moyne the labour and material costs of any work undertaken by Moyne in order to fulfill the client order, at Moyne’s fully costed rates. 2e. In the event that a client order is cancelled 14 working days prior to build up of event they will be entitled to a 100% refund less administrative costs. 2f. In the event that a client order is cancelled less than 14 working days prior to build the client will be charged 100%. 2g. If for any reason the exhibitor withdraws from the exhibition or the exhibition is cancelled less than 16 working days prior to build up of show the client will be charged 100%. 2h. Any client order placed on site will be charged at the surcharged price as detailed in the exhibitor manual or as detailed on any prepayment order form. 3a. All prices are exclusive of VAT. 3b. Where a client wishes to amend a client order after work has started on site, the client will be charged in accordance with the terms set out below, for changed client orders. Moyne will only proceed to make any change after a on site order has been signed by the client’s representative on site. 4a. It is the duty of the hirer to provide at such event or exhibition, a duly authorized representative to accept the furnishings and to give written receipt. If the hirer fails to provide for this, he will not be permitted to dispute subsequently the facts of the delivery and be deemed to have accepted the delivery and these conditions. 4b. In the event of non delivery or if the client is not satisfied that the goods or services that have been ordered are delivered in conformity to the Quotation then a member of the Moyne site team must be notified before the open period of the event. If the client is not satisfied with the remedial action taken by Moyne, the matter should be addressed with the senior member of the Moyne site team. 4c. In the event of a dispute that cannot be resolved on site, the client will submit their complaint in writing to Moyne within seven days of the opening of the event. Moyne will consider the complaint and respond to the client within 10 working days. 4d. No complaint will be addressed unless it has been brought to the attention of Moyne’s team on site before the open period of the event and a docket has been provided by the Service Desk detailing the complaint before the open period of the event. 4e. If, after return, apparently malfunctioning products are found by Moyne to be to specification and fully operational, then the client will be charged for Moyne’s costs in recovering and replacing the item with all costs calculated at the Moyne fully costed rate. 4f. Once the contract is complete, the client will not be able to claim “force majeure” or an act of God against Moyne, as Moyne will be considered to have performed its contractual obligations. This extract of Moyne Limited’s Terms of Business summarises the principal matters relating to the provision of shell scheme fittings, electrical services, furniture hire, floor coverings and custom build stands. At all times Moyne Exhibition Services Ltd’s full Terms of Business will apply and this extract is for the client’s convenience. A copy of the full Terms can be obtained by calling our offices. 5. Our quoted prices are based on the current costs of materials and labour. We reserve the right to pass on any increase in same, which occur prior to the completion of any work. 6. We do not accept liability for damage to property or goods caused as a result of equipment not provided by Moyne but sourced from a third party. 7. We do not exclude our liability in respect of death or personal injury resulting from negligence by ourselves (but not subcontractors, if any). 8. We do not exclude our liability for loss or damage to exhibits or property of the customer where it has been caused by our negligence, provided that a claim is made within 14 days of the problem being brought to our attention. 9. We reserve the right to charge the customer for any additional costs incurred by works carried our in accordance with a request from any health or safety organisation. PAYMENT 10a. Unless otherwise agreed, all client orders for items ordered from pre payment forms must be accompanied by full payment. b. In the event of non payment within the terms detailed on our order form Moyne reserve the right to withhold the goods or services that have been ordered. c. In the event of late payment, with reference to the terms detailed on Moyne’s order form, Moyne reserves the right to charge interest of 3% p.a. over the HSBC base rate until paid. 11. Save as expressly provided in all these Terms & Conditions, the client shall indemnify Moyne against all actions, claims and demands whatsoever arising from any loss or damage of whatsoever nature suffered by any party as a result of its conduct in completing the contract or complying with any event or site conditions. 12. The client will be responsible for the safety of Moyne’s property throughout the duration of the event and will be responsible for any damage for Moyne’s property caused by the actions of the client or its customers. 13. Moyne provides all goods, including complete stand structures on hire only and the client undertakes: a. To use the equipment in accordance with its usual purpose, to do nothing nor allow anything to be dome that could lead to its damage or its disappearance, to give it the normal maintenance required, to keep it and to return it in good working order and clean, and to respect Moyne’s particular recommendations, specific advice for use, and appropriate warnings which it acknowledges having read notably in these Terms & Conditions, the specifications sheets, and/or the documents that were handed over to it on delivery. b. Not to carry out any modification or repair to Moyne’s property, however small. c. Not to nail, apply adhesive or paint, or damage Moyne’s property in any way without Moyne’s agreement or the express permission as set out in the exhibitor manual for the event. d. To allow any of Moyne’s representatives or persons authorized by the latter, unrestricted access to the equipment installed for the purposes of maintenance and to take any necessary steps to make their mission easier. e. To return goods to Moyne free of any object. f. To be responsible for any electrical item connected to a socket or mains connections installed by Moyne and to accept full responsibility and all consequential costs resulting from the connection of a faulty or inappropriate electrical item connected to a socket or mains connection installed by Moyne. g. To pay Moyne the cost of repair or replacement (as appropriate) for any item damaged whilst in the care of the client however caused. 14. All goods, materials, plant or machinery supplied by Moyne, shall be on hire unless otherwise stated. The period of hire will be the duration of the event unless otherwise stated. This allows for supply of the bolt, fixing with plant in position and making good of the floor at the end of the exhibition only. It is the responsibility of the stand builder / contractor to carry appropriate tools to remove all bolts at the end of the exhibition. The floor fixing is not suitable for up thrust or pull out loads without provision of an appropriate anchor block. Standard fixings allow for bolts up to 75mm above floor for 8 and 10mm diameter. (2) Floor pockets allow for cutting out of the pocket, concreting in of the required item, removal and making good of floor at the end of the exhibition. (4) Entry to Service Duct allows for cutting hole in concrete wall of service duct for installation of customers' pipe or cable, removal and making good of duct at end of exhibition. This service is only permitted for duct crossing where chases are employed. (5) Painting of Stand Areas allows for painting of stand with one coat of approved floor paint. Where paint other than black is used, allows for repainting floor black at end of exhibition. NEC2014 57 t. f. e. p. w. 0844 3388338 0844 5811434 eventorders@thenec.co.uk The NEC, Birmingham, B40 1NT thenec.co.uk STANDARD TERMS AND CONDITIONS The definitions in this clause apply in the terms and conditions set out in the Agreement as follows: “Customer” (including any reference to “you” or “your”) shall mean the Customer as set out in the Order; “Customer Address”: shall mean the address of the Customer as set out in the Order; “Deliverables” shall mean the items that NEC shall provide to the Customer in accordance with the provision of the Services; “Equipment” shall mean any and all equipment, including related boxes, racks or cartons that are hired or lent to the Customer in relation to the provision of the Services; “Event” :shall mean any form of concert, show or event held at any of the venues of the NEC; “Exhibitor Manual“ shall mean the manual made available to the Customer by NEC in either hard copy or electronic format in relation to the Event at which they are staging an exhibition; “Licence Period“ shall mean the build-up period, the opening hours and the dismantling period of the Event; “NEC” (including any reference to “us”, “we” or “our”) shall mean The National Exhibition Centre Limited; “Order” shall mean the Customer’s request for Services and related information, as set out in the Order Form or as provided by telephone; “Order Form“ shall mean the completed order form provided as provided to the NEC by the Customer; “Price List” shall mean the price list in relation to the Services available at the time of request of Services by the Customer; “Services” shall mean the services that NEC shall provide to the Customer as detailed in the Order Confirmation. 2.1 These Standard Terms and Conditions together with the Order, Order Confirmation and the Exhibitor Manual shall set out the whole agreement between the Customer and the NEC for the provision of Services (“the Agreement”) and shall be binding on both NEC and the Customer. Any variation of the Agreement must be in writing and signed by both Parties. 2.2 Any samples, drawings, descriptions or advertising that NEC issues and any descriptions or illustrations provided by NEC are done so solely to provide the Customer with an approximate idea of the Services they describe. They do not form part of the Agreement between the Customer and NEC or any other contract between the Customer and NEC for the provision of Services. All intellectual property rights in such information shall remain the property of NEC. 2.3 The Order is an offer by the Customer to enter into a binding contract, which NEC are free to accept or decline in its absolute discretion. 2.4 The Agreement shall become binding on the Customer and NEC upon the taking of payment by NEC further to which the NEC shall issue the Customer with written confirmation of the Order together with an invoice (“Order Confirmation”) which shall include an order number which the Customer shall quote in all subsequent correspondence. 2.5 Subject to clause 2.6 below, the Customer may cancel the Agreement during the seven (7) day period following the date of issue of the Order Confirmation(providing that such period ends before the commencement of the Licence Period) (“Cancellation Period”) and shall be entitled to a refund. For the avoidance of doubt the Cancellation Period shall not apply where an Order is placed less than 7 full days before the commencement of the Licence Period. 2.6 If the Customer cancels an Order after the expiry of the Cancellation Period, the Customer shall be liable to pay the full amount of monies due in respect of such Order if written cancellation of such is received by the NEC less than 5 full working days prior to the beginning of the Licence Period of an Event. If notice of cancellation is received by the NEC at least 6 full working days before the start of a Licence Period, the Customer shall be entitled to receive a refund of 50% of monies paid or payable to NEC in relation to Services initially ordered. 2.7 NEC have the right to revise and amend these terms from time to time. The Customer will be subject to the terms and policies applicable at the date the NEC provides an Order Confirmation, unless any change to those policies or these terms is required by law, government or regulatory authority (in which case, such changes shall apply to Orders that the Customer has placed, but that NEC has not yet fulfilled). 3.1 All Equipment provided to the Customer in the provision of the Services by NEC shall remain the property of NEC and no title shall pass to the Customer. Notwithstanding the above, once installation of the Equipment has taken place, the Equipment shall be deemed to be within the Customer’s control and responsibility and shall be at the Customer’s sole risk until collected and control re-taken by the NEC. The Customer shall indemnify NEC for any loss or damage to the Equipment and any other property of NEC during the period of Customer’s control and responsibility and shall insure the Equipment up to its full replacement value. The Customer shall not connect to NEC’s network without 3.2 NEC’s written permission and in any event NEC shall not be liable to the Customer in any way for any damage, expense, claim, cost or loss (whether direct or indirect) suffered or borne by the Customer, caused or arising out of the Customer using their own equipment on NEC’s network. 3.3 The Customer shall indemnify NEC against all actions, demands, costs, charges, liability and any other proceedings whatsoever, suffered or borne by NEC arising out of or caused by the Customer using its own equipment on the NEC’s network. 4.1 All Equipment shall remain the property of NEC and the period of hire shall be for a maximum period of the Licence Period. 4.2 The Customer warrants that the person designated to take delivery of Equipment and Deliverables has the Customer’s authority to do so. 4.3 Where the Customer hires Equipment as part of the requested Services, it shall, together with payment for the Services make payment of a refundable security equal to the replacement cost of the Equipment (“Deposit”). 4.4 The Deposit shall be repaid to the Customer further to all other monies owing to NEC being paid and also further to the satisfaction of NEC that the Equipment has been returned in satisfactory condition. If the Equipment is not returned in a satisfactory condition, the Customer shall without prejudice to any other right or remedy of NEC pay a charge equal to the cost of cleaning, repairing, reconditioning or replacement as NEC considers necessary. For the avoidance of doubt, NEC may retain such part of the Deposit that is equal to the costs of restoration or replacement of the Equipment. 4.5 The Customer undertakes to comply with all safety instructions in relation to the Equipment and to comply with all health and safety requirements as directed by NEC. 5.1 The price of the Services (exclusive of VAT) shall be as set out in the Price List as referenced in the Order. 5.2 All quotations or estimates provided to the Customer are done so solely as an indication of costs and shall not be binding upon NEC. Estimates are based on the costs of material, labour and transport as at the date of the giving of the estimate and if between that date and the giving of a Confirmation Order by NEC, the price of such Services increases, then the costs of the Services shall be amended to provide for such variations. 5.3 The prices as set out in the Price List are based on the current cost of materials, labour and other charges made to the NEC and NEC reserves the right to adjust the Price List where necessary to reflect any changes to these costs/charges and any alteration to the rates of VAT or statutory regulations. For the avoidance of doubt the price of Services shall be as set out in the Price List in force at the time of issue of an Order Confirmation. 5.4 Payment for all Services shall be made in advance of the Services being provided (unless agreed otherwise by both Parties in writing) by either; i) credit or debit card: NEC accepts payment with Mastercard, Visa, Electron, Visa Debit, Solo, Maestro, American Express; or ii) cheque made payable to “National Exhibition Centre Ltd”. NEC shall not enter into a binding contract with the Customer until it has received cleared funds further to which it shall issue the Order Confirmation. The cheque shall be cashed by NEC within 10 working days of the date of receipt of such cheque. The date of receipt of a cheque shall be marked as the date “payment taken” on invoices provided to the Customer. 5.5 NEC reserves the right not to process an Order until full payment for the requested Services has been received and in all cases where an Order is received during the build-up period of an Event. 5.6 If NEC provides Services prior to the receipt of payment, NEC reserves the right, where payment has not been made by the Customer, to suspend or disconnect the Services and recover it’s Equipment so far provided, until payment is made in full by the Customer to the NEC. This clause does not affect the right of NEC to make a charge for the Services and Equipment provided to the Customer up to the aforementioned suspension disconnection or repossession. Such, charge may also include the right of NEC to claim any loss that it has sustained. 5.7 If the Customer requires additional Services to be provided and such is requested whilst the Customer is on-site (“On-site Additional Services”), the provision of such shall be at an additional charge and wholly at the discretion of NEC. Payment for On-site Additional Services shall be made immediately by credit or debit card unless otherwise agreed in writing between the Parties . 5.8 Orders received or amended during the Licence Period may not be fulfilled until after completion of other order requests received prior to that date. Orders requested during the Licence Period shall be subject to a 40% surcharge and such requested orders shall be accepted at the entire discretion of NEC. 5.9 If the Customer does not make any payment to NEC when due, NEC may charge interest to the Customer on any outstanding amount at the rate of 4% a year above the base lending rate of National Westminster Bank plc from time to time. This interest shall accrue daily from the due date until the date of actual payment of outstanding amounts, whether before or after judgment, such interest to be paid together with the outstanding amount. 5.10 Without limiting any other remedies or rights that NEC may have, if the Customer does not pay any monies when due, NEC may cancel or suspend any other outstanding Order until payment of outstanding amounts is made in full. 6.1 The liability of NEC and its employees, agents or contractors in respect of damage to property shall be limited to the level of public liability insurance that the NEC is obliged to maintain under its agreement with the organiser of the Event. 6.2 NEC shall not be liable in any way whatsoever for any damage, loss (whether direct or indirect) or cost of any kind suffered or borne by the Customer where arising out of delay or failure to deliver the Services, Deliverables or any Equipment. 6.3 NEC shall in no way be liable for any direct, consequential or indirect loss suffered by the Customer howsoever caused. 6.4 The Customer shall indemnify NEC against all actions, demands, claims, expenses, compensation, costs, charges, liability and any other proceedings whatsoever, suffered or borne by NEC arising from the negligence of the Customer, the Customer’s failure to comply with this Agreement or any other conduct of the Customer connected with this Agreement 6.5 This clause does not include or limit in any way either Party’s liability for: i) death or personal injury caused by our negligence; or ii) fraud or fraudulent misrepresentation; or iii) any breach of the obligations implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982; or iv) losses for which it is prohibited by section 7 of the Consumer Protection Act 1987 to limit liability; or v)any other matter for which it would be illegal or unlawful for us to exclude or attempt to exclude our liability. 7.1 NEC will not be liable for any failure or delay in performing any of its obligations under this Agreement that is caused by events outside its reasonable control (“a Force Majeure Event”) or shortages of labour or materials (together, “Shortages”) 7.2 A Force Majeure Event includes any act, event, non-occurrence, omission or accident beyond NEC’s reasonable control and includes, in particular (without limitation), the following: i) strikes, lock-outs or other industrial action; or ii) civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war; or iii) fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster; or iv) impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport; or v) impossibility of the use of public or private telecommunications networks. 7.3 NEC’s obligations under this Agreement shall be suspended for the duration of the Force Majeure Event or Shortage and NEC shall have an extension of time to perform these obligations for the duration of that period. NEC will take reasonable steps to bring the Force Majeure Event or Shortage to an end or to find a solution by which NEC’s obligations under this Agreement can be performed despite the Force Majeure Event or Shortage. 7.4 Upon the occurrence of a Force Majeure Event or Shortage, the Customer’s rights shall be limited so that it shall only be entitled to a refund in respect of such proportion of Services that are incapable of delivery due to such. 7.5 NEC observes the conditions imposed by local authorities in respect of any Event and these conditions shall also be binding upon the Customer. 8 The Customer may not transfer any of its rights or obligations under the Agreement to any third party without the prior written consent of NEC. NEC may transfer all or any of its rights and obligations under this Agreement to another organisation, but this will not affect the Customer’s rights under this Agreement. 9 All notices sent by the Customer to NEC must be sent to Legal Services, The National Exhibition Centre, Birmingham, B40 1NT. NEC may give notice to the Customer at the Customer Address as set out in the Order. Notice will be deemed received and properly served three days after the date of posting of any letter. In proving the service of any notice, it will be sufficient to prove, in the case of a letter, that the letter was properly addressed, stamped and placed in the post. 10.1 If any court or competent authority decides that any of the provisions of these terms and conditions are invalid, unlawful or unenforceable to any extent, the term will, to that extent only, be severed from the remaining terms, which will continue to be valid to the fullest extent permitted by law. 10.2 If, at any time, there is any discrepancy between the Standard Terns and Conditions provided together with the Order and the Standard Terns and Conditions as provided on the website of NEC, the Standard Terns and Conditions as set out on such website at the time the parties enter into the Agreement shall prevail. 10.3 It is hereby agreed and declared that NEC is contracting as managing agent of Birmingham City Council (“the Council”) and that all rights and obligations of NEC hereunder shall be enforceable by and against the Council accordingly. NEC represents and warrants that it has full power and authority to enter into this Agreement on behalf of the Council and is authorised to accept services of all notices and proceedings arising hereunder. 10.4 If NEC fails, at any time whilst this Agreement is in force, to insist that the Customer performs any of the Customer’s obligations under this Agreement or if NEC does not exercise any of its rights or remedies under this Agreement that will not mean that NEC has waived such rights or remedies and will not mean that the Customer does not have to comply with those obligations. If NEC does waive a default by the Customer, that will not mean that NEC will automatically waive any subsequent default by the Customer. No waiver by NEC of any provision of this Agreement shall be effective unless NEC expressly says that it is a waiver and NEC tells the Customer so in writing. 10.5 A person who is not party to this Agreement shall not have any rights under or in connection with it under the Contracts (Rights of Third Parties) Act 1999. 10.6 This Agreement shall be governed by English law and the Parties agree to the non-exclusive jurisdiction of the English courts. SPECIFIC CONDITIONS (which shall be included as part of the Standard Terms and Conditions) BUILDING AND AERIAL SERVICES: 1.1 58 01/08/2014 t. f. e. p. w. 0844 3388338 0844 5811434 eventorders@thenec.co.uk The NEC, Birmingham, B40 1NT thenec.co.uk For the purposes of the provision of Building and Aerial Services the Customer agrees and acknowledges that: 1.1 All floor fixings are of bolt type which allows for the supply of the bolt, fixing with plant in position and restoration of the floor at the end of the Event only. It is the responsibility of the Customer to carry appropriate tools to remove all bolts at the end of the Event. The floor fixing is not suitable for up thrust or pull out loads without provision of an appropriate anchor block. Standard fixings allow for bolts up to 75mm above floor for 8 and 10mm diameter and up to 150mm above floor, for all others. Longer bolts will incur further charges. 1.2 Floor pockets allow for cutting out of the pocket, concreting in of the required item, removal and restoration of the floor at the end of the Event. 1.3 Floor chases allow for cutting out of the chase for installation and burial of Customer’s cable or pipe, which is screened with a lightweight cover for the Open Period which is removed at the end of the event and the floor is restored. 1.4 Entry to Service Duct allows for cutting hole in the concrete wall of service duct to be made for installation of the Customer’s pipe or cable and removal and restoration of duct at the end of the Event. This Service is only permitted for duct crossing where chases are employed. 1.5 Painting of Stand Areas allows for painting of exhibition stand with one coat of approved floor paint. Where paint other than black is used the Customer must allow for repainting of the floor black at the end of Event. A minimum of 12 hours painting and drying time is required with a minimum of 24 hours notice of the commencement of the Opening. 1.6 (Television and Radio Aerials allows for the installation, maintenance and removal of an aerial cable which terminates in a standard plug and a single connection on the stand. These items are supplied as single outputs only. Distribution on stands to be our/your nominated contractor when required. EVENT IT For the purposes of the provision of Event IT Services the Customer agrees and acknowledges that: 2.1 All call charges incurred by the Customer will be passed on in full to the Customer and shall be payable within 14 days of demand. All quoted prices exclude the cost of electricity used, which shall be payable by the Customer in full to NEC. 2.2 NEC will provide information to the Customer concerning the network settings required within Microsoft Windows. 2.3 No other services will be permitted to be attached to services provided without the written approval of NEC. Only BABT approved apparatus can be connected directly to telecommunications circuits. PIPEWORK/MECHANICAL MAINS 3.1 Pipework mains services include the installation, maintenance and removal of a supply pipe (and drain for water and waste), which terminates in a stopcock and one connection to the Equipment requiring the Service at a position on the stand as indicated on the customer's dimensional drawing. The main is not metered and the price includes the cost of water, air or gas used. 3.2 Additional connections off standard mains are only applicable at the price as set out on the Price List price where due consideration has been given to: i) Length of pipe work runs (Normally 3m max); and ii) Safety of pipe work routing; and iii) Total capacity rating of standard main; and iv) Pressure drop limitation; and v) Waste systems generally limited to use on double units only. CATERING SERVICES In the event that NEC agrees to provide an account facility to the Customer, the Agreement shall include a catering account form (“Catering Account Form”) as provided to NEC by the Customer. TECHNICAL OPERATIONS All Technical Operations Services shall be provided in accordance with “No 9 GUIDANCE NOTE – NEC ‘SAFE EXHIBITION’ PROCESS” which outlines the current practice and assessment of competency for riggers carrying out work at NEC venues. This shall be applied in conjunction with the “NEC Group Rigging Code of Practice” and any other relevant health and safety practices and legislation. CCTV CAMERAS TO STANDS 4 If the order involves the provision of CCTV cameras (the “Camera(s)”) the following additional terms and conditions shall apply: 4.1In this clause 4 “Build Period” means the period during which the Exhibition is being built; “Break Period” means the period during which the Exhibition is being dismantled and “Open Period” means the period between the end of the Build Period and commencement of the Break Period. 4.2You shall submit a Service Location Plan (the “Plan”) which clearly shows the location on your stand where you want the Camera(s) installed on or by the date specified by us. 4.3The Camera(s) will be installed as near as possible to the Camera locations marked on the Plan you submit. During the Build Period We shall agree with You the specific location on Your stand at which the Camera(s) will be installed. 4.4We do not guarantee that the Camera(s) installed will provide full coverage of Your stand or that they will record footage of all incidents that occur on Your stand as many factors including the location of banners or displays on your stand can limit the coverage which our Camera(s) provide. We will however show You or an available representative at the stand at time of installation, the available field of view once the Camera(s) are installed. 4.5 The CCTV Camera(s) will be operational from the time of installation until commencement of the Break Period unless otherwise agreed in writing in advance. 4.6 You acknowledge and agree that We will not continuously monitor the CCTV footage recorded by the Camera(s) (the “Footage”). 4.7At times when the Exhibition is closed to both visitors and exhibitors during both the Build Period after installation and the Open Period the Camera(s) will only record footage when they are activated by their motion detectors. 4.8 We will store Footage for a maximum period of 31 days after which the Footage will be automatically deleted unless it is required to deal with an on-going investigation or subject access request under the Data Protection Act 1998 the “1998 Act”. We reserve the right to delete the Footage after a shorter period where this is required for operational reasons. 4.9 Subject to Clause 4.12, both parties acknowledge and agree that for the purposes of the 1998 Act, We are the sole data controller of any Footage. 4.10 We will provide You with notice(s) that state CCTV surveillance is taking place on Your stand. You agree to position these notice(s) on Your stand so it/they are clearly visible to individuals being recorded by the Cameras. Where these notice(s) are not clearly visible we reserve the right to reposition them or to cease recording without liability to you. 4.11 You acknowledge and agree that You do not have an automatic right to view Footage and that You will only be entitled to access to Footage where (a) You require the Footage for the detection of a crime or for the investigation of a health and/or safety incident and (b) releasing the Footage to You in our reasonable opinion does not breach the data protection principles set out in the 1998 Act. 4.12 Where a copy of Footage (“Copy”) is released to You, You shall become the data controller of that Copy and shall be responsible for ensuring that the Copy is used and stored in a manner that complies with the 1998 Act. 4.13 Under the 1998 Act, We may be required to provide access/copies of the Footage to third parties including but not limited to the police or individuals recorded by the Camera(s). You acknowledge and agree that We may provide Footage to third parties in such instances without obtaining Your consent. 4.14 Where You receive a written or oral request to view Footage recorded on the Camera(s) on Your stand You will immediately notify Us of this request and provide Us with such information as We reasonable require in respect of the request.
